A business may be able to buy a used Microsoft license legally, but a key or listing alone does not establish a valid transfer. The answer depends on the exact product and license, the original sale, the transfer history, and the law and terms that apply. In the EU, the Court of Justice’s UsedSoft ruling recognizes exhaustion of distribution rights for qualifying software copies first sold for an unlimited period, subject to conditions. That is not a blanket rule for subscriptions, OEM licenses, unused seats, or every Microsoft product.

Can you legally buy used Microsoft licenses?

Sometimes. The central EU authority is the Court of Justice of the European Union’s 3 July 2012 decision in UsedSoft GmbH v Oracle International Corp., Case C-128/11. The Court’s press release summarizes its conclusion this way: “The exclusive right of distribution of a copy of a computer program covered by such a licence is exhausted on its first sale.” The CJEU press release describes a qualifying first sale in the EU, payment, and a right to use the copy for an unlimited period; it also addresses downloaded copies.

Exhaustion is a legal rule about distribution rights, not a certification of a product key or reseller. Whether a particular Microsoft entitlement qualifies depends on the transaction, the license and product terms, and applicable law. The press release is an unofficial, non-binding media document; for legal work, consult the judgment itself and obtain advice on the specific transaction.

Which kind of Microsoft offer is being sold?

Before evaluating a price, establish what the seller is actually transferring. These categories are not interchangeable, and the fact that a key activates software does not establish the buyer’s legal entitlement.

Perpetual software license Whether the specific copy and original transaction meet the applicable transfer conditions, and whether the full entitlement and its permitted use are documented.
Subscription, including Microsoft 365 Whether the offer is a subscription and what its current agreement and product terms permit. The UsedSoft conditions described above do not establish a general right to resell subscriptions.
OEM entitlement The precise product terms and whether that entitlement can be transferred in the proposed circumstances. The EU ruling is not a blanket approval of OEM transfers.
Activation key without entitlement records What license right, if any, the key represents, who acquired it, and whether it can be transferred. A key by itself does not answer those questions.

What conditions matter under the EU UsedSoft ruling?

The original sale and license term

The rule described by the CJEU concerns a qualifying copy of a computer program first sold in the EU for an unlimited period, with payment. It is not enough that a listing calls a license “perpetual”; verify the original transaction and the rights that were actually granted.

The former holder must stop using the copy

At resale, the original acquirer must make its copy unusable. The Court’s summary explains that continued use by the former holder may infringe the reproduction right. Ask the seller to document cessation of use and account for any installations or copies associated with the entitlement.

A multi-user license cannot automatically be split

The CJEU says a first acquirer holding a license for more users than it needs cannot resell only part of that license under the exhaustion rule. Do not extend that statement to every volume purchase without checking how the original license and copies were structured.

How do you verify a used license before paying?

Request records that let your organization trace the claimed entitlement from the original acquisition through the proposed transfer. A chain-of-title file is evidence to evaluate, not a legal opinion; a generic certificate or successful activation does not establish that a particular license is transferable.

  1. Identify the entitlement. Record the exact Microsoft product, version, edition, license type, quantity, permitted use, and whether the offer is perpetual or subscription-based.
  2. Trace its origin. Ask for evidence of the original transaction and territory, the quantity and scope acquired, and the licensing program or agreement under which it was acquired.
  3. Reconcile the transfer history. Request records of prior transfers and evidence that the seller is entitled to transfer the specific quantity being offered.
  4. Check the unit being sold. Confirm that the transaction transfers a complete license rather than carving seats out of a single multi-user license where that is not permitted.
  5. Confirm cessation of use. Obtain the seller’s documentation that the former holder has stopped using the transferred copy and has made it unusable where required.
  6. Match the paperwork to the rules. Compare the claimed rights with current Microsoft Product Terms, the applicable agreement, and local law. Microsoft’s licensing resource index points to relevant program and product materials.
  7. Check delivery and administration. Establish how the entitlement will be associated with an account, downloaded, activated, administered, and supported, and make sure those steps fit the rights being transferred.
  8. Compare the complete cost. Weigh the offer against an authorized current purchase or subscription, including the cost of resolving a failed transfer or an entitlement that cannot be reconciled.

If the product, territory, quantity, or transfer history cannot be reconciled, pause deployment and have qualified licensing counsel or a Microsoft licensing specialist review the transaction. A reseller’s description of its process is a commercial claim, not proof that your particular entitlement is valid.

Can you transfer an Office license to another person?

Microsoft’s current Office support guidance distinguishes moving a one-time purchase to another device from transferring it to another person. For Office 2024 and Office 2021, Microsoft says the same user may move the license to another computer they own no more than once every 90 days, except in the event of hardware failure, and must remove the previous installation.

For a transfer to another person in the European Economic Area, Microsoft instructs users to contact Support, verify legitimate entitlement, and provide the recipient’s email address. Microsoft says it cancels the previous entitlement and emails the recipient instructions for associating it with their account. Follow the instructions on Microsoft’s Office transfer page; this stated route is not a determination that every commercial license or resale scenario qualifies.

Can a business resell unused volume licenses?

Not simply because some seats are unused. Under the CJEU’s stated rule, a first acquirer cannot use exhaustion to resell part of a single multi-user license merely because it has more users than it needs. The original license structure and copies matter, so review the relevant agreement and transaction documents before treating unused capacity as a separately transferable license.

Microsoft separately documents partner-to-partner transfer processes for customer software subscriptions and perpetual software in the Cloud Solution Provider channel. Its CSP software transfer guidance, last updated 15 June 2026, concerns a change in which partner manages or bills a customer’s entitlement. That process does not itself establish a general resale right between unrelated businesses.

Do the rules differ by country?

Location or route What the available authority establishes What it does not establish
European Union The CJEU’s UsedSoft summary recognizes exhaustion for a qualifying copy first sold in the EU for an unlimited period, subject to conditions including the former holder ceasing use and no splitting of a single multi-user license. It does not establish that every Microsoft product, transaction, key, or unused seat qualifies. Application to a particular product or national dispute depends on the facts and law.
EEA Office transfer route Microsoft describes a support-assisted process for transferring an Office license to another person in the EEA, including verifying entitlement and associating the recipient through the stated steps. It does not resolve every commercial-license scenario or replace review of the applicable license terms.
United Kingdom TechRadar Pro reported that the Court of Appeal dismissed Microsoft’s appeals on 7 July 2026 following a preliminary copyright ruling by the Competition Appeal Tribunal in November 2025. The report describes possible further Supreme Court proceedings. This is a separate litigation track, not the EU rule. The current permission or appeal status is not independently verified here, and the report does not determine whether a particular buyer can acquire a particular license. See the TechRadar Pro report for its account of the proceedings.
Other regions The sources cited here do not establish the rules for the United States, Canada, or other non-EU jurisdictions. Do not apply the EU conclusion globally; check local law and the relevant product terms.

Are cheap Microsoft keys legal for business use?

Price does not establish legality. A low-cost key, boxed copy, certificate, or successful activation can show that software installs or activates; none alone proves the seller has transferred a valid entitlement for your business’s product, territory, quantity, and intended use. Evaluate the underlying records and terms rather than relying on the listing’s wording or the key’s behavior.
