Evaluate a prime broker as a network of legal entities, services, and asset-protection arrangements—not as a single brand or service label. Compare the contracting entity and jurisdiction for each function, then test custody, financing, execution, settlement, operations, resilience, and conflicts against the assets and strategies you actually use. For crypto, do this asset by asset: protections can differ according to the asset’s legal classification and how it is held.

What does a prime broker provide?

The Bank for International Settlements (BIS) describes prime brokerage as a set of services for hedge funds and other non-bank financial institutions, generally provided by broker-dealers, many within large banking groups. The bundle can include leverage through derivatives or securities financing, market access, custody, clearing, and operational support. The exact combination varies by provider.

That variation matters. A brand may present an integrated service while separate affiliates or third parties handle execution, custody, financing, or settlement. Start by mapping each function to the entity that performs it, the entity you contract with, and the place where assets and obligations are recorded. BIS reported that US-registered hedge funds held more than $4.5 trillion in gross assets at the end of 2022; its population excluded funds associated with a bank, broker-dealer, or insurance company. BIS also said the largest prime brokers tend to be global systemically important banks and each serves more than 1,000 funds. These are contextual figures, not current market-wide measures for 2026.

How should investors compare prime brokers?

Use one scorecard across candidates, but compare only equivalent services and account structures. Ask for documents and operational evidence, not just a service list. Record the answer, the entity responsible, and any unresolved dependency for each item.

Area Evidence and questions to request Why it matters
Legal entity and jurisdiction Contracting entity for each service; relevant registrations and regulators; governing law; where accounts, assets, and obligations are booked; insolvency analysis. A provider’s brand does not establish which entity owes a duty or which legal regime applies.
Service scope Supported asset classes and markets; execution, clearing, custody, financing, securities lending, and operational services; named third parties and affiliates. “Prime brokerage” does not guarantee the same bundle across providers.
Custody and segregation Asset location; account and title structure; who controls assets or keys; segregation arrangements; reconciliation process; independent control reports and their scope. These details affect control, visibility, and potential recovery if a provider fails.
Financing and leverage Margin methodology; collateral eligibility and haircuts; concentration limits; intraday calls; liquidation and close-out rights; cross-default terms. Financing terms shape both the cost and the speed at which market moves can become a liquidity or counterparty problem.
Execution and settlement Venue and market access; routing approach; evidence used to assess execution quality; settlement model and timing; failed-trade handling. Access alone does not establish execution quality or how exposure is managed between trade and settlement.
Operations and data Reporting frequency and latency; formats or APIs; daily reconciliation; break resolution; audit trail and escalation contacts. Timely, traceable data supports independent oversight and risk decisions.
Resilience and default Business-continuity and cyber controls; recovery arrangements; default management; asset or position portability; transfer conditions and dependencies. Assess how the service would continue—or wind down—during a disruption or counterparty failure.
Conflicts and economics Affiliate roles; principal trading; securities-lending revenue; fees and rebates; collateral reuse; disclosure of incentives. Costs and incentives may be embedded in more than the headline financing rate or commission.

Why are leverage and counterparty risk central?

Prime brokerage can concentrate financing, custody, and market access in a relationship that also gives the provider exposure to the client. BIS highlights wrong-way risk, opaque positions, concentration, and weak risk management as vulnerabilities in the prime broker–hedge fund relationship. Wrong-way risk arises when a prime broker’s exposure to a client rises at the same time as the likelihood that the client will default.

Translate those risk mechanisms into contract and operating questions. Ask how the provider calculates margin across positions, sets concentration limits, values less-liquid collateral, applies haircuts, and makes intraday calls. Read the liquidation, close-out, and cross-default provisions alongside the margin schedule: understand what can trigger action, how notice works, and whether the provider can act across accounts or services. Ask what position and collateral data the provider can see across affiliates and counterparties, and what information it will give your risk team. These are diligence prompts, not universal contractual standards.

How do custody, clearing, and prime brokerage differ?

Custody concerns holding or controlling assets and maintaining records for them. Clearing concerns processing obligations after trades, including determining what each side must deliver or pay. Prime brokerage is a broader relationship that may combine financing, market access, custody, clearing, and support. A provider may perform some functions itself and arrange others through affiliates or third parties, so identify the actual party responsible for each function and the handoffs between them.

For the chain supporting a trade, map who executes it, who clears it, where assets are held, how settlement occurs, and who handles a failure or dispute. The BIS and IOSCO Principles for Financial Market Infrastructures (PFMI) address matters such as legal basis, segregation, custody risk, settlement, and default management for financial market infrastructures. They are most directly relevant to infrastructures such as payment systems, central securities depositories, settlement systems, central counterparties, and trade repositories; a prime broker is not necessarily itself an FMI. Use applicable principles as prompts for evaluating the broker’s clearing and custody chain, not as a claim that every prime broker is governed by PFMI.

What changes when the account includes crypto assets?

Do not treat “crypto” as a single legal or custody category. Classify each asset and transaction, then assess the relevant account agreement, entity, jurisdiction, and custody arrangement. Legal treatment and potential protections can differ between assets and circumstances.

Check the asset’s status and insolvency treatment

SEC Division of Trading and Markets staff states that SIPC generally does not protect customer claims for non-security crypto assets held by a SIPC-member broker-dealer. Staff also notes that non-security crypto assets may not receive protection under another specific insolvency regime, which can expose customers to loss if the broker-dealer fails. Staff says an Article 8 Uniform Commercial Code arrangement may help in some circumstances, but it is not a guarantee. The effect depends on the actual asset, agreement, entity, jurisdiction, and facts; have counsel assess those documents rather than assuming a particular protection applies.

Trace custody control and records

Identify the custodian, the account structure, and who controls the private keys. Ask whether assets are held in omnibus or segregated arrangements; how wallet authorizations work; how records are reconciled to on-chain balances; and what recovery procedures apply if keys, systems, or personnel become unavailable. SEC staff materials flag key-pair control, the difficulty of restoring assets once lost, records, and settlement risk as custody-evaluation concerns.

Request any SOC 1 or SOC 2 reports and examine what entities, services, systems, and periods they cover, along with exceptions and reliance on service organizations. The existence of a report is not, by itself, proof that a provider is safe or that a control covers your account or assets. The SEC staff’s March 2019 digital-asset custody statement raised some of these points as questions for public input; those questions should not be mistaken for current legal requirements.

Understand settlement and adviser obligations

Ask how exchange, over-the-counter, and peer-to-peer transactions settle, including timing, delivery-versus-payment arrangements where available, and what happens if one side fails to deliver. Digital-asset transfers may be difficult or impossible to reverse, and non-DVP settlement can leave a party exposed before both sides complete performance.

If you are an SEC-registered investment adviser with custody of client funds or securities, check the applicable qualified-custodian and custody-rule obligations with counsel. Investor.gov says advisers with custody generally must use a qualified custodian and generally undergo an annual surprise examination, subject to applicable rules and exceptions. Do not assume that a provider’s marketing description establishes compliance for a particular adviser, asset, or arrangement.

What should you ask each candidate?

  1. Which entity performs each function? Request a service map covering execution, financing, custody, clearing, settlement, and operational support, including affiliates and third parties.
  2. Where are assets and obligations booked? Match each account and service to its contracting entity, governing law, jurisdiction, and account documentation.
  3. What happens when risk rises? Obtain the margin methodology, collateral schedule, haircut and concentration approach, intraday-call process, and relevant liquidation, close-out, and cross-default provisions.
  4. How are assets controlled and reconciled? Request the custody structure, control responsibilities, reconciliation process, exception handling, and relevant independent reports.
  5. How does a trade reach final settlement? Trace the execution, clearing, delivery, payment, and failure-handling steps for each market and asset type you intend to use.
  6. Can your team monitor the relationship? Confirm reporting cadence, data formats, access, reconciliation support, escalation routes, and auditability.
  7. What happens during failure or disruption? Review continuity and recovery arrangements, default management, and any conditions that could affect transfer or portability of positions and assets.
  8. Where are incentives and costs embedded? Identify affiliate roles, lending and collateral arrangements, fees, rebates, and other sources of revenue or potential conflicts.

How should you validate provider claims?

Treat brochures and service descriptions as a list of claims to verify. For example, a Cowen prime-brokerage description hosted by AIMA lists possible services such as execution, custody, financing, securities lending, reconciliation, reporting, and outsourced trading. It is a vendor description, not independent evidence of performance or proof that the same offering is available to every client; the description notes that offerings and third-party relationships may change.

For each material claim, ask for the relevant contract, operating procedure, report, service-level information, or other evidence—and confirm which entity and service it covers. A provider’s ability to offer a service does not establish its execution quality, asset safeguards, or suitability for your strategy. Compare like-for-like terms, and record what remains dependent on an affiliate, third party, or legal interpretation.

How to reach a decision

Use the scorecard to identify disqualifying gaps before comparing commercial terms. A provider that offers broad access may still be a poor fit if the legal entity, custody arrangement, margin terms, reporting, or failure procedures do not match your requirements. For crypto, require an asset-specific legal and operational review rather than relying on a single assurance about the provider’s overall platform. Have legal, compliance, treasury, operations, and portfolio-risk teams review the parts of the relationship that affect their responsibilities.
