Banks and non-banking financial companies (NBFCs) should review GST service by service, not rely on a contract heading or a general “taxes extra” clause. For every fee or deliverable, identify the actual supply, the supplier and recipient, the applicable tax treatment and charge mechanism, place of supply, invoice duties, and the recipient’s input-tax-credit position. Then make the agreement’s payment, documentation, correction, and change-in-law clauses match those facts.

The framework below is for Indian bank and NBFC agreements. A specific result depends on the service, party locations and GST registrations, transaction structure, and the institution’s credit method. The cited CBIC materials include guidance through 2025; check the current Acts, rules, notifications, and circulars before applying them to a transaction.

1. Map each supply before deciding who pays GST

Start with what each party actually does and receives. One agreement may cover several supplies—such as a technology service, advisory work, commission, reimbursement, or a separately priced deliverable—and different supplies may have different GST outcomes.

For each fee, commission, reimbursement, pass-through, service level, or deliverable, record:

  • the supplier and the entity that receives or uses the service;
  • the contracting and performing legal entities, including the relevant GST registrations;
  • whether an agent, subcontractor, or another group entity is involved; and
  • the consideration and how it is calculated, including any amounts described as reimbursements or penalties.

Labels such as “support,” “commission,” “reimbursement,” “interest,” or “penalty” do not settle tax treatment. Classify the transaction from its substance and apply the relevant statute, rules, notifications, and guidance. CBIC’s sectoral FAQs illustrate that different bank services can raise distinct questions about tax, reverse charge, invoicing, credit, and place of supply.

2. Determine taxability and the person liable to pay

For each identified supply, check whether it is taxable, exempt, or subject to a specific treatment, and confirm the applicable rate or exemption under current law. Then establish whether the supplier charges GST under the ordinary forward-charge model or whether a notified reverse-charge category makes the recipient liable.

Reverse charge is category-specific: parties cannot create or remove a statutory reverse-charge liability simply by agreeing that one party will “bear GST.” The contract can allocate the commercial cost and require cooperation, but the party legally liable must follow the applicable payment and documentation rules.

Who is liable under the tax mechanism? Generally, the supplier charges and pays GST, subject to the applicable law. The recipient is liable only where the supply falls within a notified reverse-charge category; the contract alone cannot make it so.
What should the agreement address? Supplier invoicing, tax amount, GSTIN and place-of-supply details, and correction of errors. Recipient payment and records, required self-invoicing or other documentation, supplier information, and the date tax is due.
What timing rule is relevant? Apply the invoice and time-of-supply rules that govern the particular supply. CBIC’s sector FAQ states that, for services under reverse charge, time of supply is generally the earlier of payment or the day after 60 days from the supplier’s invoice, subject to governing law and facts.

Do not treat the FAQ’s general time-of-supply explanation as a substitute for checking the provision applicable to the specific service and transaction.

3. Establish place of supply from the service and the records

Place of supply affects the GST treatment and reporting for a transaction. Identify the locations and GSTINs of the relevant parties, the establishment receiving the service, and the recipient address held in the supplier’s ordinary records. Then identify which place-of-supply provision governs that service.

For banking and other financial services within the domestic context of section 12(12) of the IGST Act, the statutory reference is the recipient’s location as recorded by the supplier. If that location is not recorded, the provision uses the supplier’s location as a fallback. This rule should not automatically be applied to every financial, advisory, intermediary, custodial, or cross-border service; other provisions may govern.

A specialized example is custodial service supplied by an Indian bank to a foreign portfolio investor (FPI). CBIC Circular 220/14/2024-GST, dated 26 June 2024, addresses place of supply for that fact pattern. Use it only after confirming that the service and recipient fall within its scope.

4. Set invoice, correction, and recordkeeping duties

Make the contract’s invoice timetable workable for the service and the parties’ systems. Under the cited CBIC invoice rule, a banking company or financial institution, including an NBFC, has 45 days after supply to issue an invoice or equivalent document for taxable services. Confirm that the supplier has the relevant status and that the rule applies to the transaction.

Specify which party must provide accurate GSTIN, recipient-location, service-period, and other invoicing information, and by when. Include a process for identifying and correcting an incorrect GSTIN, place of supply, tax amount, or service period. Where legally permitted, set out cooperation for issuing, receiving, and accounting for credit or debit notes. Preserve the underlying service, payment, and tax records needed to substantiate the treatment.

5. Check the institution’s input-tax-credit method

Do not price a service on the assumption that all GST charged is recoverable. First establish whether the bank or NBFC qualifies for the special method, whether it has elected to use it, and how the statutory restrictions apply to the particular credit.

The CBIC input-tax-credit rules describe a 50% option for qualifying banks and financial institutions, including NBFCs engaged in accepting deposits or extending loans or advances. The method has exclusions and specified credit components; it is not an unconditional recovery of 50% of every GST amount. Non-business use, blocked-credit rules, and other statutory restrictions can also affect eligibility.

Use the institution’s actual method and credit position when assessing whether GST is a pass-through or a cost in the agreed price. The agreement should provide for sharing relevant information if the credit position that informed pricing changes.

6. Examine related-party services and corporate guarantees

For services between related entities, foreign affiliates, or distinct registrations, document the relationship, the recipient, consideration, invoicing approach, and expected credit position. If the arrangement includes a corporate guarantee, do not assume that a nil charge or a general group-services clause settles its valuation.

CBIC Circular 225/19/2024-GST, dated 11 July 2024, addresses taxability and valuation of corporate-guarantee services between related persons. It discusses the Rule 28 framework, including an amendment with retrospective effect from 26 October 2023. Determine the treatment from the circular, current rules, and the arrangement’s facts.

7. Review loan-related charges by their purpose and trigger

Separate a charge imposed for breach or non-compliance with loan terms from other amounts connected with lending. Identify why it is charged, the contractual trigger, the applicable product terms, and any relevant Reserve Bank of India direction before deciding its GST treatment.

CBIC Circular 245/02/2025-GST, dated 28 January 2025, addresses GST on penal charges imposed by regulated entities such as banks and NBFCs following RBI instructions to discontinue penal interest for non-compliance with loan terms and use penal charges. Those instructions took effect on 1 January 2024. The circular’s stated instruction scope excludes credit cards, external commercial borrowings, trade credits, and structured obligations covered by product-specific directions. Do not extend its treatment to every lending-related charge without checking the charge and applicable guidance.

8. Align the contract with the tax analysis

Once the service-level analysis is complete, check that the operative clauses and the parties’ processes agree. Review the agreement and any relevant statement of work, fee schedule, invoice instructions, and operational procedures against these points:

  • Tax allocation: distinguish the party legally liable to pay from the party bearing the economic cost under the contract.
  • Invoices and information: assign responsibility for issuing documents, providing registration and location data, and correcting errors.
  • Reverse-charge cooperation: require the supplier to provide the information the recipient needs for payment, documentation, and records where a notified category applies.
  • Credit-note cooperation: define how the parties will handle eligible corrections and related accounting records.
  • Change management: set out how the parties will notify each other and address invoicing or pricing if applicable law, a registration, or the recipient’s credit position changes.
  • Audit support: require retention and reasonable exchange of records needed to substantiate the treatment, subject to applicable confidentiality and legal obligations.

A practical review file should connect each amount in the fee schedule to its supply description, tax conclusion, liable person, place-of-supply basis, invoice process, and credit assumptions. Escalate unresolved classification, valuation, or cross-border questions for transaction-specific advice rather than letting a broad tax clause stand in for that analysis.
