When a merger closes, shares covered by the deal are generally exchanged for whatever the merger agreement specifies: cash, shares in the acquiring company, a combination of both, or another defined formula. The number of shares you receive and their dollar value are not always the same thing: stock consideration can rise or fall with the acquirer’s share price before closing. To learn what applies to you, check the definitive proxy statement or proxy statement/prospectus and follow the issuer, exchange agent, and broker instructions.
What happens to your shares in a merger?
At the merger’s effective time, eligible shares of the company being acquired are generally converted into the consideration set out in the merger agreement. The precise treatment can depend on share class, exclusions, special rights, and whether you hold shares directly or through a broker. An announced offer is not the same as completed payment or delivery: the transaction may still need shareholder approval and other closing conditions to be met.
For example, a separate SEC-filed all-cash merger proxy states that eligible shares convert into $9.50 cash per share at the effective time, without interest. That is one deal’s term, not a standard merger price. Read the transaction’s definitive proxy for its actual consideration and conditions.

- Cash: Eligible shares are exchanged for a stated cash amount, subject to the agreement’s terms.
- Acquirer stock: Target shares are exchanged for a stated number of shares in the acquiring company.
- Cash and stock: Each eligible target share receives both cash and acquirer shares.
- A formula: The cash amount, exchange ratio, or both may depend on specified prices or other conditions.
For the proposed FOX–Roku transaction, the joint proxy statement/prospectus describes 0.9693 FOX Class A shares plus $96 cash for each eligible Roku share if the mergers close; it also provides cash instead of issuing fractional FOX shares. These are terms for that specific proposed transaction, not a general rule. See the FOX–Roku joint proxy statement/prospectus.

How to tell what your shares will convert into
Use the definitive transaction filing, rather than a headline or a summary of the offer. The relevant documents are usually called a definitive proxy statement, a proxy statement/prospectus, or a merger agreement. Look for sections covering the merger consideration, effective time, conditions, exchange procedures, fractional shares, tax consequences, and treatment of equity awards.
- Find the company’s definitive deal filing and confirm you have the final version, not just a preliminary filing or announcement.
- Locate the section describing what each eligible share converts into. Check the share class and any exclusions or election requirements.
- Read whether the exchange ratio is fixed, adjustable, or tied to a price formula; check how fractional shares are settled.
- Check whether options, restricted stock, or other awards have separate treatment from ordinary shares.
- Confirm the deal’s status, remaining closing conditions, expected timing, and any voting or exchange deadlines.
- Follow instructions from the issuer, transfer agent, exchange agent, and broker for your particular holding arrangement.
Some transactions describe automatic conversion; others provide steps for certificates, book-entry shares, elections, or special rights. There is no universal action every shareholder must take.

Why the stated deal value can change before closing
A fixed exchange ratio fixes the number of acquirer shares specified per target share, not the dollar value of those shares. If the acquirer’s market price changes before closing, the market value of the stock component changes too. Cash consideration stated as a fixed amount is different: its nominal amount does not move with the acquirer’s share price, though the transaction may still fail to close or be amended.

The FOX–Roku joint proxy statement/prospectus says the proposed exchange ratio would not change with FOX’s share price, while the implied value of the cash-and-stock consideration would fluctuate with that price until consummation. It gives dated illustrations: $162.20 implied value per Roku share using FOX’s June 11, 2026 closing price, and $161.16 using FOX’s August 27, 2026 closing price. Neither figure is a current quote or a typical merger outcome. The filing describes the ratio and its price sensitivity.
Rank #3
To make a like-for-like estimate for a stock or mixed deal, multiply the exchange ratio by the relevant acquirer share price and add any cash component, using the same specified date. This is an implied value, not a guarantee of what you will receive at closing; the agreement’s adjustment provisions and closing status also matter.
Ratios can also adjust under stated conditions
Not every exchange ratio is fixed. An SEC-filed Iridium–Rocket Lab Form 8-K describes $27 cash plus stock, with a ratio of 0.4000 when the measured Rocket Lab price is at or below $67.50, 0.2400 at or above $112.50, and a formula between those thresholds. These figures and thresholds apply only to that transaction. Read the Form 8-K for the transaction’s formula and conditions.

Fractional shares, options, and other awards
If the exchange calculation would give you a fraction of an acquirer share, the deal may provide cash instead of issuing that fraction. The agreement and proxy statement set out whether shares are aggregated and how the cash amount is calculated; do not assume another transaction’s method applies to yours.
Options, restricted shares, and other employee or director awards may be converted, cancelled, cashed out, or treated under a separate formula. Check the filing’s equity-award provisions and any plan or award documents that apply to you. The FOX–Roku filing, for instance, contains separate treatment details alongside its proposed consideration terms.

Tax and shareholder rights depend on the deal and your circumstances
Tax treatment is not determined by whether a transaction is casually described as a “merger.” An all-cash exchange may generally be taxable for U.S. federal income tax purposes. A stock or mixed deal may have different consequences, including effects on tax basis and holding period. One SEC-filed transaction describes tax-free reorganization treatment only if stated conditions on the value relationship between stock and cash are met; that conditional intent does not establish tax-free treatment for other deals.
Read the tax discussion in your deal filing and consult a qualified tax adviser about your own holdings, basis, holding period, fractional-share proceeds, and applicable federal, state, local, or non-U.S. rules. Appraisal or dissenters’ rights likewise depend on the governing law, transaction, eligibility, and strict procedural deadlines; the deal documents and applicable law determine whether a particular holder can use them.
What to compare if there are multiple offers or choices
There is no universally best offer based on consideration type alone. Compare the terms that affect both what you might receive and whether the transaction can close:
