An overseas sponsor does not automatically make an Indian clinical-trial service an export. For most cross-border services, the IGST Act places the supply where the recipient is located, but statutory exceptions and a pharmaceutical R&D notification may change that result. Export status is a separate test, and every condition must be met.

What the place-of-supply rule means for an overseas sponsor

When either the supplier or recipient is outside India, section 13 of the Integrated Goods and Services Tax Act, 2017 (IGST Act) generally applies. Under section 13(2), the place of supply for services not covered by the listed exceptions is the recipient’s location.

That is a starting point, not a blanket rule for every clinical-trial engagement. The relevant recipient is the person receiving the service, which may not always be the sponsor’s overseas head office. The service bundle, the recipient establishment, any applicable exception or notification, and the contractual arrangement all matter.

Keep two questions separate: Where is the place of supply? and Does the transaction meet the statutory definition of export of services? A place of supply outside India is necessary for export status, but does not by itself establish it.

Identify who supplies and receives each service

Start with the legal entities and establishments involved, rather than relying on labels such as “clinical trial” or “foreign sponsor.” Sections 2(14) and 2(15) of the IGST Act set out how recipient and supplier locations are determined. The facts to document include:

  • Which Indian legal entity supplies each contractual deliverable, and the relevant place of business or fixed establishment from which it supplies it.
  • Which sponsor entity receives each service, and whether an Indian establishment or affiliate receives or is most directly concerned with it.
  • Who contracted for the work, who directs it, and which establishment uses the results or deliverables.
  • Whether another company in the same group is involved, and what role it plays in the supply.

A sponsor’s foreign incorporation alone does not settle the recipient-location question. The contract and the actual performance and use of the service must be considered together.

Separate the clinical-trial service bundle

A trial may involve several supplies with different recipients or legal character. Where the contract and invoicing support a separation, identify the work and consideration associated with each service instead of assigning one GST treatment to everything called “trial services.” Relevant work may include:

This distinction matters for the recipient analysis, for the physical-presence exception, for the pharmaceutical-sector R&D notification, and for deciding whether the Indian provider supplies its own service or facilitates someone else’s supply. Do not split or combine items contrary to the actual contract and invoicing.

Check the statutory exceptions before applying section 13(2)

Section 13(2) applies to services not covered by the more specific rules in section 13(3) through 13(13). For clinical-trial work, the central practical issue is not simply whether an activity takes place in India, but whether a particular exception or notification applies to the service being supplied.

Rule to examine What it addresses Why it matters for a trial
Section 13(3) Specified services supplied to an individual that require that individual’s physical presence with the supplier. Assess participant-facing medical procedures separately from a CRO’s sponsor-facing research or trial-management service. The presence of participants at Indian sites does not, by itself, establish the place of supply for the separate service to the sponsor.
Sections 13(4) and 13(5) Specified services relating to immovable property and events. Check whether the actual service falls within either category; do not assume that trial-site activity alone decides the issue.
Section 13(8)(b) Intermediary services, for which the place of supply is the supplier’s location. Determine whether the provider supplies research or trial services on its own account, or instead arranges or facilitates a supply between other parties.
Section 13(13) Allows the government to notify a place-of-supply rule for specified services. Check whether a pharmaceutical-sector R&D notification covers the particular service and facts.

Other section 13 exceptions may also need review depending on the actual service. The statutory language and the service’s legal character—not its location alone—drive the analysis.

Verify whether the pharmaceutical R&D notification applies

CBIC’s Integrated Tax Notifications index lists Notification No. 4/2019-Integrated Tax, dated 30 September 2019, as a section 13(13) notification concerning the place of supply of R&D services related to the pharmaceutical sector. The index also lists Notification No. 2/2020-Integrated Tax, dated 26 February 2020, as an amendment to Notification No. 4/2019 concerning B2B MRO services, a distinct subject.

The index listing alone does not establish that a particular clinical trial or CRO deliverable is covered. Before relying on this notification, obtain its operative text and amendments, then compare the precise service, parties, and conditions in the arrangement with that text. Do not assume that all clinical trials are pharmaceutical-sector R&D for this purpose, or infer a specific place-of-supply result without checking the operative rule.

Test export status separately under section 2(6)

Section 2(6) of the IGST Act treats a supply of services as an export only when all five conditions are satisfied:

  1. The supplier of the service is located in India.
  2. The recipient of the service is located outside India.
  3. The place of supply is outside India.
  4. The supplier receives payment in convertible foreign exchange.
  5. The supplier and recipient are not merely establishments of a distinct person under the Act.

Failure to meet any one condition means the supply does not satisfy the statutory export definition, even if the customer is a foreign sponsor or the place-of-supply rule points outside India. CBIC’s FAQ on exports restates these conditions and discusses how supplier and recipient locations are determined.

For the transaction record, align the contract and invoices with evidence of the receiving establishment, the payment and remittance, and the legal relationship between the parties. If an Indian affiliate is involved, establish whether it receives the service or has another role; do not treat the group structure as incidental.

Assess whether the provider is an intermediary

Section 2(13) defines an intermediary to include a broker, agent, or other person who arranges or facilitates a supply between two or more persons. It excludes a person supplying the relevant goods or services on its own account. For intermediary services, section 13(8)(b) places the supply where the supplier is located.

A CRO is not automatically an intermediary because it coordinates investigators, sites, vendors, or participants. The question is what the provider has undertaken to supply and whether it supplies that service itself or arranges a supply between others. Examine the contractual relationships, deliverables, invoicing, and the provider’s role in the underlying supply before applying the intermediary exception.

Account for offshore subcontractors separately

An Indian provider may contract with the foreign sponsor for the overall service and use a separate offshore supplier for part of the work. CBIC Circular No. 78/52/2018-GST discusses an Indian exporter that supplies a foreign recipient partly through an overseas supplier. In the circumstances described, the circular treats the full contract value as the Indian exporter’s supply and identifies an import-of-services issue for the outsourced portion. It also discusses direct payment by the foreign customer to the offshore subcontractor, subject to the circular’s stated reverse-charge and RBI conditions.

That clarification is fact-specific, not a clinical-trial ruling that resolves every outsourcing arrangement. Map who performs each task, who contracts with and pays each supplier, and whether the Indian provider or foreign sponsor is the recipient of the offshore service. Check the applicable import-of-services and reverse-charge treatment against the actual facts and any later legal developments before relying on the circular.

Use this sequence to assess a CRO engagement

  1. Map the parties: identify each supplier, recipient, contracting entity, and relevant establishment.
  2. Map the deliverables: separate sponsor-facing research and management work from participant-facing services and vendor supplies where the contract and invoices support it.
  3. Apply section 13: begin with the recipient-location rule in section 13(2), then check relevant exceptions, including intermediary treatment and any applicable notification.
  4. Confirm export conditions: test all five section 2(6) conditions independently and retain supporting records.
  5. Review outsourcing: identify offshore subcontracted services, the recipient of each one, payment flows, and possible import-of-services or reverse-charge consequences.
