Two questions are drawing attention across India’s tech business landscape: whether former Flipkart executives will receive what they consider fair treatment in proposed ESOP buybacks, and whether a reported UPI merchant discount rate (MDR) will change how payment platforms charge for their services. Moneycontrol’s reporting puts both issues in the context of uncertainty: the ESOP figures are estimates attributed to sources, while the distinction between MDR and platform fees is not settled by the accessible reporting.

Why are former Flipkart executives approaching Walmart over ESOPs?

Moneycontrol reported in 2026 that former Flipkart CXOs are seeking “fair treatment” from Walmart over employee stock options, or ESOPs, amid uncertainty about a possible Flipkart IPO. The report describes a broader employee buyback issue; it does not establish a legal finding, a final resolution, or a scheduled IPO.

What are the reported buyback figures?

According to Moneycontrol’s sources-based reporting, more than 30,000 current and former Flipkart employees could collectively receive around $4 billion (Rs 38,000 crore) from ESOP buybacks Walmart is yet to facilitate. The same summary says former employees account for roughly half of that group and current staff could receive around $2 billion. These are reported estimates, not audited company disclosures or confirmed payments.

What remains unresolved?

The available account does not include a direct statement from Walmart or a named former executive, and it does not establish the terms of any individual’s options or a legal entitlement to a buyback. The central issue in the reporting is how former employees are treated in the buyback process—not evidence that Walmart has conceded a claim.

Will UPI MDR kill fintech platform fees?

Not necessarily, according to the distinction highlighted in Moneycontrol’s October 7, 2026 coverage: payment platforms may argue that a platform, convenience, or technology fee is separate from MDR. That is an industry argument reported by the outlet, not a definitive ruling that such fees are permitted under NPCI rules. The full article and underlying directive are not available in the reporting reviewed here, so the legal scope of the distinction cannot be confirmed.

How does MDR differ from a platform fee?

MDR is a payment-processing charge imposed on the merchant side. A platform or convenience fee is described as a separate charge for a service provided by an app or payments platform, and a technology fee may be presented on a similar basis. The label alone does not establish who ultimately bears a charge or whether a particular fee complies with applicable rules.

Question MDR Platform, convenience, or technology fee
Who is described as being charged? The merchant, under the reported UPI MDR framework. Not established uniformly in the available reporting; the fee is presented as distinct from MDR.
What is the stated basis? Payment processing. A platform or related service, as characterized by the industry argument.
Who ultimately receives the money? The sources do not quantify how MDR revenue is distributed across the payments ecosystem. The available October 7 summary does not provide enough detail to quantify recipients or distribution.
Could the cost reach customers indirectly? Moneycontrol reported that the government planned to monitor whether merchants pass MDR costs on to customers. The available reporting does not establish how any particular platform fee is treated or passed through.

What rate and start date were reported?

Moneycontrol’s September 18, 2026 newsletter reported a 0.4% UPI MDR applying from October 15, 2026. The newsletter presents this as the announced framework, but the official NPCI circular is not available in the sources reviewed here; readers should treat the rate and date as contemporaneous reporting rather than a quotation from the circular.

Can MDR revive fintech funding?

Investors described the reported MDR framework as a possible improvement in payments businesses’ ability to earn revenue, not a guarantee of higher profits or a settled source of income for every fintech. The value to a platform depends on how much of the merchant-side charge reaches it and how the rest of the payment ecosystem allocates the revenue—details the available reporting does not quantify.

Why investors see a possible change

Sagar Agarwal of Beams Fintech Fund said the move “improves visibility on unit economics” and could make payments a “credible monetisation layer” rather than simply a customer-acquisition channel. His comments describe a potential business effect; they do not establish that platforms will retain a particular amount or become profitable.

Moneycontrol’s September 18 newsletter also cited a potential Rs 20,000-crore revenue pool across the UPI ecosystem, an estimate by Vikram Chachra of 8i Ventures. That figure is an investor estimate of potential ecosystem revenue, not realized revenue or a forecast of what any individual fintech will earn.

What the funding figures do—and do not—show

Through September 17, 2026, startups raised $1.14 billion across 76 deals, down 26% year over year, according to Venture Intelligence figures reported by Moneycontrol. The figures describe funding activity through that date; they do not show that MDR caused a change in investment or that the policy will reverse the decline.
