Everest Group completed the sale of its Canadian Retail Insurance operations to The Wawanesa Mutual Insurance Company on October 1, 2026. The transaction transferred Everest Insurance Company of Canada to Wawanesa for disclosed agreed consideration of C$410 million, subject to adjustment. Everest says the sale supports its plan to focus on reinsurance and global wholesale and specialty insurance.
What Everest sold to Wawanesa
The transaction was a sale of all outstanding shares of Everest Insurance Company of Canada, the entity representing Everest’s Canadian Commercial Retail Insurance operations. It was not simply a transfer of policies or renewal rights. Everest’s SEC-filed transaction disclosure describes the share sale and related agreements.
Everest announced completion on October 1, 2026, saying that required regulatory approvals had been received and customary closing conditions satisfied. Wawanesa had said on September 8, 2026 that all required regulatory approvals were in hand.

Consideration and related agreements
Everest’s SEC disclosure states agreed consideration of C$410 million, subject to adjustment, for all outstanding shares of Everest Canada. The October 1 completion announcement does not give a final adjusted amount, so C$410 million should not be treated as confirmed final proceeds.

The filing also describes a loss portfolio transfer reinsurance agreement under which Everest Reinsurance Company’s Canadian branch would reinsure certain liabilities relating to insurance business written before closing. A transition services agreement is also part of the disclosed arrangements.
Why Everest says it made the sale
Everest has described the Canadian divestiture as another step in its plan to exit Commercial Retail Insurance and concentrate capital and capabilities on Reinsurance and Global Wholesale and Specialty Insurance. That is the company’s stated strategic rationale, not proof that the sale has already improved financial performance.
In its October 1 announcement, Everest President and CEO Jim Williamson said the transaction “further sharpens Everest’s portfolio” and positions the company to concentrate on those businesses. Wawanesa, for its part, said the purchase would add a portfolio of specialty commercial insurance products, talent and expertise.
How this differs from Everest’s 2025 sale to AIG
The Canadian sale is separate from Everest’s 2025 transaction with AIG. The two deals involved different assets, buyers and timing:
Rank #3
| Transaction | Asset transferred | Buyer | Timing | Disclosed consideration |
|---|---|---|---|---|
| Canadian Retail Insurance sale | Shares of Everest Insurance Company of Canada | Wawanesa | Completed October 1, 2026 | C$410 million, subject to adjustment, for the shares, according to Everest’s 2026 SEC disclosure |
| Commercial retail renewal-rights sale | Certain commercial retail insurance renewal rights | AIG | Closed October 26, 2025 | US$252 million aggregate purchase price, as disclosed in Everest’s 2026 SEC filing for the separate transaction |
The US$252 million figure relates to the AIG renewal-rights transaction, not the Canadian insurer sale. Everest’s filing also describes contingent terms and other amounts for the AIG deal; the aggregate purchase price should not be read as a statement of final cash proceeds.

The completion announcement and SEC filing confirm the closing, disclosed transaction structure and Everest’s stated strategic intent. They do not establish the post-close effect on Everest’s earnings, premiums, customers, staff or capital position. Nor does the completion announcement confirm a final adjusted amount for the share sale.
