On March 28, 2025, Elon Musk announced that his AI company, xAI, had acquired X, the social network formerly known as Twitter, in an all-stock transaction. The $45 billion and $33 billion figures he gave for X describe different things: enterprise value and equity value after debt. Musk said the merger would join xAI’s AI capabilities with X’s data and reach; that was his stated rationale, not proof that the deal delivered better products or results.
Why did Elon Musk merge xAI and X?
Musk presented the deal as a way to combine xAI’s AI capabilities with X’s data, distribution, computing resources, models, and staff. In his March 28 announcement, reproduced by the Associated Press, he wrote: “xAI and X’s futures are intertwined. Today, we officially take the step to combine the data, models, compute, distribution and talent.”
That statement explains the strategic case Musk offered: X could provide a large platform and a source of data, while xAI brought AI models and related capabilities. It is a description of intended benefits from the deal’s principal, not independent evidence that the combination improved a product, increased revenue, or attracted more users.

Was X worth $33 billion or $45 billion?
In announcing the transaction, Musk described X as having a $45 billion enterprise value, including $12 billion of debt. Subtracting that debt gives the $33 billion equity value he stated. Those figures are not competing estimates of the same measure.

| Figure | What it refers to | Attribution and date |
|---|---|---|
| $80 billion | Musk’s announced valuation for xAI | Musk’s March 2025 announcement, as reported by AP |
| $45 billion | Musk’s stated enterprise value for X, including debt | Musk’s March 2025 announcement, as reported by AP |
| $12 billion | Debt deducted from X’s enterprise value in Musk’s calculation | Musk’s March 2025 announcement, as reported by AP |
| $33 billion | X’s stated equity value after subtracting the $12 billion in debt from the $45 billion enterprise value | Musk’s March 2025 announcement, as reported by AP |
These were transaction values announced for privately held companies, not audited public-company valuations. The sources reporting the announcement do not establish an independent public-market valuation for either business.
How much debt did X have when xAI acquired it?
The March 2025 announcement’s arithmetic put X’s debt at $12 billion: that amount was included in the $45 billion enterprise value and deducted to arrive at the $33 billion equity value. Treat the figure as part of Musk’s announced valuation, not as an independently verified balance sheet in the cited reporting.

Later coverage describes additional borrowing and a proposed repayment, but those reports concern the companies after the combination and should not be folded into the March 2025 calculation. Reuters reported in February 2026, citing people familiar with the transaction, that the combined business had taken on at least $5 billion in additional debt after the 2025 combination. In March 2026, Reuters relayed a Bloomberg report, based on unnamed sources, that the companies planned to repay about $17.5 billion of debt tied to X and xAI. That was a reported plan; the cited reporting does not confirm that repayment was completed.

Did Trump’s relationship with Musk affect the X merger?
The events documented in the cited reporting do not establish that Donald Trump directed or shaped the March 2025 transaction. Two separate episodes prompted political scrutiny and backlash, but neither should be presented as proof of what caused the merger.

March 2025: senators asked DOJ to investigate pressure allegations
In a March 6, 2025 letter, Senators Elizabeth Warren, Cory Booker, and colleagues cited reports that an X attorney had allegedly pressed advertising group Interpublic Group to get clients to spend more on X. The senators said the reported pressure invoked Musk’s federal role and a pending $13 billion merger review, and they asked the Department of Justice to investigate.
The letter documents the senators’ allegations and request. It is not a DOJ finding that coercion occurred or that anyone violated the law.

June 2025: Trump and Musk fell out publicly
AP and Reuters reported that Trump and Musk exchanged public attacks in June 2025 after Musk criticized Trump’s legislative agenda. Trump raised the possibility of ending government support or contracts, and Musk responded publicly. This later feud is relevant to the political context around Musk, but it happened after the xAI–X announcement and does not show that Trump influenced the deal.
What happened to xAI and X after the merger?
In February 2026, Reuters reported that SpaceX acquired xAI. Because xAI had acquired X the year before, that is a later development in the companies’ ownership context; it is separate from the March 2025 xAI–X transaction. The reported SpaceX acquisition should not be confused with the earlier deal or treated as confirmation that Musk’s stated strategic aims were achieved.
