Dropbox announced in March 2021 that it would acquire DocSend, a secure document-sharing and analytics company, and completed the deal later that month. Dropbox described the transaction as $165 million in cash—not £118 million—and later reported $131.8 million in total purchase consideration in its annual filing. Those figures reflect different reporting measures.

How much did Dropbox pay for DocSend?

Dropbox’s March 9, 2021 announcement valued the transaction at $165 million in cash, subject to customary purchase-price adjustments and closing conditions. The announcement did not quote a sterling price. The £118 million figure in the headline should therefore not be read as an amount Dropbox itself announced: the reviewed company filings do not establish its exchange-rate date or conversion method.

Other Dropbox disclosures use different measures. Its Q1 2021 earnings release described the completed acquisition as costing approximately $165 million, primarily in cash, and said $30.7 million was subject to ongoing employee service. Its fiscal 2021 Form 10-K later reported $131.8 million in total purchase consideration under acquisition accounting. These amounts are not interchangeable: one is the announced cash transaction value, one is the earnings-release description of the completed deal, and one is the accounting consideration reported in the annual filing.

What is DocSend, and why did Dropbox buy it?

At the time of the deal, Dropbox described DocSend as a secure document-sharing and analytics company with more than 17,000 customers. That customer count was the company’s statement around the announcement and completion; it is not a current figure.

Dropbox’s stated strategy was to connect its content collaboration and storage services with DocSend’s secure sharing and engagement feedback, alongside HelloSign’s e-signature capability. It framed the combination as an end-to-end document workflow for activities such as closing deals and onboarding teams. Dropbox’s announcement called the intended offering an “end-to-end suite of secure, self-serve products for content collaboration, sharing, and e-signature.”

That was Dropbox’s rationale for the acquisition, not evidence that the expected benefits were achieved. The later annual filing confirms the acquisition and its accounting treatment, but the cited materials do not measure product integration or quantify realized synergies.
