Digital Turbine filed a resale prospectus supplement covering 1,222,418 shares of its common stock. The filing permits the selling stockholders named in the supplement to resell those shares from time to time; it does not say that the shares have already been sold or will be sold immediately.

What Digital Turbine filed

In an October 1, 2026 Form 8-K, Digital Turbine, Inc. reported filing a universal shelf registration statement on Form S-3ASR (File No. 333-299236) and a Rule 424(b)(7) resale prospectus supplement with the U.S. Securities and Exchange Commission. The supplement covers 1,222,418 shares of Digital Turbine common stock, par value $0.0001 per share, for resale by the selling stockholders identified in that supplement. Digital Turbine’s common stock trades on Nasdaq under the ticker APPS.

The company said the 8-K was filed to provide a legal opinion about the validity of the securities covered by the supplement. The opinion is included as Exhibit 5.1, and the filing’s exhibit table identifies Jackson Walker L.L.P. as counsel for it. Read Digital Turbine’s October 1, 2026 Form 8-K.

What a resale shelf registration means

A resale registration registers shares for possible resale by the selling stockholders named in the prospectus supplement. It is distinct from a primary offering in which the company issues new shares to raise funds for itself. The 8-K describes this filing as covering stockholders’ resales; it does not describe a new issuance by Digital Turbine.

Registration is also not the same as a completed sale. The filing establishes that the shares may be sold from time to time under the supplement, not that all 1,222,418 shares have been sold, that a sale is underway, or that the holders will sell on a particular schedule.

Are 1.2 million APPS shares being sold now?

The October 1 Form 8-K does not establish that. It reports the shares registered for possible resale, but it does not state when the selling stockholders will sell or whether they will sell all or any of the shares. The registration amount alone also cannot establish a market impact or predict APPS’s price movement.

What this filing does not specify

The 8-K’s description does not identify the selling holders, break down how many shares each holder may sell, or provide detailed warrant-exercise terms. Those particulars require the prospectus supplement and related registration documents. Investors should distinguish those details from what the 8-K itself confirms: the resale registration covers 1,222,418 shares and permits sales from time to time by the named selling stockholders.
