Oracle did beat Microsoft in ByteDance’s 2020 contest for TikTok’s U.S. business, but it did not buy TikTok outright at that time. ByteDance rejected Microsoft and chose Oracle for a proposed trusted-technology and cloud partnership. A separate arrangement signed in December 2025 created TikTok USDS Joint Venture LLC, in which Oracle became a 15% investor. Associated Press reporting described Oracle as operating the U.S. data system, while Oracle’s filing for the quarter ended August 31, 2026 confirms the 15% stake.

What happened in 2020?

In September 2020, ByteDance rejected Microsoft’s bid for TikTok’s U.S. operations and selected Oracle. Oracle announced that TikTok had chosen it as a secure cloud provider and “trusted technology provider.” Reuters described ByteDance’s preference as a partnership rather than an outright sale, and a contemporaneous Congressional Research Service account also treated the proposal as a technology arrangement.

That distinction matters: the 2020 proposal did not complete a transfer of TikTok’s U.S. operations to Oracle. ByteDance remained the owner, while Oracle’s proposed role centered on cloud infrastructure and security services.

How the 2020 proposal differs from the later venture

Issue 2020 Oracle proposal Later U.S. venture
Transaction type Proposed trusted-technology and cloud partnership TikTok USDS Joint Venture LLC, formed under agreements signed in December 2025
Ownership ByteDance retained ownership in the proposal context Oracle held 15% as of August 31, 2026, according to Oracle’s Form 10-Q
Oracle’s role Proposed cloud and security provider 15% investor and, according to Associated Press reporting, operator of the local U.S. data system
Algorithm arrangement Safeguards were part of the proposed technology structure Associated Press reported that the U.S. backend algorithm would be licensed from ByteDance and retrained on U.S. user data; the legal implications remain unsettled

Who owns the later TikTok U.S. venture?

The Associated Press reported this ownership summary from the venture agreement:

Holder Reported interest
Oracle 15%
Silver Lake 15%
MGX 15%
ByteDance 19.9%
Affiliates of existing ByteDance investors 30.1%

Those named percentages add up to 95%. The available Associated Press summary does not identify the remaining five percentage points, so it should not be treated as a fully reconciled cap table. Oracle’s own 2026 filing independently confirms its 15% ownership interest in TikTok USDS Joint Venture LLC.

What responsibilities were reported for Oracle and the venture?

Associated Press reporting said U.S. user data would be stored locally in an Oracle-run system and that the U.S. venture would oversee content moderation and U.S. policies. These are reported arrangements, not evidence of an independently audited security result. Oracle’s 2026 filing confirms the investment but does not describe those operational controls.

Algorithm licensing and retraining

The Associated Press reported that the U.S. backend’s recommendation algorithm would be licensed from ByteDance and retrained using U.S. user data. It also noted a law restricting cooperation over the recommendation algorithm and said the legal treatment of ByteDance’s continued involvement was unclear. That remains an unresolved legal question rather than a settled finding.

Why was a new arrangement needed?

Associated Press coverage described the venture as following a 2024 U.S. law requiring TikTok to divest from ByteDance to avoid a ban. The app faced a statutory deadline in January 2025 before President Donald Trump’s administration issued orders allowing it to continue operating while an agreement was pursued. The cited accounts provide context for the deal but not a complete history of the law’s litigation or enforcement.

Will users notice a different TikTok?

Associated Press reporting said U.S. users could continue using the same app, but the effect of retraining the recommendation system was not yet known. No measured post-transition change to users’ feeds is established in the cited reporting.

Forrester analyst Kelsey Chickering told the Associated Press, “Global content will still appear, but its ranking will change.” That is an expectation about how retraining might affect recommendations, not a measured result. Analyst Jasmine Enberg of eMarketer separately warned that service changes can risk alienating an audience; that is commentary, not proof that users have left or that the experience has deteriorated.

So did Oracle actually “win” TikTok?

It won the 2020 selection contest against Microsoft, but the victory was initially a choice of technology partner, not an outright acquisition. The later TikTok USDS venture changed Oracle’s position: it became a named 15% investor and was reported to have a role in U.S. data operations. ByteDance still appears in the reported ownership structure, and important questions remain about the missing five percentage points, independently verified security controls, the algorithm license’s legal treatment, and any measured change in recommendations.
