To convert paper share certificates to demat in India, open or use a demat account with a Depository Participant (DP), submit the DP’s Demat Request Form (DRF) and the original certificates, then wait for the issuer’s registrar to verify the request. Once confirmed, the electronic holding is credited to your demat account. This changes how you hold the shares; it does not sell them.
Demat and physical shares: what changes?

SEBI describes dematerialisation as converting physical certificates into an equivalent number of securities in electronic form and crediting them to the investor’s BO account with a DP. It is a change in record format, not a sale of the shares. SEBI’s FAQ on dematerialisation
How to convert paper share certificates to demat
- Check the certificate and identify the issuer’s RTA. Confirm which company issued the shares and identify its registrar and transfer agent. If the certificate is lost, damaged, disputed, or has stale holder details, contact the issuer or RTA about the appropriate service request rather than assuming it can be processed as a routine conversion.
- Open or use a demat account through a DP. Check that the account’s holder names and ownership pattern match the paper certificate. A single-holder certificate needs a matching single-holder account; joint holdings need the same holders and ownership pattern. SEBI’s dematerialisation FAQ
- Get the DP’s DRF and complete it. Use a separate DRF for each ISIN, the identifier for a particular security issue, as specified in SEBI’s FAQ.
- Submit the signed DRF and original certificates to the DP. Follow that DP’s current instructions for signing, packaging, submission, and getting a receipt; those operational details can vary.
- Allow the verification chain to run. The DP forwards the request through the depository, and the certificates and request go to the issuer’s registrar. The registrar checks the details and either confirms the request or raises an objection. After confirmation, the depository and DP update the electronic holding.
- Check your demat account for the credit. If the request is delayed or rejected, contact the DP for the status and the reason for any objection; the issuer/RTA may need to resolve certificate or ownership issues.
What if joint-holder names appear in a different order?
If the names on the certificate and demat account are the same but appear in a different sequence, ask your DP whether you can use transposition-cum-dematerialisation. When the ordinary demat process is not the right route
A routine DRF submission is not a universal remedy for every certificate problem. Lost or damaged certificates, transmission after inheritance or succession, and other issuer service requests can involve additional verification and documentation. Contact the issuer/RTA or your DP to determine the applicable process; requirements depend on the request and the issuer.

Specified service requests: SEBI’s 2026 direct-credit process
SEBI’s circular dated January 30, 2026, provides a direct-credit route after issuer/RTA due diligence for specified requests, including duplicate certificates, transmission, transposition, and claims from unclaimed suspense accounts. For requests within this framework, the investor submits an attested Client Master List (CML) for the demat account that is no more than two months old, along with a completed demat conversion request form. After resolving objections and completing due diligence, the issuer/RTA is to credit the securities directly to the holder’s demat account. Can you keep shares in physical form instead?
SEBI’s March 2019 clarification said investors may continue to hold physical securities, while transfer requests for physical securities generally can be processed only after dematerialisation. The clarification identified transmission and transposition as exceptions to that transfer rule. Because rules and applicable exceptions can change, verify current SEBI and issuer/RTA guidance before acting on a particular transfer. SEBI’s March 2019 clarification

Fees and processing time
There is no single fee or completion time established here for ordinary dematerialisation requests. Ask your chosen DP about its current charges and handling time, and check with the issuer/RTA if the certificate or ownership details need additional review. Do not assume the 2026 direct-credit framework changes the ordinary conversion process.
