CoreWeave’s three co-founders reportedly sold nearly $488 million worth of shares through tender offers in 2023 and 2024. That is the reported value of shares sold—not a verified total of their after-tax proceeds or their total wealth. The “possible $4 billion IPO” in the original headline was an estimate reported on March 5, 2025; CoreWeave completed its IPO later that month at $40 per share.
How the reported $488 million breaks down
TechCrunch attributed the tender-offer sales to the three co-founders as follows:
| Co-founder | Reported share-sale value |
|---|---|
| Michael Intrator | About $160 million |
| Brian Venturo | About $177 million |
| Brannin McBee | About $151 million |
The figures total about $488 million. They describe the reported value of shares sold in two tender offers, not the founders’ net cash after taxes or a measure of their remaining assets. TechCrunch’s March 5, 2025 report does not establish an after-tax total.

The $4 billion figure was an expectation, not the IPO result
The potential $4 billion offering size appeared in reporting before CoreWeave priced its IPO. The company went public later in March 2025 at $40 per share. Axios reported that the offering raised $1.5 billion; CoreWeave’s later Form 10-K gives a different, narrower measure: $1.4 billion in net proceeds after underwriting discounts and before offering costs. Gross proceeds and net proceeds are not interchangeable.

CoreWeave’s Form 10-Q says the company sold 36.59 million shares in the IPO, while selling stockholders sold 910,000. The company explicitly said it received no proceeds from the shares sold by those stockholders. The founders’ earlier tender-offer sales and the later IPO therefore represent distinct transactions, and neither should be conflated with money raised by the company through its own share issuance. CoreWeave’s first-quarter 2025 Form 10-Q details the share counts and proceeds distinction.
Share sales did not end the founders’ voting control
Selling shares can provide liquidity without giving up control when a company has shares with different voting rights. In its March 20, 2025 amended S-1, CoreWeave projected that Intrator, Venturo, and McBee would collectively hold about 79.0% of post-offering voting power under the filing’s stated assumptions. That was a projection immediately after the offering, not a later measurement.

CoreWeave’s 2025 Form 10-K, filed March 2, 2026, describes the subsequent year-end position: each Class B share carried ten votes, compared with one vote for each Class A share, and the co-founders held all issued and outstanding Class B shares as of December 31, 2025. These later facts show how the multi-class structure supported founder voting control; they should not be treated as the same snapshot as the S-1 projection. The amended S-1 and the 2025 Form 10-K provide the respective figures.
What the figures do—and do not—show
- The nearly $488 million is a reported gross value for shares sold in two tender offers, not a verified after-tax payout.
- The pre-IPO possibility of a $4 billion offering was not the final outcome; CoreWeave priced at $40 per share and the reported gross raise was $1.5 billion.
- CoreWeave’s $1.4 billion net-proceeds figure is after underwriting discounts and before offering costs, so it answers a different question from the gross raise.
- The company received no proceeds from selling-stockholder shares in the IPO.
- Economic liquidity from share sales did not necessarily mean loss of voting control: the company’s multi-class structure gave Class B shares ten votes apiece.
CoreWeave CEO Mike Intrator told Axios that “going public is key to having reliable access to the consistent funding the company needs to build out the computing infrastructure that clients are after.” That explains the company’s financing rationale for listing, separately from the founders’ earlier liquidity through tender offers. Axios reported the statement on March 28, 2025.
