Cohere and Germany’s Aleph Alpha have signed an agreement to combine, but the transaction has not been completed. Announced on September 16, 2026, the deal remains subject to final regulatory approvals, and Cohere says it expects to close later in 2026. The companies intend for the combined business to operate globally as Cohere, with roots in Canada and Germany.

What did Cohere and Aleph Alpha announce?

The companies announced a planned combination on April 24, 2026, then said on September 16 that they had signed a definitive business combination agreement. A signed agreement is a significant step, but it is not the same as a completed merger: Cohere’s announcement says final regulatory approvals are still required. Cohere’s September 16 announcement and Aleph Alpha’s announcement describe the agreement and its pending status.

Has the merger closed, and when is it expected?

No. The companies’ September 16 announcements say the deal remains subject to final regulatory approvals. Cohere says it is expected to close later in 2026, but the announcements do not give a specific closing date. They do not establish that approvals have been granted or that the transaction has closed.

What will the combined company be called?

The companies say the unified company is intended to operate globally as Cohere. They describe it as rooted in both Canada and Germany. The announcements do not set out a complete post-close governance structure or the combined company’s final leadership roster.

Why are the companies combining?

Cohere and Aleph Alpha present the combination as a way to provide enterprise AI that meets sovereignty requirements in Canada and Germany, including for governments and regulated industries. Cohere’s announcement describes its mission as “giving organizations control over the AI they rely on.” That is the company’s wording, not a quote attributed to a named individual.

The companies call the planned offering the “first transatlantic sovereign AI solution.” That is their positioning; the announcements do not independently establish a ranking. They have not yet provided detailed product-integration plans, so the agreement alone does not show which products or services will be combined or how customers’ offerings will change.

What does the €500 million figure mean?

When Aleph Alpha announced the plan on April 24, it said companies of Schwarz Group would provide €500 million in structured financing. This is an announced financing amount, not a disclosed merger price or combined-company valuation. The April announcement also said the plan was subject to shareholder and competent-authority approvals. Aleph Alpha’s newsroom carries the April announcement.

What is known about leadership?

Aleph Alpha’s newsroom listed a leadership update on September 28, 2026, saying Reto Spörri had left and Ilhan Scheer continued as CEO. That update does not establish the full leadership arrangement for the combined company. Cohere said further integration and product details would follow; the agreement announcements do not provide a final combined-company leadership roster.
