Chemung Canal Trust Company completed its conversion from a New York-chartered trust company to a national bank on October 1, 2026, after receiving approval from the Office of the Comptroller of the Currency (OCC). Its current post-conversion legal name is Chemung Canal Trust Company, National Association. The filing says it remains the same corporate entity in the same structure.

What changed when Chemung Canal Trust Company became a national bank?

The change was to the bank’s charter and regulator. It is now a national bank subject to OCC supervision, regulation, and examination, rather than a New York-chartered trust company. The SEC filing reports a completed charter conversion, not a merger or sale.

Before the conversion After the conversion
New York-chartered trust company National bank
State charter OCC supervision, regulation, and examination
Chemung Canal Trust Company Chemung Canal Trust Company, National Association
Corporate entity and structure Same corporate entity and structure, according to the filing

The OCC issued Bulletin 2026-4, “National Bank Chartering: Final Rule,” on February 27, 2026; the rule took effect April 1, 2026. It clarified that national banks limited to trust-company operations and related activities may conduct non-fiduciary activities as well as fiduciary activities. The OCC said the rule did not expand or contract its chartering authority. This is general regulatory context, not evidence that the bulletin caused or specifically adjudicated Chemung’s conversion.

When did the conversion happen?

  • April 3, 2026: Chemung Canal Trust Company filed an application with the OCC to convert from a New York-chartered trust company to a national bank. The application was still subject to approval when described in the company’s April 7 Form 8-K.
  • October 1, 2026: The company reported that the OCC had approved the conversion and that it was complete.

The company’s filing reports OCC approval, but the individual OCC approval decision or application record is not identified here. The OCC bulletin is not the specific approval instrument for this conversion.

Is the Canal Bank & Trust name already in use?

No. On October 1, Chemung Financial Corporation separately announced plans to unify the Chemung Canal, Capital Bank, and Canal Bank brands under Canal Bank & Trust, N.A. The company said it would introduce the name and logo in the coming months and roll out the change across its footprint through 2027. That is a future brand plan, distinct from the current post-conversion legal name, Chemung Canal Trust Company, National Association.

Jeffrey P. Kenefick, Regional President of Chemung Canal Trust Company, said the proposed name refers to the waterway after which the bank was named: “The Bank was founded shortly after the opening of the Chemung Canal, the Bank’s namesake and an important waterway that helped connect communities and commerce.”
