Cadence completed its acquisition of Secure-IC on October 30, 2025. The January 2025 phrase “to become Cadence’s security entity” described the plan when the deal was announced; it is no longer a future transaction. Secure-IC provides embedded-security IP, solutions, evaluation tools, and services for semiconductor and electronic-system customers.

What Secure-IC does

Secure-IC supplies embedded-security intellectual property (IP), related solutions, security evaluation tools, and services. Its work is aimed at companies designing semiconductors and electronic systems, rather than consumers buying a standalone security device.

In its January 21, 2025 announcement, Secure-IC said its Securyzr, Laboryzr, and Expertyzr solution families would be integrated into Cadence’s portfolio. That statement described the intended integration; it does not establish when any product became available or its current status.

Did Cadence acquire Secure-IC?

Yes. Cadence announced a definitive agreement to acquire Secure-IC on January 21, 2025, then announced that the acquisition was complete on October 30, 2025. Cadence’s 2025 Form 10-K records that it acquired all outstanding equity of Secure-IC SAS on that date.

  • January 21, 2025: Cadence announced the agreement, and Secure-IC described its planned role as Cadence’s dedicated security entity.
  • October 30, 2025: Cadence announced completion; its annual filing records the equity acquisition.

Why Cadence said it wanted Secure-IC

Cadence presented the deal as a way to add embedded-security IP, solutions, evaluation tools, and services to its silicon-proven IP and subsystem-design portfolio. It said the combination was intended to serve demand in automotive, data center, aerospace and defense, mobile, Internet of Things (IoT), and consumer-electronics markets. These were Cadence’s strategic rationale and market expectations, not independently measured results of the acquisition.

Secure-IC said it was joining Cadence to become the company’s dedicated security entity. It described its history as a “15-year legacy” and reported “over 500 successful projects worldwide”; both figures are Secure-IC’s own characterizations, not independently verified counts in the cited materials.

What the acquisition cost, according to Cadence’s filing

Cadence’s 2025 Form 10-K presents two purchase-consideration figures that use different definitions. The filing reports $139.6 million of aggregate purchase consideration net of $13.1 million in cash acquired. Its purchase-accounting table separately reports total purchase consideration of $152.719 million. These are not interchangeable figures: the first is net of acquired cash, while the second is the total consideration reported in the accounting table.

As of December 31, 2025, Cadence described its purchase-price allocation as preliminary. The filing said the measurement period could run for up to one year from the October 30 acquisition date, so the allocation could still be refined.

What is not established by the announcements

The acquisition releases describe the companies’ rationale and intended portfolio integration, but they do not establish realized financial or engineering synergies, a launch schedule for integrated products, or the present availability of each Secure-IC offering. Cadence characterized the deal as a “multi-hundred-million incremental TAM opportunity”; that is the company’s description of potential market opportunity, not an independently verified market-size estimate.

For customers, the substantiated takeaway is that Cadence added a business-to-business embedded-security portfolio to its semiconductor IP and design capabilities. Specific offerings and terms depend on customer orders and licenses; the acquisition announcements are not a current product catalog.
