Cadence Design Systems announced an agreement in February 2013 to acquire Cosmic Circuits, an India-based developer of analog and mixed-signal semiconductor IP. The purchase price was not disclosed. The announcement said the deal was expected to close within 30 to 60 days, but the available report does not confirm that it closed.

Which analog IP company did Cadence agree to acquire?

Cadence announced its agreement to acquire Cosmic Circuits Pvt. Ltd. on February 7, 2013, according to EE Times. Cosmic Circuits developed reusable analog and mixed-signal IP cores—building blocks that chip designers can incorporate into integrated circuits.

What was Cosmic Circuits?

Founded in 2005, Cosmic Circuits focused on IP for mobile devices and consumer electronics. At the time of the announcement, the company said it had more than 75 customers worldwide and had been profitable from its first year, according to EE Times.

Its products and process nodes

The company’s portfolio included USB, MIPI, audio and Wi-Fi cores designed for 40-nanometer and 28-nanometer manufacturing processes. Cosmic Circuits said that more than 50 million ICs containing its IP shipped in 2012. It also had IP for 20-nanometer processes and FinFET technology under development; those were works in progress, not products the announcement said were already shipping.

Why did Cadence want Cosmic Circuits?

The announced strategic fit was to add Cosmic Circuits’ low-power mobile and consumer IP to Cadence’s existing strength in high-speed serial IP for cloud and server applications. Cosmic Circuits CEO Ganapathy Subramaniam described the aim as combining the startup’s focus on “low-power mobile and time-to-market critical consumer IP markets” with Cadence’s high-speed serial IP position, as quoted by EE Times.

What was the transaction structure and expected timing?

The agreement called for Cosmic Circuits’ IC and systems-development business in Bangalore, India, to be spun off into a separate company owned by certain existing Cosmic Circuits shareholders, according to EE Times. The report said the acquisition was expected to close in 30 to 60 days. It does not establish a completed closing, the eventual ownership outcome, or any later transaction terms.
