Cadence agreed in April 2025 to acquire Arm’s Artisan foundation IP business, whose standard cell libraries, memory compilers and general-purpose I/Os support chip design. The price was undisclosed when the deal was announced. Cadence later reported $128.5 million in aggregate purchase consideration in its FY2025 Form 10-K.

What Cadence acquired

The deal covered Arm’s Artisan foundation IP business: standard cell libraries, memory compilers and general-purpose input/output (GPIO) IP optimized for advanced process nodes at leading foundries. These are building blocks used in chip designs, including systems-on-chip (SoCs). Cadence announced a definitive agreement on April 16, 2025, structured as an asset purchase agreement with a technology license agreement to be signed at closing, subject to existing rights. Cadence’s announcement does not establish current licensing terms or the availability of particular offerings by foundry or process node.

How much did Cadence pay?

Cadence reported aggregate purchase consideration of $128.5 million in its FY2025 Form 10-K, filed in 2026. The filing’s purchase-price allocation table gives the more precise total as $128.491 million. That later disclosure is distinct from the April announcement, which did not disclose a price. Arm’s annual report separately records a $131 million pretax gain on divestiture for the fiscal year ended March 31, 2026. That is Arm’s accounting gain from the sale, not the purchase consideration Cadence paid. Arm’s annual reports

When the deal was announced and completed

  • April 16, 2025: Cadence announced the definitive agreement and expected the transaction to close in the third quarter, subject to regulatory approvals and other customary conditions.
  • August 26, 2025: Cadence’s Form 10-K and Arm’s annual report identify this as the acquisition or sale date.
  • August 27, 2025: Cadence announced that the acquisition had been completed. Cadence’s completion announcement

Why Cadence said it wanted the business

Cadence described the acquisition as a way to enter the foundation IP market, augment its design IP offerings and increase its presence in SoC designs. It said the expanded portfolio would help customers accelerate time to market and optimize cost, power and performance. Those were Cadence’s stated aims, not independently measured results of the transaction.

The company also said the acquired engineering team could accelerate development of related and new IP products. The acquisition added foundation IP to Cadence’s offerings; it should not be confused with other IP areas mentioned in the announcement, including embedded security IP associated at the time with Cadence’s pending Secure-IC acquisition.

What the filings do—and do not—tell readers

The transaction disclosures establish the acquired asset categories, closing dates and reported purchase consideration. They do not provide a detailed integration roadmap or current customer licensing terms. Cadence’s 2025 statement that the deal’s revenue and earnings impact would be immaterial that year was an expectation at the time, not a verified result reported here.
