Boost Run LLC signed a cloud-services agreement with Cohere Inc. on September 30, 2026, under which Cohere committed to pay approximately $525.6 million over the contract term, subject to delivery and acceptance requirements. The deal is executed, but that figure is not proof the money has already been collected or recognized as revenue. Each rack’s roughly five-year service term starts only when Cohere accepts it; initial acceptance was expected to begin in the second quarter of 2027.

What Boost Run agreed to provide

The contract is between Cohere Inc. and Boost Run LLC, a wholly owned subsidiary of Boost Run Inc., the company that filed the agreement with the U.S. Securities and Exchange Commission. Boost Run is to provide Cohere access to dedicated GPU cloud infrastructure and related services. The agreement was signed September 30, 2026, according to Boost Run’s Form 8-K.

In its October 6 announcement, Boost Run said the capacity will use NVIDIA GB300 NVL72 GPUs and include network storage and CPU-node services. The announcement does not state the number of racks or GPUs assigned to Cohere, the deployment’s power capacity, or the data-center sites. Data Center Dynamics also reported that the locations had not been disclosed.

What the $525.6 million figure means

The approximately $525.6 million is Cohere’s stated payment commitment over the agreement term, subject to delivery and acceptance requirements. A portion is payable as a prepayment, but neither its amount nor the order-specific fee schedule is disclosed in the public materials. The contract value should not be read as cash already received, recognized revenue, or profit.

Boost Run said the Cohere deal takes its total contract value above $2.6 billion. That is the company’s stated TCV measure, not a reported revenue or cash-collection figure. Founder and CEO Andrew Karos described the agreement as “an important step in efficiently deploying our financing into contracted revenue” in the company’s October 6 announcement, reproduced by StockTitan from Business Wire.

When service and billing begin

The agreement sets a separate service term for each rack. Each term lasts approximately five years and begins when Cohere accepts that rack, rather than simply when the agreement was signed. The filing said initial infrastructure acceptance was expected to begin in the second quarter of 2027; this was a forecast, not confirmation that acceptance has occurred.

Under the filed agreement, prepayments are credited toward fees, and monthly fees for a rack are not invoiced before that rack is accepted or deemed accepted. After acceptance, Cohere is obligated to pay fees for that rack’s full term regardless of actual use, subject to the agreement’s remedies and credits. What happens if acceptance misses July 15, 2027

July 15, 2027 is the agreement’s outside date for accepting a specified minimum amount of infrastructure. The contract gives Cohere termination and refund rights if the relevant acceptance milestone is not met:

  • If the specified minimum amount has not been accepted by that date, Cohere may terminate and receive a refund of prepaid amounts.
  • If the minimum has been accepted but some ordered racks have not, Cohere may terminate the order for the unaccepted racks and receive the related prepaid amounts.

Boost Run Inc. guarantees refunds up to the unapplied prepayment received by Boost Run. The public filing does not identify the minimum quantity, so the milestone cannot be translated into a rack or GPU count from the available contract text. Boost Run’s filing also notes that its statements about delivery timing and future payments reflect management expectations, not predictions of actual performance.

What the public contract does not reveal

The filed materials leave several commercial and deployment details unspecified or redacted. They do not establish:

  • the number of racks or GPUs, or the megawatt capacity reserved for Cohere;
  • the specified minimum amount of infrastructure for the July 15, 2027 milestone;
  • the prepayment amount or order-specific pricing; or
  • the data centers that will serve Cohere.

As a result, the $525.6 million commitment gives a headline contract value but not enough information to calculate per-rack pricing, deployment scale, the amount of cash paid up front, or the financial outcome Boost Run will ultimately report.
