Blue Bird’s October 1, 2026 prospectus registers the possible resale of up to 2,702,180 shares tied to its acquisition of the remaining 50% of Micro Bird. It gives selling stockholder Groupe Autobus Girardin (GAG) a route to resell the shares, subject to staged transfer restrictions; it does not establish that GAG has exchanged or sold them, or intends to do so. Blue Bird says it will receive no proceeds from any resale.
What Blue Bird registered
Blue Bird Corporation filed a prospectus supplement on October 1, 2026, under its automatic shelf registration statement, File No. 333-284017. It covers the resale from time to time of up to 2,702,180 shares of Blue Bird common stock. The shares may be issued when MB Exchangeco Inc. exchangeable shares are exchanged, retracted, or redeemed, or in specified circumstances involving liquidation, dissolution, winding-up, or insolvency. Blue Bird common stock trades on the NASDAQ Global Market under ticker BLBD. Read the prospectus supplement filed October 1, 2026.
The selling stockholder is GAG. The registered amount is a maximum covered by the filing, not a report of shares already sold or necessarily offered for sale. Blue Bird says registration does not mean that any shares will be offered or sold.

Why GAG received the shares
Blue Bird completed its acquisition of the remaining 50% of Micro Bird on April 1, 2026. As equity consideration, Blue Bird issued 2,702,180 non-voting exchangeable shares through its indirect wholly owned Canadian subsidiary, MB Exchangeco Inc. Those exchangeable shares convert one-for-one into Blue Bird common shares.

The prospectus reports an aggregate purchase price of $205,899,042, subject to customary working-capital and net-debt adjustments. After closing adjustments, approximately $63,021,286 was paid in cash and approximately $142,877,755 was attributed to the equity consideration, based on an adjusted share value as of April 1, 2026. Those are acquisition consideration figures, not a current market valuation of the registered shares.
How large is the potential resale?
Blue Bird reported 31,347,063 common shares outstanding as of September 28, 2026. The 2,702,180 shares covered by the prospectus are approximately 8.6% of that dated share count. This comparison uses the outstanding-share figure on September 28; it is not a live float calculation or a measure of how many shares GAG will sell.
When transfer restrictions lift
The acquisition agreement barred transfers for six months after the April 1, 2026 closing, through October 1, 2026. After that, the restrictions release in stages, as set out in the prospectus and Blue Bird’s October 1, 2026 Form 8-K and Form 10-Q for the quarter ended June 27, 2026.

A release date makes the relevant tranche eligible for transfer under the schedule; it does not require GAG to sell it on that date.

What it may mean for BLBD shareholders
Registration is not a completed sale
The filing creates a resale path for eligible shares. GAG controls whether and when to dispose of them, by what method, and at what price, subject to the contractual restrictions. The prospectus does not say that an exchange or sale has occurred.
Blue Bird does not get resale proceeds
These are selling-stockholder resales, not a primary offering by Blue Bird to raise money for itself. Blue Bird explicitly says it will not receive proceeds from sales of these shares.

Potential supply is a risk, not a price forecast
Blue Bird warns that substantial sales, or the perception that such sales may occur, could adversely affect its market price. The filing does not quantify any possible effect, and the warning is not evidence that sales took place or a prediction of what BLBD’s share price will do.
