Arctic Wolf completed its purchase of BlackBerry’s Cylance endpoint-security assets on February 3, 2025. The announced consideration was $160 million in cash subject to adjustments, plus about 5.5 million Arctic Wolf shares—not $160 million in cash paid at closing. BlackBerry later reported receiving $79.8 million in net cash and shares valued initially at $24.6 million at close, with about $40 million in additional cash expected a year later.
What Arctic Wolf bought—and when the deal closed
Arctic Wolf and BlackBerry announced a definitive agreement on December 16, 2024, for Arctic Wolf to acquire BlackBerry’s Cylance endpoint-security assets. The transaction closed on February 3, 2025, according to BlackBerry’s closing announcement filed with the SEC.
The scope was Cylance endpoint-security assets, not all of BlackBerry. BlackBerry said the sale would not affect its Secure Communications portfolio, including BlackBerry UEM, AtHoc, and SecuSUITE, in its December 2024 announcement.
How much BlackBerry received
The $160 million headline refers to announced cash consideration subject to adjustments, alongside approximately 5.5 million Arctic Wolf common shares. The announcement anticipated, after purchase-price adjustments, roughly $80 million in cash at closing and another $40 million one year later. Those announced terms are described in Arctic Wolf’s December 16, 2024 release.

What Cylance is called now
At closing, Arctic Wolf launched Aurora Endpoint Security and said Cylance capabilities were being integrated into its Aurora platform. Arctic Wolf’s current help documentation describes Aurora Endpoint Security as the product family formerly called Cylance. Some materials still refer to legacy Cylance products and components; for example, lifecycle documentation retains the CylanceON-PREM name. What BlackBerry’s relationship with Arctic Wolf becomes
BlackBerry CEO John Giamatteo said at closing that BlackBerry would continue its relationship with Arctic Wolf as a customer, as a reseller of the portfolio to large government customers, and as a shareholder. This describes continuing commercial ties after the asset sale rather than a complete separation of the companies.
