American Outdoor Brands shareholders elected all seven director nominees, ratified Grant Thornton LLP as auditor for fiscal 2027, approved an advisory vote on fiscal 2026 executive compensation, and chose annual say-on-pay votes at the company’s virtual September 28, 2026, annual meeting.
What shareholders decided
The meeting began at 12 p.m. Eastern on September 28, 2026, in a virtual format. The company’s 2026 proxy statement set out four matters for a vote: director elections, auditor ratification, an advisory vote on executive compensation, and an advisory vote on the frequency of future compensation votes.
According to an October 1 results account citing a company SEC filing, all seven nominees were elected to serve until the 2027 annual meeting, subject to earlier death, resignation, disqualification, or removal. Shareholders ratified Grant Thornton LLP for the fiscal year ending April 30, 2027; approved the fiscal 2026 say-on-pay proposal; and selected a one-year interval for future say-on-pay votes.

| Proposal | For | Against / alternative | Abstentions |
|---|---|---|---|
| Fiscal 2026 executive compensation (say-on-pay) | 9,179,014 | 53,702 against | 8,849 |
| Future say-on-pay frequency | 8,179,958 for one year | 4,167 for two years; 1,038,421 for three years | 19,019 |
| Grant Thornton ratification | Approximately 11.2 million | 50,705 against | 10,881 |
The auditor affirmative vote is rounded in the October 1 account. That account also gives only an approximate range for director voting: each nominee reportedly received about 8.6 million to 9.2 million votes for and about 44,000 to 642,000 against. It does not provide a reliable nominee-by-nominee tally. American Outdoor Brands’ SEC filings index lists two 8-K entries dated October 1, 2026, but the figures here should not be treated as exact director totals or an unrounded auditor total without consulting the results 8-K.
How to interpret the results
The proxy states that each proposal passes under a majority-of-votes-cast standard: votes for must exceed votes against. Abstentions and broker non-votes are excluded from that calculation. This means the percentages or counts should not be read as a share of all outstanding stock.

Broker-held shares and proposal types
Auditor ratification was classified as routine, so brokers could vote uninstructed shares on that matter. Director elections and both advisory compensation matters were non-routine; brokers could not vote uninstructed shares on those proposals. As a result, the pool of shares eligible to be voted may differ among the matters.

What the advisory votes mean
The say-on-pay and say-on-frequency outcomes are advisory and non-binding. The proxy says the Board and Compensation Committee will consider the results when making future compensation decisions and deciding how often shareholders should vote on pay. The votes do not themselves change executive compensation or legally bind the board.

What is established about the director and auditor tallies
The available October 1 account establishes the overall outcomes—each nominee was elected and the auditor was ratified—but does not expose the complete underlying results table. It reports only approximate ranges for director votes and a rounded affirmative auditor figure. The company’s filing index confirms October 1 8-K filings, while the precise individual director counts and unrounded auditor count are not available from the cited account. Readers needing exact tallies should rely on the results 8-K rather than infer them from the ranges.
