Amazon is reportedly exploring a roughly $8 billion transaction that would move thousands of installed NVIDIA Grace Blackwell chips into an outside-investor-funded vehicle, then lease the hardware back. The proposal has not been reported as completed. Separately, NVIDIA has announced a financing initiative targeting more than $500 billion for AI infrastructure over time; that figure is not money already raised or spent.

What Amazon is reportedly considering

The Financial Times, in a report relayed by Reuters, says Amazon is considering a structure in which a special-purpose vehicle (SPV) would hold thousands of NVIDIA Grace Blackwell chips installed in Amazon data centers. The vehicle would seek capital from outside investors, and Amazon would lease the equipment back. The reported transaction value is about $8 billion. Reuters’ account of the report describes the proposal, not a completed sale or an official Amazon announcement.

Reuters says the chips were bought or leased by Amazon and are installed in more than a dozen data centers across five U.S. states, including Nevada and Virginia. This is a financing proposal involving data-center accelerators already installed or being deployed—not consumer graphics cards, and not evidence that Amazon plans to stop using the chips.

What “off its books” means—and what it does not establish

An SPV is a separate legal vehicle set up to hold assets or finance a defined transaction. Under the reported arrangement, investors would fund the vehicle, which would hold the chips, while Amazon paid to keep using them under a lease. That could shift who provides the capital and carries ownership exposure to the equipment. The reporting does not establish that the transaction would remove the hardware or related obligations from Amazon’s financial statements; the accounting treatment would depend on final terms and applicable accounting rules.

Reuters says the vehicle could issue debt and that Amazon may offer it an equity stake of up to 10%. Those are reported possible features, not settled terms. The available reporting does not establish whether Amazon will proceed, how the lease would be priced, or how the deal would ultimately be accounted for.

How NVIDIA’s separate $500 billion initiative fits in

NVIDIA has announced a collaboration with Apollo, BlackRock, Blackstone, Brookfield, Goldman Sachs, and KKR to assemble more than $500 billion in financing for AI infrastructure over time. NVIDIA described the financing as being offered at attractive rates. Axios reported that the initiative could involve dedicated pools of capital. The announced scale is a target for financing to assemble, not proof that the full sum has been committed, lent, or deployed. Axios’ report on the initiative also describes potential deal-level support and investor concerns.

Axios reported that NVIDIA may provide residual-value support for up to 25% of an opportunity, assessed project by project. That is a possible form of support tied to equipment value; it is not the same measure as the possible 10% equity stake in Amazon’s reported SPV.

Scope Reported transaction worth about $8 billion involving installed Grace Blackwell chips More than $500 billion in financing targeted for AI infrastructure over time
Structure and capital Proposed SPV funded by outside investors, with a leaseback to Amazon; the vehicle could issue debt Announced collaboration with six financial firms; Axios reports possible dedicated pools of capital

Why investors are debating the financing model

The initiatives address a practical constraint: building data centers and buying accelerators requires large amounts of capital. Financing can spread or redirect that cost, and broader access to capital could help smaller data-center operators compete with hyperscalers. NVIDIA CEO Jensen Huang described the rationale as helping customers “access scarce compute at scale,” as quoted by Axios.

The concerns: circular exposure, debt, and collateral value

  • Circular financing: If financing helps customers buy infrastructure built around a supplier’s products, the supplier may help support demand for its own equipment. Analysts cited by Axios raised this concern; it is a risk question, not proof of improper financing or impending losses.
  • Debt and interconnected exposure: A network of chip suppliers, data-center operators, customers, and lenders can become more financially interdependent. If demand weakens, pressure could spread across that network.
  • Uncertain GPU collateral: Financing backed by accelerators depends partly on their future usefulness and resale value. Rapid product changes or weaker demand could reduce what equipment is worth, but the cited coverage does not report a measured loss from these proposals.

The strategic case and the market response

Financing may help more operators obtain compute and build infrastructure, potentially supporting NVIDIA’s competitive position. Cantor Fitzgerald analyst CJ Muse told Axios that NVIDIA wants “customers to use their GPUs, not competitors’” and called the effort “another competitive moat.” That is an analyst’s interpretation of the strategy, not a guarantee of results.

Axios described the immediate share-price reaction around NVIDIA’s announcement as mixed: some hyperscalers and competitors fell, while certain financial firms and data-center suppliers rose. That response does not support the claim that Wall Street uniformly rejected the plan. Seaport Global Securities analyst Jay Goldberg told Axios that investors are weighing the belief in continuing AI demand against the possibility that someone eventually asks, “Whoa. Wait a minute, what are we doing?”

What remains unsettled

For Amazon, the central uncertainty is whether the reported proposal becomes a transaction, and, if it does, what the final financing, lease, ownership, and accounting terms will be. Reuters said Amazon and NVIDIA did not immediately respond to requests for comment outside regular business hours; the report does not establish company confirmation.

For NVIDIA’s initiative, the announced partnership and target scale are clear, but the reviewed reporting does not establish how much financing will ultimately be committed or deployed, which projects will receive it, or the terms of individual deals. The $8 billion Amazon proposal and NVIDIA’s much broader initiative are related by the industry’s need to finance AI infrastructure, but they are separate arrangements with different structures and status.
