Alternative investments and fintech overlap, but they are different things. “Alternative investments” is a loose label for investment structures that sit outside ordinary stocks, bonds, and cash. “Fintech” describes technology that delivers financial services. The overlap matters because apps, platforms, and online lenders often sell, distribute, or hold money for these products, and the protections that apply depend on the legal arrangement behind each one.

What “alternative investments” actually covers

The phrase is an umbrella, not a single product category. The structures under it follow different legal rules, so the first question for any offer is which structure it is.

Private funds

The SEC describes private funds as vehicles that pool investors’ money, and it identifies venture capital funds, private equity funds, and hedge funds as common types. SEC guidance on private funds Those types differ in strategy, in what they hold, and in how investors enter and exit, so evaluate each fund on its own terms rather than as a generic “alternative.”

Securities-based crowdfunding

Crowdfunding lets a business sell securities to many investors through an online platform. The platform’s role is regulated. According to SEC guidance, an intermediary must register as a broker-dealer or as a funding portal, and funding portals face limits on giving advice and on handling investors’ funds or securities. SEC guide to registration and funding portals

Crypto assets

Crypto assets are not uniformly treated under securities law. SEC materials state that securities laws cover crypto assets when they are securities, and that some other crypto assets may be offered subject to an investment contract. Whether a particular token falls on either side is a fact-specific question, so neither “all crypto is a security” nor “no crypto is a security” is a safe summary. This area changes frequently, so confirm the SEC page’s current wording before relying on it. SEC guidance on transactions involving crypto assets

What fintech means, and how it differs from a bank

In this context, fintech means technology-enabled financial services. It is a way of delivering financial products, not an asset class. A fintech company can distribute a fund interest, run a crowdfunding portal, hold stored money, or make a loan, and the applicable rules follow the activity rather than the app’s branding.

Payment apps and stored balances

Nonbank payment apps let consumers and businesses send or receive money, may hold balances, and can offer adjacent services. The Consumer Financial Protection Bureau (CFPB) describes the core service and the growing set of extras in these words:

“While the core service of nonbank payment platforms is to provide a mechanism to send funds from one person to another, these apps also facilitate a growing set of related financial products and services, including offering debit cards, credit cards, ‘buy now, pay later’ (BNPL) loans, international remittances, and crypto asset transactions.”

Source: Consumer Financial Protection Bureau, Office of Competition and Innovation and Office of Markets, June 1, 2023, CFPB report on deposit insurance coverage for funds stored through payment apps.

Convenience does not settle whether a balance is a bank deposit or federally insured. Coverage depends on the arrangement: which institution holds the money, whether the balance is a deposit, and what the provider’s disclosures say. Each add-on product, such as a debit card, a BNPL loan, or a crypto transaction, comes with its own terms.

The same CFPB report states that payment-app volume quadrupled between 2018 and 2022. That is a historical comparison drawn from a 2023 publication, not a current estimate of volume.

How access rules shape private offerings

Private offerings do not reach the public the way a listed stock does. Two sets of rules largely determine who sees an offering and who may buy it.

Solicitation: Rules 506(b) and 506(c)

According to the SEC, Rule 506(b) generally prohibits general solicitation, while Rule 506(c) generally permits it, subject to requirements. Federal antifraud provisions broadly apply to these offerings. This is a summary, not a compliance checklist. In practice, a privately offered product that is publicly advertised is a reason to ask which exemption it relies on, since general solicitation is generally permitted only under Rule 506(c). SEC guidance on private funds

Accredited-investor eligibility

Eligibility can limit access to some private offerings. The SEC’s accredited-investor guidance describes the relevant investor categories. Check the specific offering and the current eligibility rules before assuming you qualify. SEC guidance on accredited investors

Comparing options on the same questions

Apply the same questions to every product. The table below applies them to the three structures covered above. “Not stated” means the SEC page cited for that structure does not establish the point; it does not mean the feature is absent.

A checklist for consumers

Before using a fintech product that touches an investment or a stored balance, work through these points in order.

  1. Identify the legal provider. Confirm which company holds your money or securities, and whether it is a bank, a registered broker-dealer, a funding portal, or a nonbank service.
  2. Find where funds are held. Read the deposit-insurance disclosure and check whether it names the institution holding the money and says coverage applies there. If it does not, do not assume coverage.
  3. Check eligibility. For private offerings, confirm whether accredited-investor status or another test applies.
  4. Confirm the exemption or registration. Ask which exemption a private offering relies on, or whether a crowdfunding platform is registered.
  5. Read the fees, withdrawal limits, and timing. These are product-specific and are not set out in the SEC or CFPB pages cited here.
  6. Ask how you would recover access. Ease of access does not resolve fraud, account-access, security, or support risks, so find out how to report an error or regain access before you need to.

For small businesses

For a business owner, separate the financing instrument from the technology used to distribute or service it. A loan, a crowdfunding security, and an equity investment carry different obligations, even when the same platform handles all three.

Crowdfunding: check the platform’s registration

Before choosing a securities crowdfunding platform, confirm its registration status. Because the registration determines what the intermediary is permitted to do, it is the first thing to verify about the platform.

Small-business lending data rules (Section 1071)

Section 1071 sets data-collection and reporting obligations for covered lenders on small-business credit applications. As a borrower, you are not the party the rule regulates, but covered lenders, including fintech lenders, must meet these obligations, and the rule defines the data they must collect and report. The CFPB’s Section 1071 rule page reports a revised final rule dated May 1, 2026, with a January 1, 2028 compliance date, and it notes litigation-related differences for some market participants. Because rule status and litigation can change, check the CFPB page before any compliance decision. CFPB Section 1071 rule page

Reading enforcement pages for their posture

An enforcement page tells you what regulators alleged and how the matter ended. The CFPB’s SoLo Funds page describes allegations in a complaint and reports that the case was voluntarily dismissed with prejudice on February 21, 2025. A voluntary dismissal ends the case without a ruling on the allegations, so the page should not be read as establishing violations. CFPB SoLo Funds enforcement page

The Bottom Line

Treat “alternative” and “fintech” as descriptions of different things: one describes what you are buying or funding, the other describes how it is delivered and held. For consumers, the first step is identifying the legal provider and the disclosures that govern your money. For businesses, the financing instrument and the intermediary’s registration shape obligations more than the platform’s design. This overview does not cover tax treatment, state law, product fees, or personalized investment advice; those require the product’s own documents and a qualified professional.
