Akari Therapeutics raised CEO Abizer Gaslightwala’s annual base salary to $625,000 and increased his target bonus to 55% of salary under an agreement amendment dated September 29, 2026, according to an October 1 report by Investing.com. The amendment also provides $62,500 in restricted stock units (RSUs) and grants 174,000 options on American Depositary Shares (ADSs). Both equity awards depend on shareholders approving an increase in the ADSs available under the company’s 2023 Equity Incentive Plan.
What changed in Gaslightwala’s compensation?
The reported amendment increased annual base salary by $150,000, from $475,000 to $625,000. The new salary is effective August 18, 2026, more than a month before the September 29 amendment date. The report does not explain the reason for the earlier effective date.
The target annual bonus opportunity rose from 50% to 55% of base salary, a five-percentage-point increase. Investing.com described the combined target salary and bonus as approximately $970,000. That is a target figure, not a guaranteed cash payment: the report does not specify actual bonus results or performance conditions.

Base salary and RSUs
For the 12-month period beginning August 18, 2026, 10% of base salary—$62,500 at the revised salary rate—is designated for delivery as RSUs rather than cash. The RSUs were granted September 29 and are scheduled to vest in four equal quarterly installments:

RSUs are not the same as cash salary. Their value depends on the shares delivered under the award, and the reported arrangement makes their vesting contingent on shareholder approval.
Separate option award
The agreement also provides a separate grant of 174,000 options on Akari ADSs under the 2023 Equity Incentive Plan, dated August 18, 2026. The options are scheduled to vest in equal monthly installments over four years, with vesting deemed to have begun March 18, 2026. An option gives its holder the right to buy shares at an exercise price; the report does not state that price.

Why shareholder approval matters
According to Investing.com’s October 1, 2026 report, both the RSU vesting and option grant depend on shareholders approving a plan amendment that increases the number of ADSs reserved for issuance under the 2023 Equity Incentive Plan. The consequences described for the two awards are not identical:

How the new options compare with Akari’s prior CEO award
Akari’s June 2026 proxy statement provides broader context, but it predates this amendment and does not independently confirm its terms. The proxy says the company uses equity awards to reward contributions to long-term success and encourage future performance, with vesting intended to support executive retention. It describes initial option awards for employee named executive officers and annual awards thereafter in options, RSUs, or a combination.
The proxy also reports that Gaslightwala received options in 2025 to purchase 2.2 billion ordinary shares. It scheduled 25% to vest on March 20, 2026, with the balance vesting monthly over the following 36 months. That earlier award is distinct from the new grant of 174,000 options on ADSs; the share types and award periods differ, so the figures should not be treated as a like-for-like comparison.
