Akamai announced its agreement to acquire Guardicore on September 29, 2021, and completed the acquisition on October 21, 2021. The announced price was approximately $600 million after expected adjustments; Akamai later reported cash consideration of $610.7 million after finalizing the purchase-price allocation.
What happened in the Akamai–Guardicore deal?
Akamai announced a definitive agreement to acquire Tel Aviv-based Guardicore on September 29, 2021. It completed the acquisition on October 21, 2021, according to Akamai’s completion announcement.
The deal brought Guardicore’s enterprise micro-segmentation technology into Akamai’s security portfolio. Akamai’s 2021 Form 10-K reported that Guardicore had approximately 270 employees at the time of the acquisition.

The figures differ because they come from different stages of transaction reporting, not because they describe competing announced prices.

Why did Akamai buy Guardicore?
Akamai said the acquisition would expand its zero-trust security offering with Guardicore’s micro-segmentation technology. In its announcement, Akamai described the software as designed to restrict communications to applications authorized to communicate with one another. The company said this approach could help limit malware and ransomware spread and protect enterprise data.
Akamai later summarized its rationale in a corporate filing: “In Zero Trust security, we acquired Guardicore to help stop the spread of ransomware.” That is Akamai’s stated strategic aim, not independent evidence of the software’s security outcomes.

What is micro-segmentation?
Micro-segmentation divides a network into smaller, controlled zones and sets rules for which applications or workloads may communicate across them. Rather than treating access to a broad network as permission to reach everything on it, the approach narrows permitted connections. If an attacker or malware compromises one system, limiting its authorized paths may help contain movement to other applications.
Guardicore’s solution was designed around that application-level control. Akamai’s September 2021 description said it would limit user access to applications authorized to communicate with each other. This explains the product’s intended role; the acquisition announcement itself was not independent efficacy testing.

What did Akamai say about the acquisition’s financial impact?
Akamai’s 2021 Form 10-K said the acquisition was expected to be dilutive to earnings per share at least through 2022. This was a forward-looking expectation in the 2021 filing, not a current forecast.
