EMC offered $33.85 in cash per Isilon share; the announced transaction value was approximately $2.25 billion, net of Isilon’s existing cash.
What did EMC agree to pay for Isilon?
EMC announced the agreement on November 15, 2010; the agreement itself was dated November 14. Its terms called for a cash tender offer of $33.85 per share, followed by a merger. The approximately $2.25 billion figure described the aggregate transaction value net of Isilon’s existing cash, not the amount paid for each share. Isilon’s SEC recommendation materials characterized $33.85 as a 29% premium to the stock’s November 12 closing price. EMC’s announcement Isilon’s SEC recommendation materials
Why did EMC want Isilon?
The companies described the deal as a way to combine complementary storage approaches. Isilon supplied scale-out NAS, while EMC had its Atmos object-storage system. EMC positioned the combination for organizations managing large, distributed data environments, including private- and public-cloud uses.
The announcement named life sciences, media and entertainment, and oil and gas as examples of industries with data-intensive needs. It also said Isilon systems were designed to start small and scale non-disruptively to 10 petabytes. That capacity and scaling description was an announcement-era vendor claim, not an independently verified performance finding.

What did EMC say about market growth?
EMC’s announcement cited an IDC forecast that the relevant market would grow by approximately 36% on average annually to an estimated $6 billion in 2014. Those numbers were a forecast made in 2010, not confirmation of the market’s actual size or growth in 2014. In the same announcement, EMC chairman and CEO Joe Tucci said, “The unmistakable waves of cloud computing and ‘Big Data’ are upon us.” EMC’s announcement
