ASML’s 2000 agreement to buy Silicon Valley Group (SVG) promised more than a larger lithography business: it would add SVG’s photoresist track and thermal equipment to ASML’s portfolio and pair SVG’s advanced-technology development with ASML’s ability to bring production tools to market at scale. The acquisition closed in May 2001. Contemporary coverage saw the deal as a competitive boost, but market-share figures were not directly comparable, and the integration unfolded during a semiconductor downturn.

What did ASML’s SVG purchase add?

SVG brought complementary wafer-processing capabilities and development expertise. ASML said the combination would extend its offerings into SVG’s photoresist track and thermal product lines, alongside ASML’s lithography systems. The strategic logic was to connect SVG’s speed in developing advanced technologies with ASML’s ability to introduce and ramp volume-production tools.

In its October 2, 2000 announcement, ASML CEO Doug Dunn described the goal as delivering advanced semiconductor technology to more customers by combining those strengths. After the acquisition, Dunn said the companies’ technical capabilities would enhance technology potential and support research and development in next-generation semiconductor technologies. These were the companies’ stated aims, not proof that every anticipated benefit followed automatically.

ASML’s later 2017 integrated report says it acquired SVG in 2001 and identifies the Wilton, Connecticut site as a major R&D and manufacturing center. That supports a lasting U.S. operational footprint; it does not establish that all SVG product lines continued unchanged.

What were the deal terms and when did it close?

ASML announced an all-stock agreement on October 2, 2000, valuing the proposed transaction at approximately €1.8 billion (US$1.6 billion). SVG shareholders were to receive 1.286 ASML ordinary shares for each SVG common share. Based on closing prices on September 29, 2000, ASML described the exchange ratio as a 58% premium for SVG shareholders; it expected those shareholders to own about 10% of the combined company after the transaction.

The agreement was subject to SVG shareholder approval, government approvals, and customary conditions. In May 2001, ASML announced that the acquisition was complete and SVG had become a wholly owned subsidiary. ASML’s completion release is dated May 22, while its July profit warning says the deal completed May 21; the reliable common point is that it closed in May 2001.

Did the purchase establish ASML as the market leader?

Contemporary EE Times coverage attributed market-share estimates to VLSI Research. For 1999, ASML was estimated to have 36% of exposure-tool shipments; Nikon was reported at 34% of tool sales and Canon at 17% of tool sales. Those figures indicate a strong competitive position, but they do not form a clean comparison: ASML’s figure is based on shipments, while Nikon’s and Canon’s are described as shares of sales.

The figures also predate the announcement, so they cannot show that the SVG acquisition created ASML’s position. The October 2000 report presented analysts’ expectation that the deal would strengthen ASML’s technology breadth and competitive standing. It is evidence of the strategic case being made at the time, not evidence that the acquisition alone caused later market leadership.

What made the transaction more complicated?

Regulatory conditions around Tinsley

ASML said in a May 3, 2001 announcement that it had received CFIUS approval to proceed, subject to an arrangement for Tinsley Laboratories, SVG’s optical-polishing subsidiary. ASML had six months to explore strategic alternatives, including a good-faith effort to sell Tinsley. If it was not sold, it would be operated under restrictions required by CFIUS. ASML said Tinsley generated approximately $17 million in fiscal 2000, about 2% of SVG’s revenue.

Costs amid a semiconductor downturn

On July 5, 2001, ASML warned that it expected a first-half net loss of €95–105 million for the combined business. It forecast approximately €50 million in one-time merger and acquisition costs, up from the previously announced €40 million, partly because of additional expenses including transaction delays. ASML said ASML Europe was expected to break even before those one-time SVG transaction costs.

In October, ASML announced approximately 1,400 job reductions—17% of its then workforce of 8,000—and targeted a workforce of 6,600 by the end of the first half of 2002. It also announced a €370–430 million charge, primarily dependent on non-cash obsolete-inventory charges, with cash restructuring outlays capped at €128 million. The company framed the measures as accelerating integration while the semiconductor industry downturn continued; the announcement does not establish that the acquisition alone caused the losses or cuts.

How should the deal’s result be judged?

The acquisition’s clearest strategic contribution was breadth: it brought SVG’s track and thermal products and development capabilities into a company whose strength included scaling lithography tools for production. The contemporary market figures showed ASML was already strongly positioned, but their differing measurement bases and pre-deal timing limit what they can prove about the merger’s effect. The later Wilton footprint indicates that part of SVG’s U.S. presence endured, while the 2001 costs and workforce reductions show that integration took place under difficult industry conditions.
