CrowdStrike’s announced acquisition of Bionic closed later in September 2023. The deal brought Bionic’s application security posture management (ASPM) technology into CrowdStrike’s cloud-security strategy, though the company’s stated integration benefits should be understood as its intended outcomes—not independent proof of post-acquisition performance.
What happened: announcement and closing
CrowdStrike announced an agreement to acquire Bionic on September 19, 2023. The transaction was completed on September 28, 2023; CrowdStrike’s annual report says it acquired 100% of Bionic Stork, Ltd. CrowdStrike’s announcement and its SEC-filed annual report distinguish the agreement date from the completed acquisition.
What Bionic did
Bionic was an application security posture management company. CrowdStrike’s SEC filing describes its platform as analyzing application architecture and dependencies running in production to help reduce and mitigate security, data privacy, and operational risks. In practical terms, this is application-level visibility: understanding how an application is assembled and what it depends on, rather than looking only at the underlying cloud infrastructure.
Why CrowdStrike said it wanted Bionic
CrowdStrike said Bionic would extend Falcon Cloud Security beyond cloud infrastructure and workloads to applications and services, creating broader visibility from development through runtime. The company described Bionic as mapping applications and helping prioritize vulnerabilities across development and production, including server-based and serverless infrastructure. Its strategic rationale blog also argued that application visibility could be provided without source-code access or repository integration.

Those points describe CrowdStrike’s rationale for the acquisition and the capabilities it said the combination could support. The cited announcement and blog do not independently establish how fully those capabilities were integrated or what performance they delivered after closing.

What the deal cost—and why reported figures differ
CrowdStrike’s September 19 announcement said the purchase price would be predominantly cash, with a portion in stock subject to vesting conditions, but did not disclose a numerical price. Its later SEC filing reported consideration of $239.0 million in cash, net of $25.7 million of cash acquired, plus $0.7 million representing the fair value of replacement equity awards attributable to pre-acquisition service. The $239.0 million figure is net of acquired cash, not gross cash paid.

The acquisition itself is established: CrowdStrike announced the agreement and later reported that it had acquired all of Bionic Stork, Ltd. The available sources explain Bionic’s ASPM business and CrowdStrike’s intended strategic fit. They do not establish post-integration results or whether Bionic ASPM remains available as a standalone product with current pricing.
