Choose a business litigation attorney by verifying their license in the state where the case will be heard, comparing at least two candidates on relevant experience and judgment, and getting clear answers about who will handle the work, communication, conflicts, fees, and expenses. No interview can guarantee an outcome; the goal is to find counsel who understands the dispute and venue, explains your options candidly, and sets out workable terms.
Start with the state and court where the dispute belongs
Attorney licensing, professional-conduct rules, referral services, specialty credentials, and court procedures vary by jurisdiction—and sometimes by county or venue. Confirm that each candidate is authorized to practice in the state where the case is pending or expected to be filed. Use that state’s official attorney directory and disciplinary resources, and verify any claimed specialty credential through an official directory if one exists.
A bar referral service or directory can help you find candidates, but a listing is not proof that a lawyer is the right fit or that a specialty label is valid in your jurisdiction. For example, the State Bar of California’s consumer guide points readers to certified lawyer-referral services and a certified-specialist directory. Check the official resources available where your case will be heard.
Prepare for a useful first consultation
Make a concise timeline and gather the basic information a lawyer will need to identify the dispute and check for conflicts. The State Bar of California recommends writing down key facts, bringing contact details for people connected with the matter, and bringing related papers.

- List the parties, their roles, and related entities, along with the names of key people involved.
- Bring relevant contracts, communications, and other documents. If a case is already underway, include court filings and known deadlines.
- Write down the business outcome you want, such as resolving a payment dispute or enforcing a contract.
- Do not send highly sensitive material through an unsecured channel or assume an attorney-client relationship exists until the lawyer confirms the engagement.
Give each candidate the same essential facts so you can compare their responses. Before sharing confidential details, ask how the firm handles an initial consultation and provide the names needed for a conflict check. The New York State Bar Association discusses conflict checks as a law-practice measure; its guidance is practitioner-focused, and applicable rules depend on the jurisdiction.
Compare candidates against the same criteria
The State Bar of California advises comparison shopping and contacting two or more candidates for brief interviews. Use the same questions and criteria for each, rather than relying on a firm’s general marketing claims.

Ask for a reasoned assessment, not a promise
Ask the attorney to explain the strongest and weakest facts or legal issues based on what they know so far, what information is still missing, and what could change their assessment. A useful first view should identify uncertainty rather than disguise it. The Illinois State Bar Association’s guide to hiring a lawyer describes candid discussion of prospects, time, expenses, and settlement as part of the client relationship.
Ask about possible paths besides taking the dispute through trial, including settlement, and the tradeoffs involved. California’s consumer guide gives a direct warning: “Be wary of any lawyer who guarantees results.” That is guidance from the State Bar of California, not a prediction about the merits of your case.

Make the proposed work and cost understandable
Before signing an engagement agreement, understand what the representation covers, how fees are calculated, what expenses may be billed separately, and who will do the work. Ask how the likely stages of the case could affect total spending; an hourly rate by itself does not tell you the eventual cost.
- Which matters are included in the engagement, and which would require a separate agreement?
- What are the rates for the lead lawyer, other lawyers, and staff, and how are time and invoices handled?
- Which expenses are billed separately, and could any costs be owed regardless of the outcome?
- What work is expected at the initial stages, and what developments could change the scope or cost?
- How can you raise a billing question or discuss a change in the work?
Fee rules and any requirement that an agreement be in writing depend on the jurisdiction and situation. California Rule 1.5 prohibits illegal or unconscionable fees and identifies circumstances relevant to assessing unconscionability; the State Bar notes that some writing requirements come from separate statutes. Check the governing state’s rules and the actual proposed agreement rather than treating California requirements as nationwide law.
Watch for unresolved warning signs
- Guaranteed results: Treat a promise of a particular outcome as a warning sign, not as evidence of skill.
- Unclear responsibility: If you do not know who will lead the matter or perform substantive work, ask to meet those people and clarify their roles before retaining the firm.
- Vague scope or fees: Get understandable written terms for the work, rates or fee basis, and expenses before signing.
- Credentials that cannot be verified: Confirm admission and claimed specialties through the relevant official sources; do not rely on a referral or directory entry alone.
Selection guidance can help you evaluate counsel, but it cannot predict the result of a particular dispute. The case’s merits, procedural posture, evidence, opposing parties, judge, and governing law all matter.

Questions to take into the interview
- Have you handled disputes like this in this state court or venue? What was your role?
- Who will lead the matter and appear in court, and who else will work on it?
- What seem to be the strongest and weakest facts or legal issues based on what you know now?
- What additional information could change your assessment?
- What options exist besides litigating through trial, and what are their tradeoffs?
- What are the likely first steps and key decision points, and what factors could affect timing?
- How are fees calculated? Which expenses are billed separately, and which costs may be owed regardless of outcome?
- How will invoices and status updates work, and whom should I contact about a time-sensitive issue?
- Have you checked for conflicts involving the parties and related entities?
Ask for plain-language explanations whenever an answer is unclear. These questions support an informed choice; the lawyer you retain can advise you about the law and procedure that apply to your particular case.
