A preferred stock delisting means the shares will stop trading on that exchange. By itself, it does not mean the shares have been cancelled or redeemed, that dividends have stopped, or that the preferred stock’s terms have changed. Those outcomes depend on the issue documents and any separate corporate action. OTC trading may continue, but it is not assured.

What changes when preferred shares are delisted?

Delisting is an exchange-listing event: the security is removed from that exchange’s listing. It does not, on its own, establish what happens to the shares themselves or alter the contractual rights attached to them. The SEC treats exchange notices about continued-listing failures separately from disclosures about material changes to security-holder rights. See the SEC’s Form 8-K instructions.

For an NYSE delisting, the issue appears on the exchange’s pending-delisting list after the NYSE files Form 25 with the SEC. The NYSE says it generally remains there until the delisting application takes effect, generally 10 days after filing; that is a process description, not a guaranteed date for a specific security. Do you still own the preferred shares?

Delisting alone does not mean your shares have been cancelled or redeemed. You continue to hold the security unless a separate event or action changes that, such as a redemption under the issue’s terms. Read the issuer’s notices and the preferred series’ prospectus or certificate of designation rather than inferring a change in ownership from the exchange announcement.

Will dividends continue after delisting?

There is no automatic answer. The preferred series’ terms and any separate corporate action determine whether dividends are payable, changed, or affected by a redemption. Preferred stockholders usually receive dividends before common stockholders, but that general ordering is not a promise that a dividend will be declared or paid. Delisting without a change to dividend terms

Brookfield DTLA Fund Office Trust Investor announced a voluntary delisting of its Series A preferred shares in 2023 and said the delisting and deregistration would not affect the shares’ terms, including payable dividends and certain director-appointment rights. It intended to seek OTC Pink quotation, but said it could not assure that a broker-dealer would make a market. Brookfield issuer release, March 31, 2023.

Delisting paired with a planned redemption

Tectonic Financial announced on January 15, 2026 that it intended to redeem its outstanding Series B preferred stock for $10 per share plus declared and unpaid dividends, and to delist and deregister the class in connection with the redemption. The announcement made the redemption conditional on obtaining funding and allowed for delay or non-occurrence if the condition was not met or waived. Because the stated redemption date was February 17, 2026, the announcement alone does not establish that redemption was completed; check subsequent issuer filings for the outcome. Can you sell preferred shares after delisting?

Possibly, but not necessarily as easily as before. Delisted shares may trade over the counter (OTC) if applicable statutory and regulatory conditions are met. An exchange delisting does not guarantee OTC quotation, an active market, adequate liquidity, a market maker, or that your broker will accept an order. Investor.gov: Over-the-counter market.

Do not assume that shares will automatically “move to OTC.” Confirm whether the issuer has arranged or sought quotation, whether a market maker is available, and whether your broker supports transactions in that security. Even if trading is possible, a limited market can make it harder to sell at a desired price.

Does delisting mean the company stops SEC reporting?

No. Delisting and deregistration are distinct actions, even when an issuer announces them together. Brookfield announced both and said it intended to continue providing unaudited annual and quarterly financial statements. Tectonic linked its intended deregistration to its planned redemption and delisting. These examples are issue-specific, so check the issuer’s disclosure and reporting status rather than assuming delisting ends reporting.

What to check in the issuer’s notices and preferred-stock documents

Start with the issuer’s latest exchange notice or Form 8-K, then review the preferred series’ prospectus and certificate of designation. A listing-standard failure is generally disclosed under Form 8-K Item 3.01; a material modification to security-holder rights is addressed under Item 3.03. SEC Form 8-K instructions.

  • The reason for delisting, any compliance period, and the expected last trading date.
  • Whether Form 25 has been filed and the effective status of the delisting.
  • Whether another exchange listing or OTC quotation is planned or available.
  • Any provisions addressing dividends, redemption, conversion, liquidation, voting, or a specifically defined “delisting event.”
  • Whether the issuer remains an Exchange Act reporting company and what financial information it says it will provide.
  • Whether a separate redemption, merger, or liquidation has been announced, and whether its conditions have been met.

How preferred-stock priority works

Preferred shares usually rank ahead of common shares for dividends and in liquidation, but that comparison does not establish priority over creditors or guarantee recovery. The specific series’ terms and the issuer’s financial circumstances matter. Investor.gov also notes that preferred stockholders usually lack voting rights, though particular issues may grant rights in specified circumstances. Investor.gov: Stocks.

What to do if you hold a delisted preferred stock

  1. Identify the exact series. Confirm the issuer, ticker, series designation, and share class in your account statement.
  2. Read the issuer’s latest notice and SEC filings. Look for the stated delisting reason, relevant dates, any Form 25, and separate actions such as redemption or deregistration.
  3. Check the governing terms. Review the prospectus and certificate of designation for dividend, redemption, conversion, liquidation, voting, and delisting-event provisions.
  4. Ask your broker about trading arrangements. Confirm whether it accepts orders for the security and whether an OTC market or market maker is available.
  5. Verify changes over time. For a live security, check subsequent filings, notices, redemption completion, quote status, and your broker’s current arrangements before acting.
