Verify claims in documents and public records where possible: a white paper, roadmap, audit, “utility” label, or exchange-listing announcement is not proof of delivery, safety, or future value.
1. Who is behind the project, and who is accountable?
Start by identifying the issuer or sponsor, the legal entity behind the offering, its jurisdiction, the core team, advisors, promoters, and anyone paid to endorse it. Then determine who is responsible for building the project and who will control or receive the sale proceeds.
- Check whether team members’ identities, relevant experience, and past affiliations can be independently verified.
- Look for the entity named in the sale documents and confirm that it matches the project’s public claims.
- Distinguish employees and accountable advisers from promoters or paid endorsers.
- Note whether the project explains who controls funds and how those funds will be used.
The CFTC’s advisory on digital coins and tokens treats hard-to-find information about a project’s affiliates as a warning sign. A polished team page is not verification; compare its claims with reliable public records and the offering documents.
2. What exists today, and what is only promised?
Read the project plan for a concrete description of the product, the problem it addresses, why a token is needed, and what milestones are supposed to be completed. Separate evidence of work already done from future intentions.

- Record the product’s current state: for example, whether it is only described, has a working demonstration, or is available for use.
- Check whether milestones have dates, named owners, and a plausible explanation of the people, funding, and resources needed to meet them.
- Ask what would happen if a milestone is delayed or abandoned.
- Compare claims in marketing materials with the white paper, sale terms, and any public product evidence.
Commissioner Hester M. Peirce’s August 2025 recommendations to the SEC Crypto Task Force proposed disclosures about project milestones, personnel, funding and resources, and the connection between a project’s efforts and value to token holders. These are recommendations, not binding disclosure requirements.
3. What rights does a token holder actually receive?
Do not infer rights from the token’s name or labels such as “utility” or “governance.” Read the sale terms, white paper, and governing agreements to establish what purchasers receive, what they are restricted from doing, and what remedies—if any—apply.
- Check whether the token provides access to a product, governance powers, another defined right, or no clearly specified benefit.
- Look for transfer or resale limits, lockups, refund terms, and conditions that could change the holder’s position.
- Identify how sale proceeds may be used and whether documents permit payments to insiders or earlier participants.
- Ask whether the product can function without the token, and what practical role requires a holder to use it.
The CFTC’s advisory and the SEC’s Investor Bulletin on Initial Coin Offerings offer questions to consider when assessing an offering. A token label alone does not establish either its useful function or its legal treatment.

4. How are supply, allocations, and unlocks structured?
Find the total supply and the rules for creating, issuing, burning, or otherwise changing tokens. Then trace who receives the supply, when recipients can transfer it, and whether future issuance can dilute existing holdings.
- Compare allocations for the public sale, team, advisers, treasury, and other recipients.
- Read vesting and unlock schedules, including the dates and amounts insiders can sell or transfer.
- Check any staking, validation, or governance role and how participation affects token supply or access.
- Ask what could create demand apart from expectations that the token’s price will rise.
Peirce’s 2025 recommendations identify token utility, supply and issuance, distribution schedules, insider holdings, and non-speculative value drivers as proposed disclosure topics. Concentrated ownership or large future unlocks can affect prospective holders; their significance depends on the project’s actual terms and distribution.
5. What technical evidence supports the project’s claims?
Check whether the project’s code and contracts are published and whether the relevant network and contract addresses can be independently confirmed. A public code repository or audit gives you material to examine; neither proves that the product works as advertised or that it is safe.

- Find the official documentation and determine whether the project uses a public blockchain or another technical arrangement.
- Locate published code and contract addresses, then verify that the project’s official materials identify the same addresses.
- If an independent audit is available, read its scope, date, exclusions, findings, and any stated remediation. An audit of one contract or version does not automatically cover the whole product or later changes.
- Consider how the project handles custody, private-key loss, bugs, theft, forks, and operational control.
In its 2017 statement on cryptocurrencies and initial coin offerings, the SEC asked: “Has the code been published, and has there been an independent cybersecurity audit?” Treat that as a useful due-diligence question, not a safety certification. The SEC’s investor bulletin also discusses risks associated with these offerings.
6. What legal questions apply to this particular offer?
This section is U.S.-focused; rules and analysis can differ in other jurisdictions. In the United States, the SEC’s March 2026 interpretation says the analysis depends on the facts and representations of the transaction. Its materials discuss whether purchasers invest money in a common enterprise with a reasonable expectation of profits from the essential managerial efforts of others.
For the offer you are examining, consider its structure, the rights described in the documents, what promoters say they will do, the relevant jurisdictions, and any claims about registration or an exemption. For a specific offering, consult qualified securities counsel rather than relying on a token category or marketing label.

Use the SEC’s March 17, 2026 interpretation and its transactions explainer for the agency’s current materials. The interpretation became effective March 23, 2026; the explainer was published April 22 and last reviewed April 29, 2026. The SEC’s older 2019 digital-asset framework page is marked withdrawn and superseded, so do not treat it as current guidance.

Assess the product and the token separately. A product may attract users without creating a reason to hold its token; a token may be tradable without having meaningful product demand.
- Identify the users the product is meant to serve and what evidence supports likely adoption.
- Consider competitors, alternative technologies, and changes that could make the project or token obsolete.
- Check whether an exchange listing or liquidity arrangement is confirmed in reliable sources, rather than merely anticipated in promotional material.
- Factor in resale restrictions and lockups when considering whether and when holders can transfer tokens.
- Consider theft and other events that could disrupt access to tokens or the underlying service.
The CFTC advisory lists future demand, competitors, adoption, liquidity, technology changes, theft, and token obsolescence among factors to weigh. A launch announcement does not establish a reliable exit route.

8. Are the sales pitch and return claims credible?
Be cautious of urgency, pressure to commit quickly, unverified trading claims, and endorsements whose payment or relationship to the project is unclear. The CFTC states, “There is no such thing as a guaranteed investment or trading strategy.” Buying on the assumption that someone else will pay more is speculation, not evidence that a project can deliver.
Verify promotional claims against project documents and independent information. Neither a compelling roadmap nor an endorsement resolves unanswered questions about delivery, rights, supply, security, or resale.
Compare projects using the same evidence standard
For each project, write down the evidence you found—not just a score or impression. Use the same questions across projects so that a confident sales pitch does not get mistaken for stronger proof.

No single row establishes that a token is safe or worth buying. The strongest assessment is one that distinguishes verifiable facts from promises and makes unresolved risks visible.
