IRS entity classification determines how an eligible business entity is treated for U.S. federal tax purposes—as a corporation, partnership, or disregarded entity. For a multinational company, that answer depends on the entity’s legal form, where it was organized, how many owners it has, and—in some cases—whether those owners have limited liability under local law. A U.S. classification election does not automatically determine how another country treats the entity or how every reporting regime views it.

First, distinguish U.S. tax classification from local law and other reporting rules

An entity’s legal form under the law where it was created and its classification for U.S. federal tax purposes are related questions, but they are not interchangeable. A company called an “LLC” in one country is not necessarily an eligible entity under U.S. rules, and a U.S. check-the-box election does not settle the entity’s tax treatment in its home country.

For a multinational group, identify which question you are answering: the entity’s U.S. federal classification, its treatment under local-country law, or its treatment under a specific reporting regime. The IRS explains, for example, that a foreign eligible entity’s check-the-box election does not change its tax jurisdiction of residence for U.S. country-by-country (CbC) reporting.

Which entities can choose their U.S. classification?

Some entities are classified as corporations automatically and are not eligible for the classification choice available to eligible entities. The U.S. regulations identify certain foreign legal forms as corporations per se. A foreign entity’s familiar or LLC-like name is not enough to establish that it can elect; its exact legal form and jurisdiction of organization matter.

An eligible entity may generally use IRS Form 8832 to elect a classification. The IRS’s current Form 8832 page provides the form and instructions. Check the applicable revision for filing requirements, effective dates, prior-election restrictions, and any available late-election relief; do not assume those details from an older form or a general description of the rules.

What are the default classifications?

If an eligible entity does not make an effective election, its default classification depends on whether it is domestic or foreign. The table summarizes the default rules described by the IRS. For foreign entities, the liability analysis is based on the law under which the entity was organized.

Entity and ownership Default U.S. classification
Domestic eligible entity with one member Disregarded entity, generally.
Domestic eligible entity with two or more members Partnership, generally.
Foreign eligible entity with one owner who lacks limited liability Disregarded entity, generally.
Foreign eligible entity with multiple members, at least one of whom lacks limited liability Partnership, generally.
Foreign eligible entity with multiple members, all of whom have limited liability Association taxable as a corporation, generally.
Entity classified as a corporation per se Corporation by rule; it is not eligible for the eligible-entity election described here.

These are defaults, not a substitute for checking eligibility or an entity’s governing law. In particular, do not apply the domestic single-member or multi-member defaults to a foreign entity without analyzing its legal form and the relevant liability rules.

How does a U.S. classification affect CbC reporting?

For U.S. CbC reporting, the IRS distinguishes foreign eligible entities from domestic eligible entities. It states: “With respect to foreign eligible entities, a check-the-box election does not affect the tax jurisdiction of residence of the foreign entity; thus, the election has no impact on the reporting of foreign entities on the CbC report.” That statement applies to the CbC-reporting question; it does not say the election has no effect on other U.S. tax or filing obligations.

For this reporting regime, the IRS contrasts that treatment with a domestic eligible entity that elects corporate status: the domestic entity is treated as having the United States as its tax jurisdiction of residence. Separately, the IRS FAQ describes a U.S. multinational enterprise group ultimate-parent filing requirement: when the group has at least $850 million in revenue in the relevant preceding annual reporting period, the ultimate parent files Form 8975 and Schedules A. This is a CbC reporting threshold, not a threshold for eligibility to elect an entity classification.

What U.S. returns and information reports may follow?

Foreign disregarded entities and foreign branches

U.S. persons may have Form 8858 reporting responsibilities for foreign disregarded entities (FDEs) and foreign branches. The IRS instructions describe applicable categories, including certain ownership structures involving controlled foreign corporations or controlled foreign partnerships. They generally call for a separate Form 8858 for each applicable FDE or foreign branch, subject to the instructions’ coordination rules. Classification is one input to the filing analysis; ownership and the current instructions also matter.

Foreign entities treated as corporations

The 2025 Form 1120-F instructions say that a foreign eligible entity electing corporate treatment must file Form 1120-F in the same circumstances as a per-se corporation or an entity that defaults to corporate status, unless a special return applies. For the election year, a copy of Form 8832 is attached to Form 1120-F. The instructions’ conditions and exceptions determine whether a particular entity must file.

Other owner and entity reporting

Classification can affect which U.S. return and information-reporting rules need to be tested, but it does not by itself answer every filing question. Identify the U.S. owners and the full ownership chain, then review the applicable instructions for Forms 5471 and 8865, as well as the relevant income-tax returns. Whether any of these forms is required depends on the entity, its owners, its activities, and the specific reporting rules.

Does “disregarded” mean the entity disappears for every tax purpose?

No. The IRS’s 2025 Internal Revenue Bulletin notes that a disregarded entity may still be regarded for certain purposes, including federal tax liability, excise taxes, and employment taxes. The bulletin also discusses targeted rules involving hybrid structures and dual consolidated losses. A classification election should therefore not be treated as a switch that erases every entity-level consequence or overrides cross-border anti-mismatch rules.

What to verify before making or relying on an election

  • Exact legal form and place of organization: Determine whether the entity is a per-se corporation or an eligible entity under the U.S. rules.
  • Owners and liability: Establish the owner count and, for a foreign eligible entity, analyze limited liability under the law governing its organization.
  • Election mechanics: Review the current Form 8832 and instructions for the intended classification, effective date, filing method, prior-election limits, and any applicable relief.
  • U.S. reporting chain: Identify relevant U.S. owners and entities, then assess Form 8858, Form 1120-F, Forms 5471 and 8865, and other applicable return instructions.
  • Non-U.S. treatment: Analyze classification separately under each relevant country’s rules; do not infer it from the U.S. election.
  • Special regimes: Consider CbC reporting, hybrid-entity rules, dual consolidated loss rules, and other targeted provisions where relevant.

For a specific multinational structure, these checks may require both U.S. international tax advice and analysis of the law in the entity’s jurisdiction of organization. The relevant IRS forms, regulations, and instructions should be reviewed in their current versions before filing or changing a classification.
