CSC acquired ServiceMesh on November 15, 2013, for total estimated consideration of $282 million. The deal added software and expertise for coordinating enterprise applications across private, public, and hybrid cloud environments, including migration, deployment, governance, and monitoring capabilities.
What CSC acquired
ServiceMesh was a privately held enterprise cloud-services-management company headquartered in Santa Monica, with operations in the United States, Australia, and the United Kingdom. CSC described the acquisition as a way to help clients move applications into cloud environments and automate how those applications were deployed and managed across different cloud types.
The platform was intended to orchestrate workloads across CSC BizCloud, Amazon Web Services, VMware, Microsoft Azure, and other environments. CSC CEO Mike Lawrie said ServiceMesh could “integrate and orchestrate enterprise applications across many different cloud environments,” including those providers.
What ServiceMesh cloud management did
Rather than being a single cloud destination, ServiceMesh was presented as a management layer for applications running across multiple environments. CSC associated the platform with:

- Application migration into cloud environments and automated deployment.
- Orchestration across private, public, and hybrid clouds and multiple providers.
- Governance and policy enforcement.
- Security choices and tiered service levels.
- Self-service capabilities for users.
- Real-time monitoring.
The point of this approach was to let enterprise customers manage application operations and controls across heterogeneous cloud environments instead of treating each provider as an isolated system.
How much CSC paid for ServiceMesh
CSC’s 2014 Form 10-K reported total estimated consideration of $282 million. The filing breaks the amount down as follows:
Rank #2

- Take it with you on your adventures—up to two-meter drop protection means this durable drive can take a beating. (Based on internal testing.)

| Consideration | Amount | Terms |
|---|---|---|
| Paid at closing | $163 million | Included $10 million used to retire ServiceMesh debt. |
| Contingent consideration | $119 million | Dependent on contractually agreed revenue targets. |
| Total estimated consideration | $282 million | As reported in CSC’s 2014 Form 10-K. |
The contingent amount was tied to revenue targets, so it was not simply an additional unconditional cash payment at closing.
Why CSC bought ServiceMesh
CSC’s stated rationale was to strengthen its ability to help clients migrate applications to cloud environments and then automate deployment and management across private, public, and hybrid clouds. ServiceMesh’s multi-provider orchestration and governance features aligned with that aim: the acquisition added a way to manage application operations across cloud providers while applying service-level, security, and policy controls.

What this 2013 deal does—and does not—tell you
The acquisition and the capabilities described here are historical. CSC’s filings and 2013 remarks establish what the company said it acquired and why at that time; they do not establish whether ServiceMesh remains a standalone product today, who currently owns or operates it, its current pricing, or whether it is available for purchase. This article therefore describes the transaction and platform as CSC characterized them in 2013–2014, not a current product offering.
