IBM and GlobalFoundries settled their disputes in December 2024, then announced on January 2, 2025 that all ongoing litigation between them had been resolved. The financial and other settlement terms remain confidential. What did IBM and GlobalFoundries settle?
The companies said their settlement resolved all ongoing lawsuits and litigation matters, including claims involving breach of contract, trade secrets, and intellectual property. IBM’s 2024 Form 10-K supplies the procedural endpoint: the parties settled in December 2024, and the lawsuit was discontinued with prejudice in January 2025. A dismissal with prejudice generally means the same claims cannot be brought again; it is not a court ruling that either side’s allegations were true or false.
IBM reported no material financial impact from the settlement in its 2024 Form 10-K. That statement describes the effect on IBM and does not disclose whether money changed hands or what the agreement requires.

The figure sometimes associated with the dispute—more than $1.5 billion—was the amount IBM said it sought in its pre-settlement complaint, not a reported settlement payment. IBM’s filing characterized the settlement’s financial impact to IBM as not material; it did not publish the agreement’s payment terms.

Why were IBM and GlobalFoundries suing each other?
IBM sued GlobalFoundries in New York State Supreme Court on June 8, 2021, alleging fraud and breach of contract connected with research, development, and manufacture of advanced semiconductor chips. The dispute followed a 2015 transfer of IBM’s semiconductor manufacturing operations to GlobalFoundries under a long-term strategic relationship. The companies said the resolution creates room to explore collaboration in areas of mutual interest, but they did not announce a binding partnership, new chip, fabrication process, customer contract, or technology-transfer arrangement. “Potential future collaboration” describes an opportunity, not a disclosed commercial deal.

GlobalFoundries CEO Thomas Caulfield said the companies looked forward to opportunities to build on their long-standing partnership. IBM CEO Arvind Krishna said resolving the disputes would let both companies focus on future innovation for their organizations and customers. Those statements express intent; they do not specify projects, commitments, or timelines.

Their announcement and IBM’s filing do not establish the payment amount, licensing terms, admissions of wrongdoing, technology-transfer terms, or detailed obligations.
