Nvidia did not announce a completed $100 billion investment in OpenAI. In September 2025, it described an intended investment of up to that amount, linked to deployment of at least 10 gigawatts of Nvidia systems. Nvidia’s fiscal 2026 filing later said an agreement was still being finalized and that no transaction was assured. By October 2026, the original proposal had not materialized in its announced form, although the companies had other investment and infrastructure ties.

What Nvidia and OpenAI announced in 2025

On September 22, 2025, Nvidia and OpenAI announced a letter of intent covering deployment of at least 10 gigawatts of Nvidia systems. Nvidia said it “intends to invest up to $100 billion in OpenAI as the new NVIDIA systems are deployed.” Nvidia’s announcement described a proposed investment tied to deployment, not money already transferred to OpenAI.

The distinction matters: “up to” set a ceiling, and deployment was part of the stated plan. The announcement was a letter of intent, rather than evidence that Nvidia had funded OpenAI for the full amount.

Why the original $100 billion plan did not happen as announced

In its Form 10-K for the fiscal year ended January 25, 2026, Nvidia said it was finalizing an investment and partnership agreement with OpenAI. The filing also cautioned: “There is no assurance that we will enter into an investment and partnership agreement with OpenAI or that a transaction will be completed.” Nvidia’s SEC filing therefore showed that the proposed agreement remained uncertain, not that the original investment had closed.

On February 3, 2026, Ars Technica reported that the proposed $100 billion investment had not closed. The article quoted Nvidia CEO Jensen Huang describing the figure as “never a commitment.” That is Huang’s reported characterization of the earlier announcement, not wording from an investment contract. What the later Ohio arrangements mean

Nvidia’s later disclosures describe infrastructure and credit support involving an Ohio data-center campus, not completion of the original equity proposal. In its Form 10-Q for the quarter ended July 26, 2026, Nvidia described guarantees connected to leases covering approximately 4.25 gigawatts of IT load. The filing gives an aggregate cap of $105 billion, subject to conditions. That figure is a ceiling for specified guarantees—not an equity investment in OpenAI, a cash payment, or the full cost of the campus.

The guarantees cover defined portions of lease and power payments, not every obligation or the full site cost. They generally take effect when relevant leases commence and increase as nine data centers enter service, expected to begin in Nvidia fiscal 2029. Nvidia’s exposure declines as OpenAI makes lease payments. The filing also makes the guarantees conditional, including on SB Energy meeting applicable ready-for-service requirements. Nvidia’s August 17, 2026 announcement said SB Energy would build, own, and operate the Ohio data center, which OpenAI would lease for 20 years. Nvidia also said it would invest $1.5 billion in SB Energy. Those are separate arrangements: the lease connects OpenAI to the facility, while Nvidia’s announced investment is in SB Energy. Nvidia’s announcement describes the project.

How the reported $30 billion fits in

On October 2, 2026, Cinco Días reported that Nvidia had committed $30 billion in an OpenAI funding round in February and that the final tranche had been disbursed. This is a later, separately reported funding figure—not evidence that the original deployment-linked proposal of up to $100 billion was completed. The Nvidia filings cited here do not independently confirm that specific equity contribution, so it should be treated as a report rather than a confirmed figure in those filings. Cinco Días’ report is the source for the $30 billion claim.

How to read the deal’s changing figures

In short, the headline $100 billion proposal did not become a completed investment in the form originally announced. That does not mean Nvidia and OpenAI have no financial relationship: subsequent reporting describes a separate funding contribution, while Nvidia disclosures document conditional infrastructure guarantees and the companies’ Ohio arrangements.
