Chewy shares fell after the company’s September 9, 2026 fiscal second-quarter report even though sales increased and management raised its full-year outlook. The reported reaction reflected concern that growth was not accelerating enough, gross margin did not improve, and free cash flow declined from the prior-year quarter. A JPMorgan downgrade two days later added pressure.
That explains the documented September sell-off, not every subsequent move in the stock. Before buying, investors should separate Chewy’s reported results from management’s forecast and analyst interpretations, then test organic growth, recurring-sales durability, margins, cash generation, risks and valuation against their own assumptions.
What happened when Chewy stock fell?
Chewy reported fiscal second-quarter 2026 results on September 9, 2026. The quarter ended August 2, 2026. Net sales and customers grew, and management raised its full-year revenue and profitability outlook. Nevertheless, the shares sold off because investors appeared to want clearer evidence of stronger underlying growth and a recovery in discretionary pet spending.
The Motley Fool reported that CHWY was down 7.7% intraday at about 11 a.m. Eastern Time on September 9. That was a dated market snapshot, not a current quotation. The article characterized the results as solid but insufficient to trigger buying enthusiasm and pointed to consumer-spending concerns.

On September 11, Investing.com reported that JPMorgan downgraded Chewy from Overweight to Neutral and cut its price target from $29 to $24. The reasons attributed to the analyst were continuing macroeconomic pressure on organic growth and weaker discretionary and premiumization trends in pet retail. Those are the analyst’s stated explanations as relayed by the outlet, not Chewy guidance and not proof that one event caused the entire share-price decline.
No single cause has been established for every decline through October 13, 2026. The latest price and any immediate October catalyst were not established in the available reporting. Investors should therefore treat the September earnings reaction and downgrade as a dated explanation, then check newer filings and company announcements before trading.
What Chewy actually reported in fiscal Q2 2026
The company’s Form 10-Q provides the primary numbers. The table below keeps reported growth, customer metrics, profitability and cash flow separate so that a strong line in one category does not obscure weakness in another.

|---|---|---|
| Net sales | $3.330 billion | Up 7.3% year over year; growth was 5.7% excluding SmartPak and Modern Animal contributions. |
| Active customers | 21.7 million | Up 3.8% year over year. |
| Net sales per active customer | $602 | Up from $591 in the prior-year quarter. |
| Gross margin | 30.4% | Unchanged year over year. |
| Autoship customer sales | $2.817 billion | Up 9.3% and equal to 84.6% of quarterly net sales. |

| Adjusted diluted EPS | $0.36 | Non-GAAP figure; review Chewy’s reconciliation alongside GAAP results. |
| Free cash flow | $89.5 million | Down from $105.9 million in the prior-year quarter. |
Chewy defines Autoship as a subscription program for automatic ordering, payment and delivery. The company describes it as a key driver of recurring sales and retention. A high Autoship share can make revenue more predictable, but it does not guarantee customer retention, pricing power or future growth.
Free cash flow is operating cash flow minus capital expenditures. Chewy cautions that it can vary with investment timing and working-capital movements. The year-over-year decline therefore deserves investigation rather than an automatic conclusion that the business is permanently deteriorating.
Why a positive earnings report can still push the stock down
Revenue growth did not answer the organic-growth question
Reported sales rose 7.3%, but growth excluding SmartPak and Modern Animal contributions was 5.7%. Investors often value the second figure more heavily because it indicates how the pre-existing business is performing without acquisition-related additions. If the market expected faster organic expansion, a revenue beat or guidance increase might still fail to support the share price.

Active customers increased 3.8%, while sales per active customer rose from $591 to $602. That combination indicates both customer growth and higher spending per customer in the quarter, but it does not reveal whether gains came from more orders, higher prices, product mix or temporary factors. Later quarters need to show whether customer additions and purchasing frequency continue.
Gross margin was flat
Chewy’s 30.4% gross margin was unchanged from the prior-year quarter. Stable margin is not the same as a collapse, but it also does not demonstrate operating leverage or improved merchandise economics. Investors looking for expanding profitability may have viewed unchanged gross margin as evidence that competitive pricing, shipping, product mix or fulfillment costs were offsetting efficiency gains.
Free cash flow fell while investment needs remained relevant
Quarterly free cash flow declined to $89.5 million from $105.9 million a year earlier. Chewy says capital spending can support fulfillment, pharmacy, veterinary clinics and technology, while inventory and vendor-payment timing can move cash flow between quarters. The key question is whether lower cash generation is a temporary investment cycle or a recurring feature of the model.
The raised outlook did not eliminate macroeconomic concerns
Management said sales were at the high end of guidance and raised its full-year revenue and profitability outlook. That is a favorable company update, but it remains management’s forecast rather than an independent estimate. Investors may still discount the outlook if they believe household budgets, discretionary pet purchases or premium products will weaken.
An analyst downgrade added a separate pressure point
The reported JPMorgan downgrade from Overweight to Neutral, with a price-target reduction from $29 to $24, gave sellers a fresh narrative after the earnings release. Its cited concerns were macro headwinds, organic-growth pressure and weakening discretionary and premiumization trends in pet retail. Analyst actions can influence short-term trading, but they do not replace the company’s filings or establish intrinsic value.
How to read Chewy’s numbers before buying
1. Measure growth quality, not just headline sales
Start with a bridge from reported sales growth to organic growth. In Q2 FY2026, the relevant comparison was 7.3% reported growth versus 5.7% excluding SmartPak and Modern Animal contributions. For each later quarter, record both numbers and identify whether changes come from acquisitions, price, volume, mix or customer count.

- Track active customers and the year-over-year growth rate.
- Track net sales per active customer and ask whether the increase reflects sustainable behavior or price inflation.
- Watch purchase frequency, order frequency and customer retention when those figures are disclosed.
- Check whether new-customer acquisition costs are rising faster than the value of customers added.
A business can post respectable sales growth while its core customer base stagnates. Conversely, slower reported growth can be acceptable if organic customers, retention and unit economics are strengthening. The decision depends on which path the valuation assumes.
2. Test whether recurring sales are durable
Autoship customer sales were $2.817 billion, or 84.6% of Q2 net sales, up 9.3% year over year. Follow the dollar amount, the percentage of total sales and customer retention over several quarters rather than treating one high percentage as a guarantee.
Recurring orders can improve planning and reduce the need to reacquire customers for every purchase. They can also be affected by cancellations, household budget pressure, price changes and customers shifting purchases between channels. Examine whether Autoship growth remains ahead of total sales and whether active-customer growth supports it.

Chewy reported $80.5 million of GAAP net income and diluted GAAP EPS of $0.20. Adjusted diluted EPS was $0.36. Adjusted EPS is non-GAAP, so read the reconciliation to identify excluded costs and determine whether those items are genuinely unusual or recurring.
Review gross margin, operating expenses, share-based compensation, depreciation and amortization, interest income or expense, and the resulting GAAP earnings trend. A one-quarter increase in adjusted EPS is less persuasive if it depends on exclusions that recur every quarter or if revenue growth does not translate into operating profit.
4. Reconcile profit with cash generation
Compare net income, operating cash flow, capital expenditures and free cash flow across multiple quarters. Chewy’s free cash flow definition subtracts capital expenditures from operating cash flow, and the company warns that investment timing and working capital can create quarter-to-quarter volatility.

- Determine whether operating cash flow consistently covers capital spending.
- Identify projects driving capex, including fulfillment, pharmacy, veterinary clinics and technology.
- Check inventory levels, vendor-payment timing and other working-capital changes.
- Look for a multi-quarter trend rather than relying on the Q2 decline alone.
Cash that is temporarily lower because the company is funding productive capacity may have a different implication from cash that is falling because customers, margins or suppliers are becoming less favorable. The filing’s cash-flow statements and management discussion provide the necessary detail.

5. Compare guidance with subsequent results
Management raised its FY2026 sales and profitability outlook after Q2. Record the exact guidance range from the latest release, then compare the next reported quarter with both the midpoint and the assumptions behind the increase. Check how much of any growth comes from SmartPak and Modern Animal versus the legacy business.
Also examine whether guidance changes are being driven by sales, margin, operating expenses or tax and interest items. A higher revenue forecast with limited margin improvement may produce less earnings growth than the headline suggests.
6. Read the risk disclosures as operating questions
Chewy’s FY2025 Form 10-K lists risks involving sustainable growth, customer acquisition and retention, operating expenses, suppliers, shipping, fulfillment, cybersecurity, product safety, regulation, economic conditions and strong competition. Convert each category into a question you can monitor:
- Demand: Are customers reducing discretionary or premium purchases?
- Acquisition and retention: Is Chewy spending more to add and keep each customer?
- Suppliers and fulfillment: Are product availability, shipping costs or service levels pressuring margins?
- Technology and cybersecurity: Could an outage or incident interrupt orders or create material costs?
- Regulation and product safety: Could new rules, recalls or claims affect products or operations?
- Competition: Is pricing or convenience pressure limiting customer growth and gross margin?
Read the newest 10-Q, 10-K and material investor-relations announcements because risk factors and their financial impact can change.
7. Use a valuation method that matches your assumptions
The available reporting did not establish a current October 13 stock price or a current valuation. Do not substitute the $24 analyst target for a valuation model; it was a dated opinion associated with the September 11 downgrade.

Choose an approach that makes your assumptions explicit. A price-to-sales method requires a defensible future sales-growth and margin assumption. A price-to-earnings method requires confidence that GAAP earnings are normalized. A discounted-cash-flow model requires estimates for revenue growth, gross margin, operating expenses, capital spending, working capital and a discount rate.
Run bear, base and bull cases. In the bear case, reduce organic growth, customer retention and margin. In the base case, use the latest guidance only if you believe its assumptions. In the bull case, require evidence that customer growth, Autoship retention and cash generation can improve together. The purchase decision should survive a reasonable downside case, not depend on one analyst target.

How to compare Chewy with another investment
Use the same reporting period and definitions for every company. Comparing one company’s reported sales growth with another’s organic growth, or one company’s adjusted earnings with another’s GAAP earnings, can produce a misleading conclusion.

This framework prevents a short-term price move or isolated analyst target from becoming the investment thesis.
What to monitor next
The most informative updates will be the next quarterly filing and earnings release, followed by any material investor-relations announcement. Focus on whether organic sales growth converges with or diverges from reported growth, whether active customers and Autoship sales continue to expand, and whether gross margin and free cash flow improve.
Also check whether management maintains or changes the FY2026 outlook, explains capital-spending needs, and identifies new pressure from consumer behavior, suppliers or competition. Because earnings results, guidance, analyst opinions and prices are volatile, a conclusion based on the September 2026 reaction should be revisited when newer information is available.
The investor takeaway
Chewy’s September sell-off was consistent with a market asking for stronger underlying growth and better evidence that profits and cash flow could scale. The company delivered higher sales, customer growth and raised guidance, but Q2 also showed a lower organic-growth rate than the headline figure, unchanged gross margin and lower free cash flow. The JPMorgan downgrade added pressure but remains an analyst interpretation.
