A revenue run rate is a measuring method, not a promise that a company has already earned that amount. A startup may annualize one recent month or quarter, report a management-defined annual recurring revenue (ARR) snapshot, or cite revenue recognized under accounting rules for a completed period. Those figures can look similar while answering different questions. Investors should identify the calculation, date, revenue mix, contract durability and accounting status before applying a valuation multiple.

What “revenue run rate” actually means

The phrase has no single accounting definition. It usually describes a recent pace of activity multiplied to represent a full year, but management teams also use it alongside ARR, bookings, billings and recognized revenue. The first task is to determine which measure the headline uses.

Annualizing a recent period

The simplest run rate takes revenue from a recent month or quarter and multiplies it by 12 or four. For example, one unusually strong month can be presented as an annual pace even though the underlying contracts are new, seasonal, usage-driven or one-time. The arithmetic is easy; the persistence assumption is not. A one-month annualization is an extrapolation from a narrow observation, not evidence that the same sales will recur for twelve months.

Management-defined ARR

ARR is generally intended to describe the annualized value of recurring contracts active at a specified date. It is not standardized. Rezolve Ai plc explicitly says its ARR has no standardized meaning and may not be comparable with similarly titled measures reported by other companies. In Rezolve’s stated policy, ARR includes annualized active recurring subscription and contract revenue, including recurring professional services. It can include contracted future value that has not yet been recognized as revenue, while excluding non-recurring and usage-based revenue recognized under generally accepted accounting principles (GAAP).

That definition makes ARR a snapshot of selected contractual economics, not a statement that the business has already collected or recognized the annual amount. Another issuer may calculate ARR differently. Vertex, Inc., for example, defines ARR as the most recent month-end monthly recurring revenue multiplied by 12, with monthly recurring revenue based on subscription price and covered months. Vertex’s formula is an issuer policy, not an industry rule.

Recognized revenue for a reporting period

Recognized revenue is the amount recorded for a defined accounting period under the company’s revenue-recognition policy. It can differ substantially from both a run rate and ARR. A contract signed today may create future obligations but little current-period revenue. Conversely, deferred revenue from earlier bookings may continue to be recognized after new sales slow.

Recognized revenue is therefore the appropriate starting point for analyzing what the company reported for a completed month, quarter or fiscal year. It should not be replaced silently with a management metric simply because the latter is larger or more current.

Why AI business models make the gap wider

Consumption can rise and fall quickly

AI products often charge by API call, token, transaction, image, minute or another usage unit. Consumption revenue is earned as customers use the service, so a large customer’s workload can make one month exceptional and the next month ordinary. A headline based on the peak month may overstate a durable annual pace.

Ask for usage by customer, contracted minimums, overage rates and the share of revenue that is committed before consumption occurs. A subscription with a fixed fee generally offers more timing visibility than purely usage-based billing, although neither guarantees renewal.

Contracts can start, end or change around the measurement date

A run rate measured immediately after several contracts begin can look very different from one measured before renewals or cancellations. Short-term agreements, termination rights and pilots create more uncertainty than multi-year commitments with enforceable minimum payments. The date printed beside the metric is essential: it tells you which contracts were active when the snapshot was taken, not which customers will remain six or twelve months later.

Revenue recognition may lag sales momentum

SoundHound AI’s fiscal 2025 filing explains that subscription revenue is generally recognized ratably over the contract term. Prior-quarter deferred revenue can therefore contribute to current reported revenue. If new or renewed subscriptions decline, the immediate quarterly effect may be modest while the larger impact appears in later periods.

C3.ai’s fiscal 2023 filing describes the contrasting timing for a consumption-based option: subscription revenue is recognized ratably, while consumption revenue is recognized as consumption occurs. The company notes that consumption arrangements provide less visibility into the timing of revenue. These are examples of mechanisms disclosed by individual issuers, not a universal accounting policy for every AI company.

A checklist for decoding a run-rate headline

Use the following questions before treating a number as a forecast or as earned revenue.

Axis Question to ask Why it matters
Definition and arithmetic Was one month or quarter multiplied out, or is this an issuer-defined ARR? What revenue streams are included? Annualizing recent activity and measuring active recurring contracts are different methods. ARR definitions are not standardized.
Time period and status What is the as-of date? Is the figure historical recognized revenue, management guidance, a target or an exit-rate claim? A full-year expectation and a year-end exit ARR describe different periods and statuses.
Revenue mix How much comes from subscriptions, consumption, professional services, implementation or one-time fees? Subscription and consumption revenue have different timing and visibility. ARR may omit non-recurring or usage-based amounts.
Contract durability Were the customer agreements active on the measurement date? Are they cancellable, short-term or renewing? Starts, ends and non-renewals can change the metric quickly.
Customer and usage concentration What percentage is attributable to the largest customers, and how steady is their usage? A few large or variable relationships can make both the metric and reported periods volatile.
Recognition and collection How does recognized revenue reconcile with invoices and cash receipts? Sales momentum, billing and cash collection can occur at different times. Request supporting schedules when diligence access permits.

Worked example: interpreting Rezolve’s 2026 figures

Rezolve Ai plc’s January 13, 2026 release illustrates why labels matter. The company said it expected at least $40 million of 2025 revenue, approximately $350 million of 2026 revenue and a minimum $500 million 2026 exit ARR. It also reported approximately $209 million of ARR at the 2025 exit.

These numbers are not interchangeable. The $350 million figure is forward-looking full-year revenue guidance. The $500 million figure is an exit-rate expectation measured at the end of 2026. An exit ARR of $500 million does not mean the company will recognize $500 million of GAAP revenue during 2026. The release identified the 2025 figures as unaudited and subject to adjustment, and its guidance is subject to the risks stated in the release.

Rezolve’s own “Use of Non-GAAP Financial Measures” section states: “ARR is not a forecast of future revenue and does not consider other sources of revenue that are not recurring in nature.” That warning is easy to lose when a headline compresses several metrics into one growth narrative. The correct presentation keeps each figure attached to its date, definition and status.

Why two companies’ ARR numbers may not be comparable

Vertex reported $671.0 million of ARR as of December 31, 2025, using its month-end monthly recurring revenue multiplied by twelve. Rezolve’s ARR policy includes active recurring subscription and contract revenue, including recurring professional services, and excludes non-recurring and usage-based revenue recognized under GAAP. Because the formulas and included streams differ, placing the two values in the same valuation denominator without adjustment can create a false comparison.

Before comparing issuers, record the exact metric name, formula, measurement date, included agreements, accounting basis and geographic or business scope stated by management. If one company includes recurring services and another does not, their ARR margins and growth rates describe different economic mixes.

How to test whether a run rate is durable

  1. Capture the original statement. Save the wording, publication date, metric name and as-of date. Preserve whether management called it reported, expected, guided, estimated or an exit rate.
  2. Reconstruct the arithmetic. Determine whether the company multiplied a month or quarter, summed contract values, or used a recurring-revenue formula. Ask for the numerator and annualization factor.
  3. Separate revenue streams. Split subscription, consumption, professional services, implementation and one-time fees. Identify which streams are included in ARR and which are excluded.
  4. Map contracts to the date. Examine start dates, end dates, renewal clauses, cancellation rights, minimum commitments and pilots. A contract counted at month-end may not be enforceable for the following year.
  5. Analyze customer concentration and usage. Review the largest customers, their share of the metric, usage volatility and expansion or contraction. A high aggregate run rate can conceal dependence on one account.
  6. Reconcile to accounting records. Compare the metric with period revenue, invoices, deferred revenue and cash receipts. Investigate large gaps rather than assuming either number is wrong.
  7. Stress-test the denominator. Model lower usage, delayed deployments, non-renewals and price changes. Keep the company’s reported metric intact, but show how valuation changes under realistic retention and consumption assumptions.

Common investor mistakes—and the correction

Calling ARR a forecast

ARR describes an annualized recurring base under a company’s definition. It does not automatically forecast future revenue and may exclude important non-recurring or usage-based sources. Use “ARR at [date]” or “exit ARR expectation” rather than “next year’s revenue” unless management has explicitly issued revenue guidance.

Multiplying a spike by twelve

A recent period can contain a launch, a large deployment, seasonal demand or temporary customer usage. Check several periods, customer-level retention and the portion backed by contractual minimums before treating the annualization as a base case.

Counting bookings as revenue

Bookings or signed contract value indicate commitments under specified terms; recognized revenue reflects accounting allocation to the reporting period. A signed multi-year agreement can increase a company’s contracted value while most of its revenue remains deferred. Keep bookings, billings, cash and revenue in separate columns.

Ignoring recognition lag

Ratable subscription recognition can keep reported revenue rising after bookings slow, because earlier deferred revenue is released over time. Conversely, a new contract can enlarge ARR before it contributes much recognized revenue. Analyze both the contract base and the timing schedule.

Assuming “recurring” means guaranteed

Recurring describes the intended nature of a charge, not an unconditional promise that a customer will renew or consume the same amount. Renewal rates, cancellation terms, minimums and customer health determine durability.

Using run rates in valuation

A run rate can be useful as a momentum indicator when its construction is transparent and its volatility is shown. It becomes dangerous when it is substituted for a reporting-period denominator without adjustment. Choose the denominator that matches the valuation question: historical revenue for a revenue multiple, a clearly defined ARR for a recurring-revenue comparison, and cash-flow measures for liquidity and funding analysis.

When management provides both revenue guidance and an exit ARR, show them side by side with separate labels. Do not divide enterprise value by one metric and describe the result as though it applied to the other. Explain what portion of ARR is subscription, what portion is recurring services, and what usage-based revenue is outside the ARR definition.

What a credible disclosure should contain

  • The measurement date and the reporting period, if different.
  • A plain-language formula and the annualization factor.
  • Included and excluded revenue streams.
  • The treatment of new contracts, renewals, cancellations and usage-based charges.
  • Whether figures are audited, unaudited, historical, estimated, guided or target values.
  • A reconciliation, where available, to recognized revenue, billings, deferred revenue and cash.
  • Customer concentration and material assumptions behind expected retention or consumption.

Without these details, the number may still signal commercial momentum, but its usefulness for forecasting and valuation is limited. The absence of a standardized ARR definition means the burden is on the reader to establish comparability rather than infer it from the label.
