A tokenized stock can trade above or below the listed share because it may be a different legal instrument, traded by different participants in a separate market with different liquidity and market depth. A token can track a share price without giving its holder the same ownership, voting, dividend, redemption or insolvency protections. The size and persistence of a premium or discount depend on the token’s structure, issuer, venue and trading conditions.
The short answer: a price reference is not the same as a share
“Tokenized stock” is a broad label. One product may be a company’s own security represented on a blockchain. Another may give an indirect claim connected to shares held by a custodian. A third may be a synthetic instrument whose value is linked to a share price but whose holder has no claim against the company that issued the referenced share.
Those instruments can display similar-looking tickers while carrying different rights and risks. Investor.gov describes issuer-sponsored, custodial and synthetic models, and notes that a synthetic token can move with the referenced security even though its holder has no rights or claims against that issuer. The SEC divisions’ January 28, 2026 staff statement likewise says third-party products can differ in their rights, obligations and benefits, and may or may not represent ownership of, or an obligation from, the underlying issuer.
The token also trades in its own market. Its buyers, sellers, order book or liquidity pool, available depth and trading schedule do not have to match those of the listed share. When the two markets cannot immediately be brought into line, their prices can diverge.
Three structures hidden behind the label “tokenized stock”

Read the product’s legal terms before treating it as “a share on a blockchain.” Look for the named issuer, governing law, rights to corporate actions, redemption rules, custody arrangements and counterparty disclosures. If those terms do not grant a right, the token’s ticker or marketing description cannot create one.

How separate markets produce a premium or discount
Different order flow
The listed share trades on its regulated listing venue, while a token may trade on a crypto venue through an order book or an automated liquidity pool. Each market has its own participants and motives. A token buyer may value access to a particular settlement system, trading interface or operating hours; another participant may be willing to sell only at a wide spread. The resulting quote reflects that local supply and demand, not a guaranteed conversion price for the share.
Liquidity and market depth
Liquidity describes how readily an asset can be bought or sold without moving its price. Market depth describes how much executable supply and demand sits near the displayed quote. A thin token market can move sharply when a modest order consumes the available bids or offers. The SEC comment-file submission dated October 14, 2025 discussed lower liquidity and limited market depth as mechanisms that can contribute to short-term fluctuations and divergence. The examples in that filing are historical and venue-specific; they do not establish a current market-wide average.
Check more than the last-traded price. A token showing $100 may have a $98 bid for a very small amount and a $103 offer, with little size behind either quote. Comparing that display with a liquid share’s midpoint can make the difference look larger or smaller than the price at which a meaningful order could actually execute.

Trading schedules, closures and halts
A token venue may use a schedule that differs from the primary listing exchange. When the share market is closed, the token may have fewer reference transactions, wider spreads or a different mix of participants. Conversely, a token venue may stop while the share continues trading. The reviewed sources do not establish one schedule or a universal trading-hours effect for all tokenized stocks, so the venue’s rules must be checked for the specific product.
The SEC’s September 17, 2026 announcement of temporary, conditional relief for certain tokenized NMS stock venues includes a specific synchronization condition: a qualifying venue must stop trading the tokenized stock when trading in the underlying stock stops on its primary listing exchange. That condition applies only within the relief described in the announcement, not automatically to every token or platform.
Redemption and conversion friction
In an efficient, easily redeemable arrangement, traders can often use the exchange or redemption process to narrow a gap. But the ability to redeem may be limited to certain participants, require identity checks, operate only during set windows, involve fees, or deliver cash rather than the underlying share. A synthetic product may not offer conversion at all. Where the practical route from token to share is slow, restricted or unavailable, a premium can persist because arbitrageurs cannot quickly exchange one instrument for the other.

The reviewed sources do not establish redemption terms for any unnamed product. Treat “redeemable,” “backed” or “1:1” as claims to verify in the current issuer documentation, not as proof that a displayed price must equal the listed share.
Rights and counterparty risk
A direct share generally represents a claim under the company’s corporate and securities law framework. A third-party token can instead leave the holder exposed to the token issuer, custodian or other intermediary. The SEC staff statement says such products may expose holders to the third party, including the possibility of that party’s bankruptcy. Commissioner Hester M. Peirce made the broader point in her July 9, 2025 statement, “As powerful as this technology is, it does not have magical abilities to transform the nature of the underlying asset.”
If a token omits voting, dividends, corporate-action participation or a legally enforceable claim to the held shares, the market can rationally value it differently from the share even when both reference the same company. A discount may reflect those missing benefits or the risk that a contractual promise will not be performed. A premium may reflect scarcity or convenience in the token market rather than extra value in the underlying company.

Historical examples show how wide a gap can become
An SEC comment-file submission dated October 14, 2025 recounted several events, attributing the prices to CoinGecko and blockchain data. They are illustrations of reported historical dislocations, not current quotes, normal ranges or representative averages.

No current, representative statistic for the average size or frequency of tokenized-stock premiums and discounts is established by these sources. Do not convert the anecdotes into a universal percentage.
What current SEC material does—and does not—say
Staff taxonomy is not a product approval
The SEC divisions’ January 28, 2026 statement distinguishes issuer-sponsored and third-party-sponsored models and explains that rights and obligations vary. The statement expressly identifies itself as staff views rather than a Commission rule, regulation, guidance or Commission-approved statement. Investor.gov’s educational page similarly says its content reflects staff views and has no legal force or effect. These materials help classify a product; they do not certify that a particular token is safe, equivalent to a share or compliant in every jurisdiction.
Conditional relief announced in September 2026
On September 17, 2026, the SEC announced temporary, conditional exemptive relief for certain venues trading tokenized NMS stocks through permissioned automated market makers and liquidity pools. The release describes conditions that include:

- Verification that the token provides equivalent rights and privileges where required.
- Notice to, and an opportunity for, an issuer to object to certain third-party tokens.
- Auditable smart contracts.
- Trading halts synchronized with a stoppage in the underlying stock on its primary listing exchange.
The release says the exemptions expire five years after publication and solicits public comment. Because relief is conditional and product-specific, check the current order and venue documentation rather than assuming that every tokenized stock benefits from it.

When evaluating a token’s quote against the share, collect the following information for both instruments at the same time.

| Regulatory conditions | Does this exact instrument and venue fall within an applicable rule, order or conditional exemption? Avoid generalizing from another platform. |
Step-by-step: diagnose a displayed price gap
- Identify the instrument. Record the token’s full name, contract address if supplied, issuer, referenced company and governing documents. Do not rely on a ticker alone.
- Classify the claim. Determine whether the product is issuer-sponsored, tied to securities in custody or synthetic. Note explicitly whether the holder has rights against the underlying company.
- Match timestamps. Compare the token quote and share quote at the same moment and record whether either market is closed, halted or in an auction.
- Inspect executable prices. Capture bid, ask, spread and available size. A last-trade print without depth may not be a price at which you can transact.
- Check conversion mechanics. Read redemption eligibility, settlement time, fees, minimums and delivery form. These determine whether a trader can realistically narrow the difference.
- Assess intermediary exposure. Identify the token issuer, custodian and other counterparties, then read the insolvency and asset-segregation disclosures.
- Compare corporate-action treatment. Verify how dividends, splits, mergers, voting and issuer information are handled. Missing or delayed benefits can justify a different valuation.
- Document the observation. Record venue, date, time, quote size and market status. A single anomalous print cannot establish a normal premium or discount.
Common mistakes when interpreting a premium or discount
- Assuming “backed” means identical. Backing arrangements can differ in custody, legal entitlement, redemption access and counterparty protection.
- Comparing unlike prices. A token’s last trade, pool quote or indicative value may not be comparable with the share’s consolidated market price or official close.
- Ignoring size. A dramatic quote supported by only a small amount of liquidity may not be executable for the amount you want to trade.
- Treating one venue as the whole market. Historical dislocations reported for particular tokens and venues do not describe every tokenized stock.
- Assuming regulation creates parity. Conditional relief can impose safeguards without making a token legally identical to the underlying share.
- Calling a synthetic token ownership. A price link does not, by itself, provide voting rights, dividends or a claim against the referenced issuer.
Bottom line
A tokenized stock price differs from the underlying share price because the token may be a different instrument trading in a different market. Legal rights, custody and counterparty exposure determine what the token is; order flow, liquidity, depth, market status and conversion rules determine what traders will pay for it at a particular moment. Before treating a premium or discount as an opportunity—or as an error—verify the token’s legal claim and compare executable prices under the same market conditions.
