There is no universal ownership rule. Your signed agreement, order form, service terms, data-processing addendum, deployment model, governing law, and negotiated amendments determine what you can keep, reuse, export, or continue operating after an ERP contract ends. Treat the exit as five separate questions: who owns the business data, who owns the ERP platform, what rights cover configuration and metadata, who owns customer-developed code, and what license applies to vendor-created modifications or derivative works.

A clause stating that you retain rights in “Customer Data” may protect transactions and records without giving you the source code, deployment rights, metadata, reports, workflows, or third-party components needed to run the same system elsewhere. Ownership and retrieval are also different: a vendor may recognize your rights while limiting the export window, format, request method, or post-termination access.

Start with the contract stack, not a single ownership clause

ERP rights are usually spread across several documents. Assemble the signed master agreement, order forms, product and service descriptions, subscription terms, data-processing addendum, support terms, amendments, and any reseller or implementation statement of work. Record the version and effective date of each document, the purchasing channel, and the geography that governs it.

Microsoft, for example, says online subscriptions are governed by the applicable Microsoft Online Subscription Agreement or Microsoft Customer Agreement, together with Product Terms and the Products and Services Data Protection Addendum. Volume-licensing customers may be governed by a different agreement, and regional terms can change the result. A public product page or privacy document cannot replace the agreement attached to your order.

Read definitions before reading remedies. “Customer Data,” “Your Content,” “customization,” “configuration,” “extension,” “add-on,” “modification,” “derivative work,” and “software” may have different meanings in different services. An implementation partner’s code may be treated differently from a vendor’s modification, even when both appear in the same ERP tenant.

Five categories you must analyze separately

Category What it normally includes Questions to answer in the agreement
Customer business data Transactions, master records, attachments, audit history, documents, and other information supplied by or for the customer Does the customer retain ownership? What export rights, formats, retention rules, and deletion exceptions apply?
Vendor platform and ERP software Hosted application code, infrastructure, standard modules, APIs, and vendor documentation Does the vendor retain all intellectual-property rights? Does any post-term license permit continued use or migration?
Configuration and metadata Fields, workflows, security roles, report definitions, integration mappings, settings, and tenant metadata Is this treated as Customer Data, licensed configuration, a deliverable, or vendor-owned material? Is it included in exports?
Customer-developed code or add-ons Customer-written scripts, ABAP, plug-ins, extensions, reports, and partner-developed components paid for by the customer Who owns the code? Can you modify, host, sublicense, or transfer it? Are third-party libraries separately licensed?
Vendor-created modifications and derivatives Changes or extensions created by the ERP vendor or incorporated into its platform Does the vendor own them, and what limited use, access, or migration rights survive termination?

Inventory each item rather than assuming that everything inside the tenant has the same legal status. A customer may own a sales order while lacking a license to run the vendor’s application that displays it. Conversely, a customer-developed report may be downloadable but still depend on proprietary APIs or runtime components.

What major vendor documents illustrate

The following examples show why service, document version, and contract channel matter. They are not universal ERP rules. Compare each statement with the signed terms for your product and order.

SAP direct cloud terms

The SAP General Terms and Conditions for Cloud Services (Direct), identified as enUS.v.10-2024, state: “Customer retains all rights in and related to the Customer Data.” The same terms allow export and retrieval during the subscription in a standard format, subject to technical limitations, and describe self-service tools for a final export before expiration.

Those terms also describe up to one month of limited post-termination retrieval when SAP receives a reasonable written request at least one month before termination. SAP says remaining Customer Data on production servers will be deleted within three months after termination or expiration, unless the agreement permits retention or the law requires it. The one-month retrieval period and three-month deletion period are terms of that cited document, not a general cloud-ERP standard.

SAP RISE with SAP S/4HANA Cloud, private edition

The SAP RISE supplement identified as enGLOBAL.v.10-2024 separates SAP intellectual-property rights in modifications and derivatives from customer-developed ABAP add-ons and other add-ons. It grants specified rights to develop or use certain add-ons for permitted use of the cloud service, with restrictions that depend on the subscription.

The supplement calls for a requested final Customer Data export before termination or expiration. It states: “Customer must verify the usability of this export within two weeks of receipt.” If the customer does not verify it within that period, the cited clause deems the export usable. The customer also carries responsibilities for installation, management, testing, and support of certain customer modifications and add-ons. Do not apply these clauses to another SAP product, deployment model, or contract version without checking the applicable text.

Microsoft Dynamics 365 and Power Platform

Microsoft’s GDPR data-protection impact assessment describes Customer Data as information, including software, provided by or on behalf of customers and says that this includes customizations. It also says Microsoft usually retains Customer Data in a limited-function account for 90 days after subscription expiration or termination so the customer may extract it, after which the account is disabled and the data is deleted.

“Usually” is important. The DPIA is product and privacy guidance, not a substitute for the governing subscription agreement, Product Terms, purchase channel, or regional terms. Confirm whether your order supplies a different deadline, export method, fee, or deletion exception.

Oracle Fusion Applications and Oracle Cloud Services

Oracle Fusion documentation says that a customer that does not renew before the renewal due date can request a copy of its applications data after the subscription service period expires. The self-service request is available for a period after the renewal date; once that window passes, an extract may require an Oracle Support request.

A cited Oracle Cloud Hosting and Delivery Policies page describes a 60-day retrieval period for production content after termination. The customer must confirm that the policy applies to its specific Fusion service and order. A policy statement should not be treated as a guaranteed right when the signed order incorporates different terms.

Export deadlines and deletion periods are separate rights

Document example Period stated Condition or qualification
Microsoft Dynamics 365 and Power Platform DPIA Usually 90 days after expiration or termination Limited-function account for extraction; applicable agreement may differ
SAP direct cloud terms, enUS.v.10-2024 Up to one month of limited retrieval Reasonable written request must be received at least one month before termination; production-server deletion described within three months, subject to exceptions
SAP RISE supplement, enGLOBAL.v.10-2024 Two weeks to verify a requested final export Usability verification period; responsibilities and rights depend on the subscription
Oracle Cloud Hosting and Delivery Policies 60-day retrieval period stated Confirm applicability to the particular Oracle Cloud service and order

Do not confuse a retrieval window with a deletion schedule. Retrieval tells you how long you may obtain content; deletion tells you when the vendor removes it. Backups, legal holds, tax records, security logs, and disaster-recovery copies may be governed by separate retention rules. Ask whether deletion covers production, replicas, backups, support tickets, and subcontractor systems.

How to plan an ERP contract exit

  1. Freeze the governing documents. Save signed copies, incorporated terms, amendments, order forms, and the data-processing addendum. Note the service name, edition, region, reseller, renewal date, and termination mechanics.
  2. Build an exit inventory. List transactional and master data, attachments, audit history, reports, dashboards, configuration, metadata, workflows, integration definitions, customer code, partner code, vendor modifications, and third-party components.
  3. Map rights item by item. For every inventory entry, record ownership, license scope, permitted use, export language, return obligation, deletion rule, and any dependency on vendor software or APIs.
  4. Confirm the extraction procedure. Ask for the exact objects included, file formats, API or user-interface path, request lead time, service-request process, conversion or assistance fees, storage fees, and whether access remains available during extraction.
  5. Export before access ends. Use self-service tools while the subscription is active whenever possible. Send any required post-termination request in writing by the contractual deadline and retain delivery evidence.
  6. Validate in an independent environment. Restore or parse the export outside the vendor tenant. Reconcile record counts, attachments, timestamps, audit trails, reports, custom fields, permissions, and integration dependencies.
  7. Document acceptance and defects. Keep dated copies of requests, exports, test scripts, reconciliation results, and notices of missing or corrupt objects. If a contract imposes an acceptance period, report defects within it.
  8. Secure operating rights for the replacement. Data possession does not automatically grant a license to vendor software, proprietary APIs, third-party libraries, or partner code. Obtain assignments, source-code rights, escrow releases, or replacement licenses where needed.
  9. Coordinate deletion and compliance. Confirm deletion dates, backup treatment, legal-hold exceptions, audit retention, and regulatory records obligations. Ask for written confirmation when the contract provides it.

What to test in the export

  • Completeness: Every legal entity, fiscal period, module, attachment class, and archived record appears in the extract.
  • Relationships: Customer, supplier, item, invoice, payment, and journal keys still connect correctly.
  • Metadata: Custom fields, labels, workflow states, user identifiers, time zones, and audit timestamps are preserved or documented.
  • Usability: Files open with ordinary tools or the replacement system can ingest them without undocumented proprietary steps.
  • Code dependencies: Reports, integrations, scripts, and extensions identify required runtimes, APIs, credentials, and third-party libraries.
  • Evidence: Hashes, export dates, request numbers, screenshots, and reconciliation reports establish what was delivered and tested.

Contract questions that prevent an expensive surprise

  • Does the definition of Customer Data expressly include custom fields, workflows, reports, configuration, metadata, and customer-written software?
  • Who owns implementation-partner deliverables, and does the customer receive source code or only object code?
  • Can the customer use exported configuration or code after termination without the vendor’s platform license?
  • Are export formats documented, machine-readable, and complete, or does the vendor reserve the right to provide a limited extract?
  • Is advance notice required, and does the deadline run from termination, expiration, or the renewal due date?
  • Can the vendor charge for extraction, format conversion, storage, consulting, or support after termination?
  • Does the agreement provide a final export, a final backup, or both?
  • What happens to backups, replicas, support attachments, logs, and data held by subprocessors?
  • What remedy applies if the export is late, incomplete, corrupted, or unusable?
  • Which law, forum, reseller terms, and negotiated amendments control if documents conflict?

Why “we own our customizations” can still be misleading

Ownership is only one part of operational freedom. A customer may own an ABAP add-on or a partner-built integration yet lack rights to redistribute embedded vendor code. A configuration may be treated as Customer Data for privacy purposes but remain usable only through the vendor’s hosted service. A report may export successfully while losing its underlying semantic model, security rules, or scheduled-job definitions.

Ask for a post-term rights statement for every customization: ownership, modification rights, hosting rights, transferability, sublicensing, source-code access, documentation, and third-party clearances. If the replacement system requires a vendor runtime, API, connector, or database schema, negotiate those dependencies before notice of termination.

Bottom line for contract negotiations

Negotiate the exit before signing or renewing. Define the export scope in an attachment, specify usable formats, set a realistic retrieval period, require advance notice of deletion, state who pays for assistance, and include a validation and remediation process. For customizations, identify customer code, partner deliverables, vendor modifications, and third-party materials separately, with explicit post-term licenses.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

The only reliable answer to “Who owns our data and customizations?” is the answer produced by that itemized review of the actual contract stack. Public vendor examples demonstrate possible rights and deadlines, but they do not decide the result for a negotiated ERP agreement or a particular jurisdiction. A technology-contract lawyer and a migration specialist should review high-value or regulated environments before termination notice is issued.
