Vodafone Group Plc is a publicly listed company owned by its shareholders. Its annual report recorded several major notified voting-right interests as of 31 March 2025, while Vodafone’s later ownership chart shows how the Group itself holds stakes in operating companies, associates and joint ventures. Those are different levels of ownership—and neither snapshot should be mistaken for a live register.

Who owns Vodafone?

Vodafone Group Plc is the listed parent. Investors who hold its ordinary shares own part of that company; Vodafone Group Plc, in turn, owns or shares interests in businesses operating under the Vodafone Group. The two relationships are distinct: a shareholder in Vodafone Group is not necessarily a direct shareholder in a local Vodafone operator.

Vodafone’s FY2025 annual report lists major voting-right interests notified as at 31 March 2025. The percentages below are disclosure-date figures, not a real-time view of the share register.

Who are Vodafone’s biggest shareholders?

Among the named interests in Vodafone’s 31 March 2025 table, e& was the largest, followed by BlackRock, Liberty Global and Norges Bank. The percentages are not all rounded to the same precision in the report, so the figures above retain its stated values.

Vodafone’s report also notes a separate SEC filing in which e& and two affiliates reported a 15.62% interest as at 11 February 2025. That figure differs in date and scope from the 15.009711% notified-interest entry as at 31 March. One is an SEC filing by e& and affiliates; the other is Vodafone’s notification-table figure. They are not interchangeable measurements of the same date.

The annual report separately says J.P. Morgan held approximately 13.88% as nominee for Vodafone’s ADR programme as at 27 May 2025. A nominee or custodian may hold shares on behalf of underlying investors; that number should not be read as evidence that J.P. Morgan beneficially owned or controlled that proportion of Vodafone.

Does e& still own part of Vodafone?

Vodafone later said e& had agreed to dispose of its entire Vodafone shareholding to Vega, an acquisition vehicle wholly owned by the Niel family group. Vodafone also said the relationship agreement with e& had terminated and that e& nominee Hatem Dowidar had resigned from Vodafone’s Board with immediate effect.

The cited announcement describes an agreed disposal; it does not establish that the transfer completed, give its effective date, or state Vega’s resulting filed voting percentage. Accordingly, the available disclosures do not support presenting e&’s 15.009711% March 2025 figure as its current holding, nor do they establish the exact current ownership following the announced transaction.

What companies does Vodafone Group own?

Vodafone Group’s holding structure is a separate question from who owns shares in Vodafone Group Plc. Its simplified chart dated 12 May 2026 maps interests in businesses across Europe, Africa and other regions. It distinguishes consolidated operating companies from associates and joint arrangements, where Vodafone has a significant but non-controlling or jointly controlled interest. Therefore, a company shown in the chart is not necessarily wholly owned by Vodafone.

Examples from the chart illustrate why both the percentage and the named holding entity matter:

  • VodafoneThree: Vodafone Group is shown with a 51% interest on 12 May 2026. The chart footnotes identify a planned move to full ownership, so the 51% figure is the chart-date position rather than evidence that the planned change had already completed.
  • Vodacom Group in South Africa: the chart shows Vodacom Group with a 65.1% interest. This is the stake of the named Group entity; where Vodacom holds interests in other businesses, those are indirect through Vodacom rather than direct holdings by Vodafone Group Plc.
  • VodafoneZiggo: Vodafone Group is shown with a 50% interest in the chart. Its footnotes identify a divestment, so the chart does not by itself establish that a later sale was completed.
  • Vodafone Idea: the May 2026 chart shows a 13.0% Vodafone Group interest. This is a dated chart figure, not the same snapshot as Vodafone’s earlier disclosure.

Source for the chart and its footnotes: Vodafone Group Holding Structure, 12 May 2026. The chart is a dated simplified structure, not an undated live register; announced or planned transactions in its footnotes should not be described as completed without confirmation.

Why Vodafone Idea’s percentages differ

Vodafone’s 2025 Form 20-F says its stake in Vodafone Idea was diluted to 16.1% in April 2025. The later holding chart dated 12 May 2026 shows 13.0%. These figures refer to different dates and reflect the intervening ownership position; they are not contradictory readings of one snapshot.

How to read Vodafone ownership figures

  • Check the date. A percentage is a snapshot at a stated reporting or notification date, not necessarily today’s position.
  • Identify the entity. A percentage may belong to Vodafone Group Plc, a subsidiary such as Vodacom Group, or a shareholder in Vodafone Group Plc.
  • Distinguish direct from indirect interests. A stake held by a subsidiary is not a direct holding by the listed parent, even when it forms part of the Group structure.
  • Read the relationship type. Consolidated subsidiaries, associates and joint arrangements do not imply the same degree of ownership or control.
  • Do not equate a nominee with a beneficial owner. Custodian figures can represent shares held for investors under a depositary or nominee arrangement.
  • Separate announcements from completed transfers. An agreement or planned transaction does not establish closing or the resulting share register unless a subsequent disclosure confirms it.
