There is no single license required of every “digital asset company.” Whether a business needs authorization depends on the services it actually provides, the assets involved, the jurisdictions where it operates or solicits customers, and any existing financial-services license or applicable exception. Exchanges, custodians, brokers and some token issuers should assess their activities closely; simply using blockchain technology does not settle the question.

What makes a digital asset business subject to licensing?

Regulators generally look beyond a company’s name or marketing description to what it does and for whom. A business that holds customers’ assets, arranges trades or operates a trading venue presents a different regulatory question from one that supplies software without handling customer transactions or assets.

Start by identifying the asset’s legal classification and the company’s role. A token might fall under a crypto-asset framework, securities law, e-money rules, payment regulation or another regime. The answer can also vary by jurisdiction: where the company is established, where its staff and operations are based, and where customers are located or solicited may all matter.

Which company activities deserve a licensing review?

Trading platforms and exchanges

A company that operates a venue for trading crypto-assets should assess whether it provides a regulated platform service. Under the EU’s Markets in Crypto-Assets Regulation (MiCA), operating a trading platform is a distinct service type. MiCA application materials call for platform operating rules and arrangements to detect market abuse when an applicant intends to offer that service.

Brokerage, dealing and exchange

Intermediaries that exchange crypto-assets for money or for other crypto-assets should examine their role, contractual relationships and customer interactions. MiCA’s application framework addresses these exchange services, but a company’s label—such as “broker” or “aggregator”—does not itself determine whether its specific activity is covered.

Custody and wallet services

A business that safeguards customers’ crypto-assets or controls the means by which they access those assets should assess whether it provides a regulated custody service. Under MiCA’s application framework, an applicant intending to provide custody and administration for clients must include a custody policy. Calling a product “non-custodial” is not conclusive; the company should examine who can access or control the relevant keys and assets in practice.

Transfers performed for customers

A company that transfers crypto-assets on behalf of clients should determine whether the service falls within the relevant regulatory framework. Not every blockchain transaction is a service performed for another person. The company’s role, the customer relationship and whether it acts on the client’s behalf are important to that assessment.

Issuing certain tokens

Token issuance does not automatically require the same authorization as operating an exchange or providing custody. MiCA Article 18 separately requires a legal person or other undertaking intending to offer asset-referenced tokens to the public or seek their admission to trading to submit an authorization application, subject to the regulation’s scope and exceptions. Other token types and activities require their own classification and analysis.

Does delivering newly issued tokens count as custody or transfer?

Not by itself, under a narrow EU interpretation. In an answer published on 18 June 2026, the European Securities and Markets Authority (ESMA) said that an issuer sending newly issued tokens directly to purchasers’ wallets does not thereby provide custody or transfer services on behalf of another person. That answer addresses direct delivery during primary issuance; it does not resolve whether the issuer’s other activities are regulated.

What does MiCA require of covered EU service providers?

MiCA is the EU framework for crypto-assets and related services that are not covered by other EU financial-services legislation. Under Article 59 of Regulation (EU) 2023/1114, a person generally may not provide covered crypto-asset services within the Union unless authorized as a crypto-asset service provider (CASP), or permitted to use one of the specified routes for certain already regulated entities.

Authorization is service-specific rather than a blanket approval for anything involving crypto. An application identifies the services and planned operations and includes material on prudential safeguards and governance. The supporting documents vary with the activities proposed: for example, custody applicants need a custody policy, while trading-platform applicants need operating rules and market-abuse detection arrangements.

What is the U.S. licensing example—and what does it not establish?

In an interim staff statement dated 13 April 2026, the SEC Division of Trading and Markets discussed broker-dealer registration under Section 15(a) of the Securities Exchange Act for certain interfaces used to prepare transactions in crypto-asset securities. It is a limited securities-related example: an interface provider may need broker-dealer analysis if securities transactions are involved.

The statement describes an interim staff view while the Commission considers regulatory issues. It does not establish a single federal “digital asset license” for all U.S. crypto businesses, nor does it resolve possible state money-transmission or money-services requirements, banking rules, commodities regulation or other federal and state obligations.

How should a company assess its own licensing exposure?

  1. Map jurisdictions. Record where the company is established, where its staff and operations are located, and where it serves or solicits customers. Do not assume one country’s answer applies elsewhere.
  2. Classify each asset. Determine whether the relevant asset may fall under a crypto-asset framework, securities law, e-money rules, payment regulation or another regime. The classification is fact-specific; no particular token can be classified from the company’s industry label alone.
  3. Describe the actual services. Document whether the company issues, offers, lists, matches, executes, exchanges, arranges, holds, controls, transfers or advises on assets for customers. Identify each service separately rather than relying on a broad description such as “Web3 platform.”
  4. Establish customer involvement and control. Determine whether the company acts on behalf of clients, can access or control private keys or other means of access, or only supplies software or infrastructure. Consider the actual technical and contractual arrangements.
  5. Check existing authorization and exceptions. Identify any relevant financial-services license and confirm whether it permits the planned activity. In the EU, MiCA provides specified routes for certain already regulated entities, subject to conditions; do not assume an existing license automatically covers crypto-asset services.

When should a company get jurisdiction-specific advice?

Get qualified advice before launching or materially changing a service if the business will hold or control customer assets, arrange or execute trades, operate a marketplace, exchange assets, transfer them for clients, or offer a token that may fall within a regulated category. A company-specific assessment needs the actual service design, token terms, customer locations and operating structure—not just a description of the technology.

This overview is not individualized legal advice. Rules, exemptions, transition arrangements and regulator guidance can change; companies should confirm the current requirements with the relevant regulator and counsel in each jurisdiction where they operate or solicit customers.
