To verify a promoter or promoter-group reclassification, search the issuer’s corporate-announcement records on both the Bombay Stock Exchange (BSE) and National Stock Exchange of India (NSE). Open the original attachment, identify whether it records a request, an application, an exchange decision or a later shareholding change, then confirm the outcome in a subsequent shareholding-pattern filing. An announcement saying that an application was submitted is not proof that either exchange approved it.
What a reclassification filing actually proves
“Promoter reclassification” can describe several separate events. A company may disclose that a promoter asked to be moved to the public category, that its board considered the request, that shareholders approved a resolution where required, that an application was submitted to an exchange, or that the exchange accepted or rejected the application. A later quarterly shareholding pattern may then show the resulting category.
These are stages, not interchangeable labels. The safest verification method is to match every statement to the exact stage supported by the filing. For example, “the company filed an application” is accurate when the disclosure and attachment show submission. “The exchange approved the reclassification” requires a later acceptance or approval record from the relevant exchange. A changed shareholding pattern is useful corroboration, but it does not replace the underlying decision letter when that letter should be available.
SEBI’s Listing Obligations and Disclosure Requirements Regulations (LODR), especially Regulation 31A, provide the regulatory framework. The consolidated text available in 2025 incorporates amendments through its consolidation date and notes that a 2024 amendment took effect on 13 December 2024. Because requirements and interpretations can change, use the version applicable to the filing date rather than applying an old summary to a current case.

Where to search on NSE
Corporate Filings Announcements
On NSE, start with the Corporate Filings Announcements page. Select or search for the issuer by its NSE symbol, then use a date range broad enough to cover the entire process. Search titles and categories for terms such as “reclassification,” “request for reclassification,” “application for reclassification,” “approval,” “rejection,” “promoter,” “promoter group,” and “public category.”
NSE records generally show the filing title together with the time the exchange received the disclosure and the time it disseminated the information. Those timestamps are different from the date printed on the attached letter or the date on which the board took an action. Record all of them separately.
An NSE timeline can contain more than one relevant entry. A request-receipt notice may appear first, followed later by an approval-related filing. Treat the labels as evidence of what that particular record says, not as a universal taxonomy for every issuer.
NSE Shareholding Pattern
After locating a reported decision, open the issuer’s NSE Shareholding Pattern filing page and inspect the next available quarter. The filing separates promoter and promoter-group holdings from public holdings, allowing you to check whether the relevant names and quantities moved categories.
This is a timing check, not an instant status indicator. A quarterly filing may be submitted after the exchange decision, and the first available pattern may therefore lag the approval. If the category has not changed yet, do not conclude that the application was rejected; first check the filing period, the decision date and whether another intervening disclosure explains the difference.

NSE compliance checklist
NSE’s Compliance Information Checklist includes a downloadable item called Re-classification of Promoters. The page was marked updated on 25 August 2026. Use the current download to understand the documents expected in a filing. A checklist is procedural guidance; it is not evidence that a particular issuer satisfied every condition.
Where to search on BSE
Corporate Announcements
On BSE, search Corporate Announcements by the listed company name or its security code. An announcement record can display the security code, company name, received time, dissemination time, title and an attachment. Open the attachment instead of relying on the title.

The attached letter may identify the applicants, their existing category, the requested public-category status, the company’s rationale and the date of submission.
Listing Centre processing route
BSE’s filing guidance identifies the route for the application itself: Listing Centre → Listing Module → Reclassification of Promoters. The guidance states that the application can be filed through that Listing Module and that physical filings are not accepted through this process. It also distinguishes disclosure of the application from disclosure of the subsequent exchange decision.
Use the current BSE checklist when assessing a live matter. Procedural timelines and documentary requirements can depend on the applicable regulation, the facts and later amendments; do not turn a timeline described in an older checklist into a universal deadline.

For a dual-listed company, records on the two exchanges are corroborating sources, not assumed duplicate copies. Titles, attachments and timestamps can differ. An NSE filing received on one date may be disseminated at a different time from a BSE filing, and one exchange may display a document that is not immediately visible on the other.

Step-by-step verification workflow
- Identify the issuer precisely. Write down the legal company name, NSE symbol, BSE security code and every exchange on which it is listed. Similar company names and changed symbols can lead to the wrong record.
- Set a sufficiently wide date range. Include the period covering the initial request, board consideration, any shareholder process, application submission, exchange decision and the next shareholding-pattern filing. A narrow search can make a completed process look incomplete.
- Search both announcement portals. On NSE use Corporate Filings Announcements. On BSE use Corporate Announcements. Try combinations of “reclassification,” “promoter,” “promoter group,” “public,” “application,” “approval” and “rejection.” Also search the applicants’ names if the portal permits free-text filtering.
- Open every relevant attachment. Capture the issuer’s exact wording, event date, applicants’ names, current and proposed categories, rationale, conditions and the document date. A headline may omit a qualification contained in the letter.
- Separate the timestamps. Record the event date printed in the document, the date and time the exchange received it, and the dissemination date and time. Do not substitute one for another in a chronology.
- Classify the stage. Mark each record as a request received by the company, board action, shareholder action, application submitted, exchange approval or acceptance, exchange rejection, or later shareholding-pattern change. If the filing does not establish a stage, label it “stage not stated” rather than guessing.
- Locate the actual exchange outcome. Search later filings for an acceptance or approval letter, or for a rejection or other decision notice. For BSE, the filing guidance describes an exchange letter of acceptance subject to compliance and a disclosure after approval or rejection. Do not infer approval from the issuer’s application-submission notice.
- Check the next shareholding pattern. Compare the relevant holders’ names, number of shares and category in the next available quarterly filing. Check whether the pattern reflects the decision and whether the exchange decision document is also present.
- Check the rule in force at the relevant date. Read current Regulation 31A, applicable amendments and exchange guidance. The 13 December 2024 effective date for the noted amendment is a reminder that the governing text can change between cases.
- Build a dated evidence trail. Save the announcement title, attachment, event date, received timestamp, dissemination timestamp, supported stage and any unresolved discrepancy. This makes the conclusion reproducible if a page is later updated.
How to tell an application from an approval
Language indicating a request or application
- “Request for reclassification” or “application for reclassification.”
- “Submission of application” or “application filed with the exchange.”
- A board or company statement saying the matter was considered or forwarded.
- A letter that asks the exchange to approve a change but contains no acceptance or decision from the exchange.
These records prove that a party sought the change or that the company disclosed a submission. They do not prove the exchange granted the request.
Language indicating an exchange outcome
- An exchange-issued acceptance or approval letter identifying the issuer and the reclassification decision.
- A rejection or decision notice that states the application was not accepted.
- A later issuer announcement expressly disclosing the exchange’s approval or rejection and attaching the decision.
Even an approval may be conditional. Read the decision for compliance conditions, effective dates, excluded holders or requests for additional filings.
Why a shareholding pattern is only a cross-check
A subsequent pattern can show that holders are reported under the public category, but it may be filed later than the decision and may reflect a reporting period rather than the exact effective date. It can also contain an error or a transitional presentation. Use it to test consistency with the decision, not as the sole proof of approval.

- Issuer name, NSE symbol and BSE security code.
- Announcement title and filing category.
- Names of each applicant and the category stated before and after the requested change.
- Board resolution, board views and company confirmations where attached.
- Pre- and post-reclassification shareholding patterns, if supplied.
- Chronology of earlier disclosures and any shareholder resolution.
- Document date, exchange-received timestamp and dissemination timestamp.
- The exact wording of an approval, acceptance, rejection or condition.
An NSE-hosted CAMS filing illustrates the type of supporting package that can appear in a real case: an applicant request and rationale, board resolution and views, company confirmation, pre- and post-reclassification patterns and a chronology of disclosures. That example does not establish that every issuer must provide identical papers; the live exchange checklist and current regulation control.

Only one exchange was searched
A dual-listed issuer can have different posting times, titles or attachments. Search both portals using the issuer’s symbol and security code, then compare the records rather than treating one as authoritative by default.
The headline was treated as the decision
Open the attachment and identify who issued it. If it is an issuer letter requesting approval, classify it as an application. Look for a later exchange acceptance or rejection.
The wrong date was used
Separate the underlying event date, the exchange-received time and the dissemination time. A filing may be signed on one day, received on another and displayed publicly later.

The shareholding pattern appears inconsistent
Check the quarter covered, the decision’s effective date, holder names and share counts. If the records still conflict, report the discrepancy as unresolved and preserve both documents; do not silently reconcile them.

The portal search returns too few results
Expand the date range, search alternate spellings and terms, and use the security code or symbol instead of only the company name. Include “public category,” “promoter group,” “status,” “acceptance” and “rejection.”
A checklist is being used as legal advice
Check the current Regulation 31A text and the exchange’s current checklist for the filing date. Eligibility and required steps can depend on the facts, amendments and the exact holder category.
When the record is still inconclusive
It is legitimate to conclude that the available filings establish only an application or request. State exactly what has been found: for example, “The issuer disclosed submission of a reclassification application on the stated date; no exchange acceptance or rejection record was located in the searched period, and the next shareholding pattern has not yet confirmed a category change.” That wording is more reliable than calling the reclassification approved because a request was announced.
For a disputed or consequential individual case, consult a qualified securities-law or listed-company compliance professional. The exchange pages and Regulation 31A explain the record and framework, but they do not by themselves resolve every fact-specific eligibility question.
A compact verification checklist
- Correct legal issuer, symbol and security code.
- Both BSE and NSE searched when the company is dual-listed.
- Date range covers request through the next available shareholding pattern.
- Original attachment opened and saved.
- Event, received and dissemination times kept distinct.
- Record classified as request, board or shareholder action, application, decision or later holding-pattern change.
- Approval, acceptance or rejection document located where available.
- Subsequent shareholding pattern compared with the decision.
- Current Regulation 31A text and amendments checked.
- Any discrepancy reported as unresolved rather than guessed away.
Frequently Asked Questions
Does a promoter reclassification application announcement mean the exchange has approved it?
No. It proves that a request or application was disclosed. Approval requires a later exchange acceptance or decision record, followed by a shareholding-pattern cross-check where available.
Should I check both BSE and NSE for a dual-listed company?
Yes. Search both portals because titles, attachments and timestamps may differ. Treat the records as corroborating evidence, not automatic duplicates.
Why might the shareholding pattern still show promoters after an approval?
The quarterly filing may cover an earlier period, may lag the decision, or may contain a reporting discrepancy. Check the effective date and the exchange decision before drawing a conclusion.
