Evaluate an AI startup’s valuation together with its stage, business evidence, financing need, dilution, and deal terms. A high headline valuation does not establish that the company is worth that amount in an operating or exit sense; a low one does not tell you whether the financing is attractive without knowing how much capital is being raised and what rights come with it. Start by asking what the company has demonstrated, what the new money is meant to achieve, and how the proposed financing changes ownership and control.
What does an AI startup’s valuation tell you?
A valuation is one part of a financing transaction, not a complete verdict on a company. Its meaning depends on what is being valued, which financing instrument is involved, the amount of capital being raised, and the ownership and rights exchanged. A quoted valuation can also be difficult to compare with another deal if one is pre-money and the other post-money, or if one is a priced equity round and the other uses a SAFE.
Think of the evaluation as two connected questions: does the business have evidence to support its plan, and do the proposed financing terms make sense for the company and its investors? A valuation headline answers neither question by itself. An SEC-filed AI investment strategy, for example, describes examining market size and growth, penetration, competitive position, business model, revenue growth, customers, profitability, access to capital, debt, capitalization, legal and regulatory issues, and the security structure. Those are useful categories to investigate, not a universal formula or a guarantee of value.
Match the evidence to the company’s stage
The right proof points change as a company matures. Early-stage companies may not yet have enough operating history to demonstrate repeatable revenue, while a company raising a growth-oriented round should not rely on a compelling prototype alone. Compare the claims with what the company has actually established at the point of financing.

Seed: test the case for the company
At seed, the company may still be proving that customers want the product and will use or pay for it. Examine the team’s ability to execute, the customer problem, the reachable market, product or prototype evidence, projections, and ownership and protection of relevant intellectual property. Ask who has used the product, what they use it for, whether use repeats, who pays, and what alternatives customers would choose. Treat projections as plans to test, not as realized operating performance.
Carta’s Q2 2026 platform data reports a median seed round of $4.5 million, a median post-money seed valuation of $23.9 million, and median seed dilution of 19.4%. These are dated platform benchmarks, not target terms or a recommended outcome for an individual company. They are useful only as context for a genuinely comparable financing, with the same attention to geography, instrument, company profile, and date.
Series A: test whether growth can repeat
For a Series A, the central question becomes whether product-market fit can support repeatable growth. Look for evidence of predictable revenue, customer retention and repeat use, supportable customer-acquisition economics, and milestones that the new capital can credibly fund. Reconcile revenue claims with customer concentration, contracts, margins, profitability, and the company’s plan for accessing more capital if needed. Carta identifies predictable revenue, healthy unit economics, and a financial roadmap as Series A signals; a label such as “AI-powered” does not substitute for those operating facts.

Carta’s Series A guide reports a Q1 2026 median valuation of $300 million for foundational-model AI startups, compared with roughly $55 million for comparable non-AI startups. This is a segment-specific observation from Carta’s platform in that period. It is not a direct benchmark for every AI application, geography, company stage, or business model. Do not apply the foundational-model figure to a company simply because it uses a model.

Assess the product, market, and claimed advantage
Map the product to a concrete customer problem and check whether the company can reach enough customers to build a durable business. Examine market growth and penetration, the competitive position and relative share, the business model, and evidence behind customer and revenue claims. A large estimated market is not the same as a market the company can reach, and strong technical performance is not by itself evidence that customers will adopt or pay.
For an AI company, separate the use of AI from the source of any claimed advantage. Ask what evidence supports adoption, what data access or rights the company has, whether the product is embedded in a customer workflow, and whether distribution or technical performance helps it compete. The cited materials do not establish a universal AI-specific moat test. Model use alone therefore cannot establish defensibility; assess the company’s particular product and evidence rather than treating the technology label as proof.
Check revenue quality, economics, and the capital plan
Follow the revenue story from customer to contract to cash. Identify major customers and concentration, the terms and duration of contracts, whether usage or revenue repeats, and what it costs to serve customers. At a scaling stage, compare customer acquisition costs with margins and retention. A company can report growth while still needing to prove that the economics of acquiring and serving each customer support a sustainable plan.

Ask what milestones the company expects to reach before it must decide whether to raise again, how the new capital pays for those milestones, and what happens if execution takes longer than planned. Consider the company’s profitability, debt, and access to additional capital alongside the forecast. The NVCA 2025 Yearbook, using data provided by PitchBook, reports that the median burn multiple improved to 1.2x in 2024 from 2.4x in 2021. That is historical venture-market context, not a target for a particular AI company or evidence of its own efficiency.

As Peter Walker, identified by Carta as its former head of insights, put it in Carta’s Series A guide: “Valuations are often simply the output of the other two parts of the equation—cash raised and dilution. Most massive valuation rounds also come with massive funding amounts. How much cash do you really need?” The practical implication is to scrutinize the financing need and ownership sold alongside the valuation, rather than assuming that a larger raise or higher headline is automatically better.
Compare valuation evidence carefully
Before using a comparable, establish what the number describes. Record whether it is pre-money or post-money, the amount raised, the financing instrument, and how ownership is calculated on a fully diluted basis. Then compare companies with relevant stage, business model, geography, growth profile, and financing date. A broad sector label such as “AI” is not enough to make two businesses comparable.
| Published observation | What it covers | How to use it |
|---|---|---|
| 19.4% median seed dilution; $4.5 million median seed round; $23.9 million median post-money seed valuation | Carta platform data, Q2 2026 | Use as a dated seed-stage reference point, not a recommended target or a valuation rule. |
| $300 million median Series A valuation for foundational-model AI startups; roughly $55 million for comparable non-AI startups | Carta platform data, Q1 2026; foundational-model segment comparison | Do not generalize to AI applications, different stages, or different geographies. |
| 45% of deals involved non-priced rounds, up from 28% in 2021 | NVCA 2025 Yearbook, historical 2024 and 2021 data provided by PitchBook | Recognize that many financings may not provide a directly comparable priced-round valuation. |
| Median burn multiple of 1.2x in 2024, compared with 2.4x in 2021 | NVCA 2025 Yearbook, historical data provided by PitchBook | Use only as historical market context; evaluate the company’s own revenue and capital use. |
All four figures are observations tied to the named provider, period, and scope; they are not forecasts or standards. Public benchmark data cannot determine a private company’s fair value without its financials, capitalization, transaction documents, geography, and comparable transactions.
Model the instrument and ownership—not just the headline
For each SAFE or note, write down the investment amount, valuation cap, discount, pre-money or post-money basis, conversion trigger, and any maturity or repayment features that apply. Include side letters and pro-rata rights. These details determine how the instrument converts and what the investor receives; a cap should not be mistaken for a negotiated valuation of the company in a priced equity round.

Understand a post-money SAFE cap
Y Combinator explains that, for a post-money SAFE with a valuation cap, the ownership sold is calculated as investment divided by the cap. The cap sets a conversion ceiling under that instrument; it does not independently prove the company’s operating value. If the next equity financing is above the cap, the SAFE converts at the lower cap price. Apply the formula only to the relevant post-money SAFE and its stated treatment; it does not, by itself, describe the final ownership after later financing.
Model conversion and the option pool together
Pre-money and post-money definitions, multiple outstanding SAFEs, option-pool treatment, and the terms of a future priced round can change the result. YC’s explanation of post-money SAFEs treats earlier SAFE money and the existing option pool in a stated way, while new priced-round money and any new or increased option pool are treated differently. Consequently, do not estimate founder dilution by applying one cap or one percentage in isolation.
- List every outstanding SAFE, note, and other convertible instrument, with its amount, cap, discount, basis, and conversion terms.
- Record the current fully diluted capitalization and the existing option pool, then specify any proposed pool increase.
- Model each convertible’s conversion under the proposed financing terms, including the priced-round share price and conversion trigger.
- Calculate ownership after conversion and the financing on a fully diluted basis, then compare the resulting founder and employee ownership across offers.
- Have qualified counsel verify the calculations against the executed documents; use actual signed terms, not a term-sheet shorthand or a generic calculator setting.
This is especially important when multiple convertibles are outstanding: the apparent valuation may look similar across offers while the resulting ownership differs because of caps, discounts, pool changes, or conversion mechanics.
Read the economic and control rights
Two offers with similar headline valuations can distribute proceeds, influence decisions, and constrain future fundraising differently. Carta’s term-sheet guide covers pricing terms, economic rights, and control rights. Review the complete financing documents, not just the valuation line.

- 【No Drill Mounted】Cable management tray can be assembled in as little as 3 minutes or less-simply. Side clips easily clampe the edge of desk, pass through the holes on the sides, and secure excess cables with baskets. - 【Reduce Safety Risks】Cable tray under desk keeps all plugs away from your kids, no more worry about tripping. Using 2 holes wire tray saves extra space, helps you easily cabling and wire protection. The mesh design is not easy to accumulate dust, but avoids safety accidents caused by messy wires.
- Exit economics: Review liquidation preference and whether it participates, plus anti-dilution protection. Consider how each term changes proceeds in downside and stronger-exit scenarios.
- Governance: Check board seats, board composition, protective provisions, and information rights. Identify which decisions need investor approval and what information the company must provide.
- Future financing and transfers: Review pro-rata rights, rights of first refusal, co-sale terms, and drag-along provisions. These affect future investment participation, share transfers, and the conditions under which a sale can proceed.
- Funding conditions: Check whether capital is committed or conditional, whether it is paid in tranches, which milestones or closing conditions apply, any fees or expenses, and the expected timeline to fund. NVCA’s model-document resource notes mechanics for tranched financings.
These terms matter because an attractive price can be offset by rights that alter exit outcomes, governance, fundraising flexibility, or ownership. Their effect depends on the specific documents and company circumstances; compare the complete package rather than assigning a value to one clause in isolation.
Compare offers on a fully diluted basis
If there is more than one proposal, put the key terms into one comparison before deciding. Carta’s guidance distinguishes pricing, economic rights, and control rights; the following checklist also makes the operating consequences visible.
- Pre-money and post-money valuation, share price, capital amount, and which portions are committed versus conditional.
- Founder and employee ownership after all SAFE or note conversions and any option-pool refresh.
- Liquidation preference, participation, anti-dilution protection, and proceeds under downside or exit scenarios.
- Board composition, protective provisions, information rights, pro-rata rights, ROFR/co-sale, and drag-along terms.
- Tranche or milestone triggers, closing conditions, expenses, and time to funding.
- Investor fit, relevant assistance, follow-on capacity, and whether the remaining runway can reach measurable milestones.
For each offer, connect the cash to the plan: what will it fund, what evidence should exist at the next financing decision, and how much ownership and control will remain after the financing mechanics play out? The better offer is not necessarily the one with the highest headline valuation; it is the one whose capital, terms, and support fit the company’s needs without obscuring the ownership and risks involved.
What to verify before signing
Private-company value cannot be established from public medians alone. Check the current capitalization table, actual financials, signed customer agreements, instrument documents, and proposed term sheet. Have qualified startup financing counsel review the executed instruments and rights, particularly where multiple SAFEs or notes, side letters, pool adjustments, or tranche conditions are involved. Confirm that projections and milestone assumptions match the company’s operating plan, and that the investor’s funding obligations and conditions are clear in the documents.
Market statistics should remain in their proper context. Carta’s figures describe its platform and the periods named above. The NVCA figures cited here describe historical 2024 and 2021 data and credit PitchBook as the data provider. Neither source can supply a fair valuation for a specific private company without its underlying company information and transaction terms.
