An IPO lockup expiration can make more existing shares eligible for sale, but it does not automatically put those shares on the market, cause the stock to fall, or dilute shareholders. To assess the risk, separate three things: how many shares can initially trade, when restricted holders may resell, and whether the company may issue additional securities.
Why IPO shares can be volatile
IPO trading can begin with a relatively small public float: the shares available for public trading may be only a portion of the company’s total outstanding shares. Other existing shares may be subject to contractual lockups or other resale restrictions. The U.S. Securities and Exchange Commission (SEC) explains that limited trading supply combined with strong demand can push an IPO’s price sharply upward. Later, additional shares may become available, increasing potential supply and selling pressure.
This is a supply-and-demand mechanism, not a reliable prediction of what a particular stock will do. An increase in shares eligible for resale can weigh on the price if holders sell and demand does not absorb the supply. But holders may keep their shares, the market may already anticipate the release, and other company or market developments may affect trading. The cited SEC guidance does not quantify how often a stock falls after a lockup ends or the typical size of any price change.
Three separate quantities to keep straight
- Public float: the shares available to trade publicly at a given time. It may be smaller than the total shares outstanding.
- Shares eligible for resale: existing shares that may become saleable when contractual and applicable legal conditions are met. Eligibility is not proof that a sale will happen.
- Newly issued shares: securities the company issues, potentially changing existing investors’ proportional ownership or per-share economics. This is the central distinction when evaluating dilution.
What an IPO lockup does—and what it does not do
A lockup is an agreement that restricts specified holders from selling covered securities for a stated period after an IPO. Investor.gov, the SEC’s investor education site, says most IPO lockups prevent insiders from selling for 180 days. That is a typical term, not a universal rule: an issuer’s documents control, and some agreements limit the number of shares that may be sold over a designated period rather than imposing one simple end date.

Lockups commonly cover company insiders, employees, their friends and family, and large shareholders, but the covered people and securities depend on the agreement. A contract may also contain exceptions, allow an underwriter to release shares early, or provide for releases in stages. WilmerHale’s 2026 legal-practice report describes underwriter discretion, price- or timing-triggered releases, and staggered releases as possible terms. Those are descriptions of legal practice, not rules that supersede a specific issuer’s contract.
Expiration changes the contractual restriction for the affected shares; it does not issue new shares. Nor does it guarantee that holders will sell. Even after a lockup ends, securities-law resale conditions, insider-trading restrictions, company trading windows, pre-clearance policies, or trading-plan terms may still limit a particular person’s ability to transact.
Typical durations are not interchangeable rules
| Offering type | Duration described in the sources | How to interpret it |
|---|---|---|
| IPO lockups generally | Most prevent insider sales for 180 days, according to SEC Investor.gov, accessed in 2026. | A common term, not a guaranteed duration. Read the issuer’s agreement and prospectus for the actual restrictions and exceptions. |
| SPAC IPO lockups | Typically 365 days, according to WilmerHale’s 2026 legal-practice report. | A practice characterization, not an SEC-mandated period. Verify the SPAC’s filed terms. |
| Direct listings | Generally no lockup or flexible lockups, according to WilmerHale’s 2026 report. | A general description; the company’s specific documents determine whether restrictions apply. |
Does a lockup expiration mean the stock will fall?
No. The expiration can increase the potential supply of shares and may put pressure on a stock if a substantial number of holders sell, particularly when the newly eligible shares are large relative to the public float. But the contract ending is not the same event as a sale. Some holders may retain their shares, and the actual market response depends on demand, actual selling, expectations and broader trading conditions.

The practical question is not merely “How many shares unlock?” It is “How many shares could become saleable, under what conditions, and how large is that amount compared with the shares that already trade?” A large eligible-share count may indicate a possible overhang; it does not establish the amount or timing of actual sales.
Read a release as a potential-supply event
- Identify the number of shares covered by the restriction and the holders who own them.
- Check for early-release provisions, staged tranches, price or timing triggers, and waivers.
- Compare the potentially saleable shares with the shares initially offered and the public float.
- Look for later filings or company disclosures that report amendments, waivers, releases, sales, or new financing.
Underwriter policies discouraging “flipping”—rapid resale by IPO purchasers—can also reduce trading supply in the first days or weeks. This is distinct from insider lockups: one concerns the treatment of early IPO buyers, while the other is a contractual restriction on specified holders. Both can affect the number of shares trading, but neither by itself predicts the price direction.
Why an unlock is not the same as dilution
If a founder sells an already-issued share after a lockup, the share changes hands; the company has not necessarily created a new share. That resale can change who owns the stock and may add selling pressure, but it does not by itself expand the share base. Calling every lockup expiration “dilution” confuses a possible change in trading supply with a change in the number or rights of securities.

Dilution concerns changes to the share base and the effect those changes can have on existing holders’ proportional interests or per-share economics. Potential sources include shares issued through options, warrants, convertible securities, or additional financing. The practical analysis requires the issuer’s share counts and security terms—not just the lockup calendar.

- Review outstanding options, warrants, and convertible securities, including the terms that could lead to shares being issued.
- Inspect the capital-stock description for different share classes and voting rights.
- Read any stated plans or disclosures about future financing and other potential sources of new securities.
- Use the issuer’s own share counts and dilution calculations, while checking which securities and assumptions those calculations include.
A company can also have dual-class shares in which one class carries greater voting rights. The SEC notes that a founder or family may retain control with less than a majority of the economic ownership. That control structure is not itself dilution, but it matters when assessing what voting power an IPO share provides.
What SPAC dilution disclosures tell investors
SPAC IPOs have specific SEC disclosure requirements that should not be generalized to every conventional IPO. Under the SEC’s 2024 final rule, the required disclosures include adjusted net tangible book value per share, the difference between the offering price and that value, the sources and amounts of dilution, the share count used, and material potential future sources of dilution. The rule also calls for disclosure of sponsor compensation and securities issuances that may materially dilute purchasers in SPAC IPOs.

For a SPAC, read the required dilution presentation alongside the terms of the securities and the share counts it uses. The figures depend on the stated assumptions and the structure of the offering; a single per-share figure is not a substitute for understanding which potential securities or transactions are included.
The SEC’s rule discussion treats “over-allotment option” and “greenshoe option” as interchangeable terms for an underwriter option to purchase additional shares. Do not assume that the option automatically creates dilution: whether additional shares are issued, and the resulting effect, depends on the offering structure and whether the option is exercised. Confirm the actual terms in the underwriting disclosures.

Companies using a lockup must disclose its terms in registration documents, including the prospectus, according to Investor.gov. The prospectus is the starting point, but it is a point-in-time document; later amendments, waivers, releases, or company filings may change what an investor should expect.

- Start with the cover page. Note the number of shares offered and whether existing shareholders are selling shares as part of the offering. Distinguish those resales from shares being newly issued by the company.
- Read the principal and selling shareholders information. For each listed seller, note current holdings, shares offered, and retained holdings. The seller’s relationship to the company can help put the disclosed position in context.
- Find “Shares Eligible for Future Sale” or a similar heading. This section can describe registered shares or shares that may be resold without registration after the IPO. Use it to assess the potential market overhang, not to assume all eligible shares will be sold.
- Inspect the lockup agreement and related disclosures. Record its duration, covered securities and holders, exceptions, early or staged release provisions, and waiver terms. A prospectus summary may direct readers to the agreement for operative details.
- Review the capital-stock and dilution sections. Check share classes and voting rights, outstanding options, warrants and convertibles, and the issuer’s dilution calculations. For a SPAC IPO, also examine the specific dilution disclosures required by the SEC’s SPAC rules.
- Check subsequent company filings. Look for amendments, waivers, releases, sales, or new financing after the prospectus was filed. Do not treat an earlier summary as confirmation that the terms remained unchanged.
Why an exact calendar date can be uncertain
Do not calculate an expiry by simply adding 180 calendar days to an IPO announcement. The relevant agreement defines the period and may tie it to an effective date or another event; the prospectus date, trading days, release conditions, and early-release clauses can all matter. Consult the filed agreement and subsequent company filings to establish the applicable timing. If the documents describe staged or trigger-based releases, there may be more than one relevant date.
A practical way to compare IPO supply risks
When assessing two offerings—or comparing a company’s initial float with its later eligible shares—use the same dimensions rather than relying on a headline lockup duration alone:
| Question | What to examine | Why it matters |
|---|---|---|
| How much trades initially? | Initial public float compared with total shares outstanding. | A smaller trading pool can make supply and demand imbalances more consequential. |
| Who is selling in the offering? | Newly issued shares versus shares sold by existing holders; sellers’ remaining positions. | These are different sources of shares in the public offering and should not be conflated. |
| What may become saleable? | Number and percentage of shares subject to lockup; potential shares relative to the public float. | Shows the scale of possible future supply, not actual sales. |
| When and how can restrictions end? | Expiry terms, exceptions, early-release triggers, waivers, and staged releases. | A single stated duration can conceal conditional or phased availability. |
| What may change the share base? | Options, warrants, convertibles, planned financing, and other disclosed potential securities. | These can create dilution in a way that resale of an existing share does not. |
| What voting power comes with the shares? | Share-class rights and any dual-class structure. | Economic ownership and corporate control may not be aligned. |
These disclosures support a structured comparison, but they do not supply a universal threshold at which a potential overhang becomes a likely price decline. The trading response remains dependent on actual selling, demand, expectations, and other market factors.
Scope and limits
The duration guidance above comes from U.S. SEC investor materials; the SPAC dilution details refer to the SEC’s 2024 rule; and the descriptions of SPAC and direct-listing lockups come from WilmerHale’s 2026 legal-practice report. These sources do not establish a cross-country rule. Lockup practices and prospectus requirements can differ by jurisdiction, so investors outside the United States should check the applicable filing and local rules rather than assume U.S. practices apply.
