A restaurant private-event contract should make the deal and the event-day plan unambiguous: who is booking whom, which space and services are reserved, when they will be delivered, what the total price is, when money is due, and what happens if plans change. Put the guest commitment, menu, beverage service, minimum spend, fees, cancellation rules and responsibilities in writing, then attach any detailed event order or proposal referenced by the agreement.

This is a practical drafting checklist, not a universal legal form. Deposit rules, consumer protections, taxes, cancellation charges and liability clauses depend on the governing jurisdiction, the parties’ status and the event. A restaurant should obtain local legal advice before deploying a template; a customer should have the agreement reviewed when the sums or risks are significant.

1. Identify the parties and the authority to sign

Use the restaurant’s exact legal entity, not only its trading name. Include its business address and the name and contact details of the customer or organisation paying for the event. If a company, association or agency is booking, identify the entity that is financially responsible and the person authorised to bind it.

  • Legal names and addresses of both parties.
  • Primary contacts for planning, billing and event-day decisions.
  • The name and title of each authorised signer.
  • A method for approving later changes, such as a signed amendment or written confirmation from a named contact.
  • Whether an event planner, employer or other third party may communicate instructions or incur charges.

For qualifying future-performance agreements, Consumer Protection BC guidance calls for supplier identity and an opportunity for the consumer to review the contract. That is a BC-specific rule set, not a worldwide requirement.

  • Aluminum Alloy Housing: Built with a sturdy aluminum alloy shell that aids in heat dissipation and protects against daily wear and scratches. Designed to maintain a stable and secure connection.
  • Compact & Travel-Friendly: The ultra-compact design allows the adapter to stay plugged into your device without blocking adjacent ports or adding bulk, reducing wear and tear on your original USB ports.
  • 12-Month Warranty: Backed by a 12-month manufacturer warranty for peace of mind. Designed to meet strict quality control standards for reliable everyday performance.

2. Define exactly what is being booked

Describe the event in operational terms rather than relying on a sales email or a room photograph. State the event type, the reserved room or area, whether the booking is exclusive, the maximum permitted occupancy and every service included in the agreed price.

Venue and access

  • Event date, day of week and time zone where relevant.
  • Guest arrival, meal or programme start, last service and end-of-event time.
  • Load-in, setup, sound-check and teardown windows, including any chargeable early access or overtime.
  • The exact room, patio, section or combination of spaces, and any areas that remain open to other diners.
  • Weather contingency space for an outdoor booking.

Included facilities

List tables, chairs, linens, glassware, tableware, staging, microphones, screens, Wi-Fi, coat check, parking arrangements and cleaning. If an item is supplied by a third party, identify who orders it and who pays. Attach a floor plan or equipment schedule when layout matters.

3. Set the guest-count commitment

The contract should distinguish an estimated attendance from the guaranteed number used for purchasing and billing. State the deadline for the final guarantee, the permitted adjustment range and the price effect of late changes.

  • Initial estimated attendance and the minimum or maximum capacity.
  • Date and time by which the guaranteed count must be supplied.
  • Whether the count may be increased, reduced or both after that deadline.
  • How additions are priced when meals, seats or staffing are still available.
  • Whether no-shows are billed and whether an unused seat can be replaced.
  • Which controls the bill if fewer people attend: the guaranteed count, a food-and-beverage minimum or another commitment.

Write the rule for a guest count that exceeds the room’s legal or practical capacity. A restaurant should not promise that an increase is possible merely because the contract allows a request.

4. Describe food, beverage and dietary service

Attach the final menu or package and identify what can change without a new approval. A vague reference to “chef’s choice” leaves price and suitability uncertain.

  • How a seasonal or supply-driven substitution is communicated and whether the customer may reject a material change.
  • Whether cake cutting, corkage, coffee, late-night food and takeaway containers are included or charged separately.

Allergies and dietary requests

State how the customer must submit allergies, intolerances and religious or medical dietary requirements, and by what date. Specify the restaurant’s process for cross-contact warnings and whether it can guarantee avoidance of a particular allergen. The agreement should not imply that a menu is safe for an allergy unless the restaurant can actually provide that assurance.

Beverage service

Identify an open bar, consumption bar, drink package, cash bar or non-alcoholic service. Record brands or categories where relevant, package duration, per-person or per-drink pricing, bartender hours, corkage, corkage limits and the treatment of unopened bottles. State who controls service to underage or intoxicated guests and whether local licensing rules restrict the plan.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

5. Make every cost and payment deadline legible

Use an itemised schedule instead of one unexplained total. Every amount should say whether it is a one-time fee, per-person price, hourly charge or estimate, and whether tax or a service charge is added.

Cost area What the contract should state
Room or hire fee Amount, billing unit, included hours and overtime rate.
Food Menu or package price, guest-count basis and approved substitutions.
Beverage Package or consumption method, duration, minimums and corkage.
Minimum spend Amount, whether it is pre-tax, and which food, beverage or hire purchases count toward it.
Service charge and gratuity Percentage or fixed amount, what it applies to, and whether gratuity is separate.
Taxes and mandatory fees Applicable rates or a clear statement that the displayed prices exclude taxes imposed by law.
Deposit or advance Amount, due date, whether it is credited to the final bill, and the contractual treatment on cancellation.
Installments and final payment Each due date, payment method, invoice recipient and consequences of late payment.
Possible extras Overtime, additional guests, special equipment, security, cleaning, damage, delivery, corkage and other trigger-based charges.

Define the calculation of the minimum. For example, say whether a room minimum is measured before tax and service charge and whether a discount reduces the amount that must be spent. The UK Parliament’s published hire conditions illustrate why this matters: they impose a mandatory 12.5% service charge on their published food and beverage prices and say eligible discounts do not reduce the contracted minimum catering spend. Those are that venue’s terms, not a restaurant-wide standard.

6. Explain deposits, advances and refunds

Do not label a payment “non-refundable” without explaining the legal and contractual basis. State whether it is a security deposit, a credit against the bill, an advance payment or a formally defined deposit under local law. Explain when the restaurant may apply it to damage, unpaid charges or cancellation losses, and when any balance is returned.

Show the payment timeline in a table or schedule. If a card authorisation is held for incidentals, state its amount, release timing and evidence required for a deduction. The agreement should also say how refunds are made and how long processing normally takes, subject to the payment provider and applicable law.

7. Set cancellation, postponement and change rules

Cancellation terms should be readable before the customer pays. Specify the required notice method, the effective time of cancellation, the fee or refund at each notice interval and the way the restaurant will calculate any additional loss.

Change Questions the clause should answer
Customer cancellation How must notice be delivered? What happens to the deposit, installments and documented additional costs at each date?
Postponement Can the booking move to another date, for how long, and may prices, menus or minimums be repriced?
Guest-count change What is the deadline, permitted range and per-person charge for a late increase or decrease?
Menu or programme change Which changes require written approval and which may trigger a new quote?
Restaurant cancellation What notice, refund, substitute space or reasonable assistance is provided if the venue cannot perform?
Material venue change When may the customer reject a room, access-hour or service change and receive a refund?

UK Government guidance on fair customer contracts says: “Any cancellation fee you charge must not be excessive and it should reflect steps you can take to minimise your losses (for example, finding another customer).” The UK’s Competition and Markets Authority separately warned on 2 March 2016 that advance-payment and cancellation terms for wedding and event venues can, in some circumstances, be unfair and breach consumer-protection law. These are UK materials; local law may differ.

8. Allocate event-day responsibilities

Write down who does the work that is easy to assume but costly to dispute.

  • Who sets tables, places name cards, receives deliveries, manages gifts and clears décor.
  • Who supplies and operates audiovisual equipment, extension leads, power and lighting.
  • Which staff roles are included, their service hours and the response process for problems.
  • Who may approve additional food, drinks, overtime or emergency purchases during the event.
  • Who removes personal property and hired equipment, and by what deadline.
  • Who pays for damage beyond ordinary wear, and how damage is documented.

Name one customer representative and one restaurant representative with authority to make day-of decisions. Without that control, a well-defined price can still expand through informal instructions.

9. Control outside vendors, décor and alcohol

State whether the customer may bring a caterer, cake, entertainment, florist, photographer, production company or security provider. For every permitted vendor, cover insurance certificates, licences, arrival times, unloading, power, noise limits, cleanup and responsibility for the vendor’s acts.

List décor restrictions such as candles, confetti, adhesives, hanging items, fog effects, open flames and changes to furniture. If the customer supplies alcohol, confirm whether it is prohibited, subject to corkage or allowed only with an approved licence and service plan. A contract should never promise an arrangement that conflicts with the venue’s licence, fire code or building rules.

10. Address accessibility, safety and liability

Record known accessibility needs, accessible entrances and toilets, seating clearances, hearing or visual assistance and a process for requesting reasonable accommodations. Confirm the location of emergency exits and who handles evacuation or medical incidents without turning the contract into a substitute for the venue’s safety plan.

Insurance, indemnity, limitation-of-liability and waiver clauses require particular care. Define the risks each party actually controls, any required commercial or event insurance, notice of a claim and evidence of coverage. Do not assume that an indemnity transfers liability for the restaurant’s own negligence or for duties that local law makes non-waivable. Have local counsel adapt these provisions.

11. Add operational and legal boilerplate that fits the event

  • Force majeure: events beyond reasonable control, required notice, mitigation and the choices available if performance becomes impossible.
  • Governing law and venue: the jurisdiction whose law applies and where a dispute may be heard, subject to mandatory consumer rights.
  • Dispute process: escalation contact, negotiation, mediation, arbitration or court, with costs and urgent-relief rules if appropriate.
  • Privacy and confidentiality: handling of guest lists, payment data, photographs and commercially sensitive information.
  • Entire agreement and precedence: which document controls if the proposal, contract, menu and event order conflict.
  • Notices and records: accepted email addresses, delivery rules, amendment requirements and retention of invoices.

Include only provisions that suit the transaction. A long template can create contradictions and may be unenforceable if it attempts to remove rights that local law protects.

12. Understand jurisdiction-specific cautions

British Columbia

Consumer Protection BC says some venue or event-rental arrangements are future-performance contracts when services will be delivered later or payment is not made entirely upfront. Its guidance describes disclosures such as supplier identity, a detailed service description, performance dates, itemised price, additional costs, payment terms, other conditions and cancellation or refund policy. It says the consumer must have an opportunity to review the agreement and that a copy must be supplied within 15 days. The guidance also warns that other laws may apply.

United Kingdom

UK fair-contract guidance and the 2016 CMA venue advice are useful checks on excessive cancellation charges and retained prepayments, but they are not a substitute for checking current UK law or the rules in another country. A restaurant should obtain current local advice before relying on a cancellation schedule.

Russia

A 9 March 2023 response from Rospotrebnadzor discusses banquet prepayments under Russian law, including the distinction between an advance and a formally documented deposit. That analysis belongs to the Russian legal regime and should not be generalized to contracts elsewhere.

13. Compare competing venue offers on the same basis

Before signing, put each proposal into one comparison sheet. The lowest room fee may not be the lowest total cost if a high minimum, service charge or restricted outside-vendor policy applies.

Comparison axis What to record
Total expected cost Room, food, beverage, taxes, service charge, gratuity and realistic extras.
Minimum calculation Amount, tax basis and purchases that count toward it.
Money at risk Deposit, installment dates, refund exposure and incidental hold.
Cancellation and postponement Notice intervals, fees, refund method and date-change flexibility.
Space and hours Exclusive use, capacity, access, overtime and weather backup.
Guest flexibility Guarantee deadline, permitted changes and late-count pricing.
Included service Staff, furniture, equipment, setup, cleanup and technical support.
Outside suppliers Food, alcohol, cake, entertainment, insurance and access restrictions.
Failure remedies What each party receives if the other cannot perform or materially changes the deal.

14. Use a signing and handoff checklist

  1. Start with the proposal, menu, floor plan and price schedule, then reconcile every promise into the contract or an attached event order.
  2. Complete the guest guarantee, dietary information, programme, vendor list and access schedule by the dates stated in the agreement.
  3. Ask the restaurant to explain every minimum, service charge, tax, deposit deduction and cancellation tier in writing.
  4. Confirm that the signer has authority and that all attachments are identified by title and date.
  5. Sign using the agreed method and ensure both parties receive the same complete, legible copy.
  6. Record later approvals in the contract’s permitted channel; do not rely on an undocumented verbal concession.
  7. At the final planning meeting, review the event order, final count, balance due, vendor arrival, emergency contact and day-of authority.

15. Red flags that need clarification before payment

  • A room, menu or service is described only as “as discussed” with no attachment.
  • The contract states a minimum spend but does not say whether tax or service charge counts toward it.
  • The deposit is called non-refundable without a cancellation schedule or explanation of permitted deductions.
  • The final guest count is due, but the agreement does not say what happens when attendance falls or rises.
  • Late-night service, overtime, corkage, cake cutting or equipment appears on an invoice even though the trigger price was never disclosed.
  • The restaurant can move the event to another space without defining a material-change remedy.
  • One party may make unlimited day-of purchases without naming an approver or a spending limit.
  • Insurance, accessibility or outside-vendor requirements are mentioned in a separate policy that was not supplied.

Pause payment or obtain a written amendment when a red flag affects price, capacity, safety or the ability to cancel. Keep the signed contract, attachments, invoices, payment receipts and approved changes together.

Product prices and availability are accurate as of the date/time indicated and are subject to change. Any price and availability information displayed on Amazon at the time of purchase will apply.
