If you have missed a UK rights issue application deadline, contact your broker or investment platform immediately through its urgent support channel. Ask whether the offer is still open, whether an instruction or payment can still be submitted, whether your rights can still be transferred or traded, and whether they have lapsed. At the same time, read the offer circular or letter of allotment: it sets the operative deadline, accepted instruction methods and the treatment of rights that are not taken up.
There is no general rule that gives an investor a right to apply late. A broker cannot promise acceptance, a sale of lapsed rights or a payment of proceeds until it checks the particular offer and the rights’ status.
Take these steps immediately
- Call or message your broker or platform using its urgent channel. Do not rely only on a standard email queue if the offer may still be open.
- State the company, your account and the rights issue. Tell the intermediary that you missed the application deadline and want the current status of your rights.
- Ask four precise questions:
- Is the offer still open for acceptance?
- Can you still submit an instruction or payment, and what time and method would apply?
- Can the rights still be transferred or traded as nil-paid rights?
- Have the rights lapsed, and what does this offer say will happen next?
- Request the relevant registrar or issuer contact if the broker cannot answer from its own records. The broker may need to confirm whether an instruction has reached the registrar rather than merely being entered on its internal system.
- Save evidence. Keep the offer document, account messages, call reference, submission time and any confirmation or rejection. These records help you establish what was requested and when.
Acting quickly matters because several different cut-offs can exist: the issuer’s deadline, the intermediary’s earlier internal deadline, a payment cut-off and a deadline for trading or transferring nil-paid rights. Only the specific offer documents and the current status recorded by the intermediary can tell you which one controls your position.

Rights issue
In the UK terminology used by the Financial Conduct Authority (FCA), a rights issue is an offer to existing holders to acquire further securities, commonly in proportion to their existing holdings. The offer is made through a renounceable letter or another negotiable document. The rights may be traded before payment is due as “nil-paid” rights: the purchaser acquires the right without yet paying the subscription price for the new shares.

HM Revenue & Customs (HMRC) describes the right to subscribe as a right, not an obligation. You can therefore decide not to subscribe, but choosing not to act is different from proving that a late application was accepted.
Open offer
An open offer is a separate category under FCA rules. Do not assume that the procedures, transferability or treatment of unaccepted entitlements in an open offer are identical to a rights issue. Use the wording in the company’s circular and the instructions supplied by your broker to identify the offer type before relying on any explanation of nil-paid trading or sale proceeds.
Check the deadline in the offer documents
Find the circular, prospectus, letter of allotment or equivalent notice supplied by the company, broker or platform. Look for the section describing acceptance, payment and what happens to rights not taken up. Check all of the following:
- The date and time by which acceptance must be received.
- Whether the stated time is the issuer’s deadline or an earlier deadline imposed by your broker.
- The permitted instruction method, such as an online form, written form, telephone instruction or another method specified in the documents.
- Whether payment must clear by the deadline rather than merely being initiated.
- The final date for transferring or trading rights, if the rights are renounceable and admitted to trading.
- The procedure for excess applications, if the offer permits them, and the treatment of any unallocated balance.
- The stated treatment of rights that are not taken up, including any sale process and distribution of net proceeds.
The FCA’s current UK Listing Rules text, updated 19 January 2026, requires a listed company’s rights issue offer to remain open for acceptance for at least 10 business days. UKLR 9.4.6 states: “A listed company must ensure that the offer relating to a rights issue remains open for acceptance for at least 10 business days.” The first business day is the date on which the offer first opens.

That minimum is an opening-period requirement, not a post-deadline grace period. It does not mean that an investor has an additional 10 business days after the advertised closing date, and it does not require a broker to accept a late instruction.
What your broker needs to establish
A late request can fail at different points, so ask the intermediary to identify the exact status rather than giving a general answer that the deadline has passed.
If the offer is still open
Ask whether the broker can submit an instruction now and whether it must use a particular channel. Confirm the subscription price, quantity, payment requirement and the time by which cleared funds must be available. Request written confirmation that the instruction was accepted for processing; an unsubmitted form or an online draft is not proof of acceptance.

If the issuer’s offer is open but the broker’s cut-off has passed
The intermediary may have set an earlier operational deadline so it can collect instructions, reconcile payments and send them to the registrar. Ask whether an urgent manual submission is possible and whether the broker will contact its corporate-actions team or registrar. The existence of time before the issuer’s deadline does not create a duty for the intermediary to reopen its own process.

If the rights are still transferable or tradable
Ask whether your entitlement is recorded as nil-paid rights, whether trading remains available and what the final dealing time is. A right that can be traded is not the same as a right that can still be used to subscribe. Confirm whether a transfer or sale would require a separate instruction and whether the platform supports it.
If the rights have lapsed
Ask the broker to confirm the lapse date and the offer’s procedure for any sale or underwriting. Once rights have lapsed, the original subscription route may no longer be available. The broker should explain whether it expects proceeds to be distributed, whether any sale has occurred, and how it will notify you.
What can happen to rights you did not take up?
UKLR 9.4.4 addresses rights that existing shareholders do not take up. Where securities are sold or offered and a premium is obtained, the net premium after expenses is to be made available for the relevant holders, subject to an exception allowing the company to retain proceeds not exceeding £5 for an existing holder. If no net premium has been obtained when the offer expires, the shares may be allotted or sold to underwriters.
This rule describes the treatment required by the particular offer structure; it is not a promise that every investor will receive a payment. The amount, timing and method depend on the offer terms, the price achieved, expenses and the number of rights involved. The £5 figure is a regulatory threshold for the issuer’s handling of proceeds, not a guaranteed payment or compensation amount.

HMRC’s Capital Gains Manual (CG57855) describes a common outcome in which a company sells lapsed rights and distributes the proceeds. HMRC says this happens “often,” not always. Some offers may provide for underwriting or another allocation route instead, and small or zero net premiums may produce no distributable amount.
Can you apply for a rights issue late?
Possibly, but only if the relevant offer and intermediary still permit it. The FCA rules cited here establish the minimum period during which the offer must be open; they do not establish a general right to submit an application after the closing time.
A late instruction is more likely to be considered only while the offer remains open in the issuer’s records and the broker can still deliver a valid instruction and cleared payment. Even then, the offer documents may require a form, signature, payment method or dealing route that cannot be completed after the intermediary’s cut-off.

Decision guide by status
| What you learn | What to ask next | What the result means |
|---|---|---|
| The issuer’s acceptance period is still open | Can the broker submit my instruction now, and what payment and channel are required? | A late request may still be processable, but acceptance remains subject to the offer and intermediary. |
| The issuer is open, but the broker’s internal deadline has passed | Can the corporate-actions or registrar team make an exceptional submission? | The broker’s operational cut-off may prevent participation even before the issuer’s closing time. |
| Nil-paid rights can still be traded | What is the last dealing time and how do I give a transfer or sale instruction? | Trading may provide a separate route from subscribing, if the offer and platform allow it. |
| The rights have lapsed | What does the offer say about sale, underwriting and distribution of net proceeds? | The original subscription may be closed; any proceeds depend on the specified process and result. |
If the broker cannot resolve the issue
- Ask for the corporate-actions team or another specialist handling the issuer’s event.
- Request the exact clause in the offer document that governs late instructions, lapsed rights or proceeds.
- Ask the broker to identify the registrar or issuer contact named in the documents. Contacting the issuer does not automatically override the intermediary’s process, but it may clarify whether the offer is still open and how lapsed rights will be handled.
- Keep a written chronology: when you discovered the missed deadline, when you contacted the broker, what status it reported and what action it agreed to take.
- If you believe the broker mishandled an instruction that was submitted before its stated cut-off, use its formal complaints procedure and provide the saved evidence. A complaint about processing is different from a request to create a new post-deadline entitlement.
Common mistakes to avoid
- Confusing the 10-business-day minimum with extra time. It governs how long the offer must remain open, not how long investors have after closing.
- Assuming all corporate actions work alike. Rights issues and open offers have different regulatory treatment; follow the document for this event.
- Waiting for a routine support reply. An urgent corporate-action deadline can pass while a general ticket is unanswered.
- Assuming lapsed rights are worthless or automatically paid out. A sale and distribution of proceeds is common, but the offer may use underwriting or another route, and a net premium may be absent.
- Guessing the proceeds. Any payment depends on the sale price, expenses, the number of rights and the offer terms; no universal amount can be calculated from the missed deadline alone.
- Taking tax treatment for granted. HMRC’s manuals discuss lapsed rights and proceeds, but your own tax result depends on your circumstances and the transaction details. Keep the corporate-action statement and seek qualified tax advice if needed.
Practical examples
You missed the platform deadline by one day, but the company’s offer is still open
Contact the platform’s urgent corporate-actions channel, quote the event and ask whether a manual instruction with cleared funds can be sent to the registrar. If the platform declines because its internal cut-off has passed, ask it to confirm that reason in writing. The company’s remaining acceptance period does not by itself require the platform to reopen its process.
The offer has closed and the rights are shown as lapsed
Ask whether nil-paid rights were sold, are scheduled to be sold, or were covered by an underwriting arrangement. Request the expected notification and the method for calculating any net proceeds. Do not assume that a payment is due until the broker confirms the outcome under the offer terms.
You discovered that a transfer or sale might still be possible
Confirm that the rights are actually transferable or admitted to trading, rather than merely showing an entitlement in your account. Ask for the final dealing time and the exact instruction route. Selling or transferring rights is a separate decision from subscribing for new securities; this guide does not recommend either action.
Information to have ready when you call
- Company name and the rights issue title or reference.
- Your account number and the number of rights shown.
- The deadline printed in the circular or platform notice.
- When and how you attempted, or intended, to submit the instruction.
- Whether funds were already available or a payment was initiated.
- Screenshots, emails, call references and any automated confirmation.
The FCA’s UKLR 9.4 rules and the offer documents establish the UK framework, while HMRC’s CG57855 guidance describes the tax-manual treatment of lapsed rights and proceeds. Because the investor’s country, company, broker and issue terms differ, those general sources cannot determine whether your late instruction will be accepted or whether you will receive a payment. Only the intermediary and the specific offer documentation can establish that position.
