Before investing in an initial public offering (IPO), read the issuer’s latest prospectus as a fact-checking document, not a sales summary. In a U.S. offering, confirm that you have the current filing and then trace the business, risks, cash use, dilution, financial statements, control rights, pricing and future share supply. The same questions apply when comparing IPOs, but prospectus labels and regulator requirements differ outside the United States.
First, identify the right prospectus and jurisdiction
A prospectus is the disclosure document for a public offering. In the United States, an IPO prospectus is part of the issuer’s registration statement, usually Form S-1. The Securities and Exchange Commission (SEC) makes registration statements and amendments available through its EDGAR database.
Start with the issuer’s latest filing, not a cached summary, news article or an earlier preliminary prospectus. During registration, the company can amend its filing. After the registration statement becomes effective, the final prospectus is generally filed on Form 424B3 or 424B4 and normally includes the final offering price and share count.
How to verify the document
- Search EDGAR for the issuer’s legal name or proposed ticker.
- Open the newest registration statement and every later amendment shown in the filing history.
- Check the filing date, form type and whether the document is preliminary or final.
- Compare the final price, number of shares and selling-shareholder information with the terms in any earlier draft.
- Save the final prospectus and its exhibits so you can refer to the exact disclosure that applied to your investment decision.
The SEC’s declaration that a registration statement is effective is not an endorsement. SEC staff guidance states that “the SEC’s declaration of effectiveness does not represent an approval of the merits of the IPO or an indication that the information disclosed is complete or accurate.” The bulletin is investor education, not a rule, and effectiveness does not establish that the shares are suitable for you.

U.S. rules should not be applied automatically to another country. The European Union has its own prospectus framework for public offers and admission to regulated markets, and each jurisdiction identifies its own competent authority, filing forms and exemptions. Identify the issuer’s regulator and market before interpreting headings, financial-period requirements or approval language.
Use the summary as a map, then test every important claim
The prospectus summary is useful for orientation. It should tell you what the company does, its strategy, the offering structure, intended use of proceeds, selected financial information and principal risks. Do not treat it as the analysis. For every attractive statement in the summary, find the fuller business, risk, MD&A, financial-statement or capital-stock section that supports it.
Questions the summary should help you answer
- What product or service is being sold, and who pays for it?
- Which customers, geographies or distribution channels generate revenue?
- Is growth dependent on a new product, a small number of contracts, regulation or continued external funding?
- How many shares are offered, at what proposed or final price, and by whom?
- What does management say the proceeds will fund?
Write down the summary’s claims before reading the detailed sections. Mark each as supported, qualified or contradicted by the underlying disclosure. A company can describe a large addressable market while reporting concentration in a few customers, persistent losses or substantial cash requirements.

Understand the business before judging the opportunity
Read the detailed business section for the mechanics behind the revenue story. Identify the company’s products, pricing model, sales cycle, suppliers, production constraints, intellectual property, regulation and dependence on partners. Distinguish revenue that is recurring or contracted from revenue that depends on one-time transactions, renewals or usage that may fall.

Check customer and operating concentration
- Look for customers that represent a material percentage of revenue or accounts receivable.
- Check whether one supplier, cloud provider, manufacturer, distributor or license is difficult to replace.
- Note geographic exposure, currency effects and country-specific rules.
- Read seasonality and backlog descriptions; backlog is not the same as recognized revenue.
Compare the stated strategy with the resources available to execute it. Expansion plans may require hiring, inventory, capital equipment, regulatory approvals or additional financing. A business can grow rapidly while consuming cash faster than it generates it.
Read risk factors in context, not as a complete audit
Risk factors describe risks management believes could significantly affect the business, operations, performance or an investment in the securities. Read them carefully, but do not assume that the list is exhaustive or independently verified. The issuer is explaining its known risks; it is not providing an independent audit of every possible failure.
Follow each risk to the evidence
- Find the risk factor and restate it in plain language.
- Follow cross-references to the business section, MD&A, financial statements, legal proceedings and notes.
- Record the trigger, likely financial effect and management’s stated mitigation.
- Check whether the same issue appears as an actual historical result rather than only a possibility.
- Look for contingent liabilities, guarantees, pending claims and obligations that may not yet appear as ordinary debt.
Missouri’s Securities Division advises readers to seek fuller discussion of listed risks and consider contingent liabilities. For example, a “regulatory risk” matters differently when the company has already received a notice, when approval is pending, or when the risk is only a general possibility. Give priority to risks that can impair liquidity, restrict operations, dilute shareholders or invalidate the growth plan.
Do these 3 things before closing this tab:
1Clear out junk files and repair common Windows errors2Fix the driver behind crashes, sound loss and screen glitches3Repair Windows errors before they cause bigger problemsTrace where the IPO money goes
The use-of-proceeds section tells you what management says it will do with the capital. Look for specific allocations such as working capital, research, debt repayment, acquisitions, capital expenditure or general corporate purposes. Vague language gives management more discretion and makes it harder to test whether the offering funds the stated strategy.

Separate primary and secondary shares
| Share type | Seller | Who receives the proceeds | What to check |
|---|---|---|---|
| Primary shares | The issuer | The company | Planned spending, cash runway and whether the amount meets stated funding needs |
| Secondary shares | Existing shareholders | Those selling holders | How many shares each holder sells and retains, and why they are selling |
A secondary sale does not add cash to the company. Check the capitalization table and selling-shareholder table to see whether founders, directors, venture investors or other large holders are reducing their positions. A small primary raise alongside a large secondary sale can have a different funding effect from an offering composed almost entirely of new shares.
Measure dilution and the post-offering share count
Dilution is not just the percentage of new shares. Read the capitalization and dilution sections with their footnotes. Compare the IPO price with pro forma book value per share and with the prices paid by existing holders. The prospectus may show how the transaction changes net tangible book value and the amount by which new investors’ interests differ from earlier investors’ cost basis.
Build a simple share-count bridge
- Shares outstanding before the offering.
- Primary shares issued in the IPO.
- Secondary shares sold by existing holders.
- Options, warrants, restricted stock units and other securities that could become shares.
- Any over-allotment, or “greenshoe,” shares that underwriters may purchase.
Secondary shares change ownership but do not increase the company’s cash. Options and other convertible instruments can increase the future share supply even if they are not included in the basic shares-outstanding figure. Read the footnotes for vesting, exercise prices, conversion terms and anti-dilution provisions.

Read audited financial statements, notes and MD&A together
Start with the audited income statements, balance sheets, cash-flow statements and accompanying notes. Then read Management’s Discussion and Analysis (MD&A), which explains management’s view of changes in results and financial condition. Neither section is sufficient alone: the statements show what happened, while MD&A should explain why.

Financial checks that matter
- Revenue: Identify growth by product, geography and customer type, and check whether acquisitions or accounting changes affect comparability.
- Gross and operating margins: Determine whether improvements come from durable economics, temporary cost changes or capitalization choices.
- Cash flow: Compare operating cash flow with reported earnings and examine working-capital movements.
- Liquidity: Note cash, restricted cash, credit facilities, maturities and the period management says available funds will cover.
- Debt and commitments: Read interest rates, covenants, leases, purchase obligations and guarantees in the notes.
- Losses: Check accumulated deficits, going-concern language and the conditions management identifies for reaching profitability.
Some U.S. emerging growth companies and smaller reporting companies may present two years of audited financial statements, while other IPO issuers generally present three years, as described in the SEC’s October 14, 2022 investor bulletin. That is a disclosure-period distinction, not evidence that one company is stronger or weaker. Confirm the issuer’s eligibility and the current requirements.
Check management, governance and related parties
Read directors’ and executives’ biographies for relevant operating experience, not only titles. Review executive compensation, employment agreements, severance, equity awards and performance conditions. Large equity grants can affect dilution and incentives.
Related-party transactions
Find transactions involving executives, directors, major shareholders or entities they control. Check the amounts, timing, pricing, repayment terms, guarantees and approval process. A transaction can create a conflict even when the prospectus says it was commercially necessary. Pay attention to leases, consulting arrangements, loans, intellectual-property licenses and purchases from affiliated entities.

Control may remain concentrated even when the controlling holder owns a smaller share of the economic interest.

Interpret the offer price and underwriting terms correctly
The IPO price is negotiated by the issuer and underwriters using financial analysis, market conditions, investor indications of interest and other information. It is an offering price, not a guaranteed valuation and not a forecast of the first trading price. Competing interests exist: the issuer wants capital, selling holders may want liquidity, and underwriters want a successful distribution and aftermarket.
What to examine in the underwriting section
- Underwriting discounts, commissions, expense reimbursements and any other compensation.
- Whether underwriters have an over-allotment option and how many additional shares it covers.
- Indemnification, stabilization and termination provisions.
- Directed-share or reserved-share programs and who may receive allocations.
- Material relationships between the issuer, selling holders and underwriters.
The market price after listing may be above or below the offer price. An allocation at the offer price is different from buying in the open market later; most individual investors more commonly purchase after trading begins. Decide which situation applies to you because price, availability and lock-up effects differ.
Assess lock-ups and future share supply
Read the lock-up agreements and the “shares eligible for future sale” section. Lock-ups restrict specified holders from selling for a stated period, but exceptions, waivers or releases may apply. When restrictions expire, a large number of shares can become available at once and affect trading volume and price.

Include employee options, warrants, convertible securities, registration rights and shares reserved for equity plans in your supply analysis. Compare the freely tradable public float at listing with the total diluted share count. A small float can support volatile trading even when the company’s long-term fundamentals have not changed.
Use a consistent framework when comparing two IPOs
Read each prospectus with the same worksheet. The following axes keep a comparison from becoming a contest between marketing narratives.
| Axis | Questions to record for each issuer |
|---|---|
| Business model | Who pays, how revenue recurs, customer concentration and dependence on suppliers or partners |
| Growth and margins | Revenue trend, gross margin, operating margin, cash generation and stated growth drivers |
| Funding and debt | Cash runway, debt maturities, covenants, leases and likely need for additional capital |
| Risks | Which risks could interrupt operations, reduce demand, create liabilities or dilute holders |
| Use of proceeds | Primary versus secondary shares and the specificity of planned spending |
| Valuation context | Offer price relative to disclosed financials, book value and share-count assumptions |
| Ownership and dilution | Existing-holder sales, option overhang, conversion terms and pro forma ownership |
| Control | Voting rights, dual-class provisions and related-party arrangements |
| Supply and trading | Public float, lock-ups, future-sale eligibility and underwriter terms |
The disclosures help you compare facts; they do not determine which IPO is attractive or suitable. Your time horizon, loss tolerance, diversification and need for liquidity are separate investment decisions.
Quick Recap
A practical pre-investment checklist
- Confirm the issuer, jurisdiction, regulator and latest filing status.
- Read the summary, then verify its claims in the detailed sections.
- Describe the business model, customers, suppliers and competitive dependencies.
- Rank the most consequential risks and follow their cross-references.
- Trace every dollar of proposed proceeds and separate primary from secondary sales.
- Recalculate the post-offering basic and potentially diluted share count.
- Read financial statements, notes and MD&A for revenue quality, margins, cash and obligations.
- Review management experience, compensation, related-party transactions and governance.
- Map voting power, dual-class rights and who controls key decisions.
- Study the offer price, underwriting compensation and over-allotment terms.
- Estimate how lock-up expirations, options and other eligible shares may change supply.
- Record unanswered questions and obtain advice appropriate to your circumstances before committing money.
Common mistakes to avoid
- Reading only the summary: Important qualifications and liabilities usually appear in the detailed sections and notes.
- Using an old preliminary prospectus: Price, share count, risks and proceeds can change before the final filing.
- Counting all proceeds as company funding: Secondary-sale money goes to selling holders.
- Treating SEC effectiveness as approval: It concerns the registration process, not investment merit or suitability.
- Assuming the offer price predicts the opening price: Early trading can move in either direction.
- Ignoring contingent liabilities: Guarantees, litigation, purchase commitments and regulatory obligations can affect cash needs.
- Overlooking control rights: Economic ownership and voting power can diverge sharply in dual-class structures.
- Confusing limited financial history with quality: Two years of audited statements for eligible issuers is a reporting rule, not a performance signal.
