Before refinancing a commercial mortgage, verify the existing loan’s payoff and deadlines, prove that the property supports the proposed debt, identify every appraisal and third-party report, assemble borrower and guarantor records, and compare the new loan’s total economics rather than its headline rate. This checklist is written for U.S. commercial-property owners and borrowing entities. Requirements differ by lender, property type, loan program, state and loan documents, so treat regulator and agency guidance as reference points and confirm the controlling terms with qualified legal, tax and lending advisers.

1. Confirm the existing loan can be paid off on your schedule

Start with the signed note, mortgage or deed of trust, amendments, guarantees and every subsequent notice. The maturity date is only one date that matters. Record any extension option, the notice deadline for exercising it, required delivery method, and conditions such as updated financial statements or a fee. Missing an extension notice can leave a borrower facing a maturity default while a refinance is still in underwriting.

Request a written payoff statement

Ask the current servicer for a payoff quote valid through a specific date and request an explanation of each component. The principal shown on a statement is not necessarily the amount needed to release the lien. A payoff can include accrued interest, servicing or recording charges, legal fees, reserves, late charges and a prepayment premium or yield-maintenance amount. Have the servicer identify the per-diem interest and the expiration date so a closing delay does not invalidate the quote.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Read prepayment and release provisions

Look for lockout periods, defeasance, yield maintenance, declining premiums, minimum-interest clauses and notice requirements. Ask whether the premium changes on a scheduled date and whether it is calculated from a treasury yield, a spread or another formula in the documents. Some products permit a premium to be funded from refinance proceeds; that is a product-specific feature, not a general rule. The existing contract controls.

2. Test repayment capacity and leverage

A lender generally sizes a refinance using both the property’s income and its collateral value. Ask for the lender’s written underwriting so you can see the assumptions behind the proposed amount, payment and reserves. Do not substitute a market rule of thumb for the lender’s actual model.

Debt-service coverage ratio (DSCR)

The Office of the Comptroller of the Currency (OCC) defines DSCR as net operating income (NOI) divided by annual debt service. Request the exact NOI definition: items such as management fees, replacement reserves, owner-paid utilities, normalized repairs or one-time income can change the result. Have the lender show the annual principal-and-interest payment at the proposed rate and amortization, plus any required interest-only period or debt-service reserve.

Loan-to-value ratio (LTV)

LTV is the proposed loan amount divided by the accepted property value. A new appraisal can move the denominator even when the building has not changed. Ask which valuation date, income capitalization assumptions, comparable sales and treatment of personal property or business value will be used. Clarify whether the lender applies a lower value if an appraisal, review or internal valuation conflicts.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Debt yield

Debt yield is NOI divided by the loan amount. It indicates the property’s unlevered income relative to the debt, so it behaves differently from DSCR when interest rates or amortization change. OCC guidance says debt yield, when used, must be considered with other criteria and that loan amounts must be supported by prudent DSCR and LTV ratios. It is not a replacement for either ratio and does not create a universal pass/fail threshold.

Run practical stress cases

Ask for scenarios that reflect your property’s risks rather than relying on a single base case:

  • Lower occupancy or renewal rents and a slower lease-up.
  • Higher insurance, taxes, utilities, payroll or repairs.
  • A higher floating rate or a shorter rate-lock period.
  • Full amortizing payments after an interest-only period.
  • A delayed closing that extends interest on the old loan.

Use the results to decide how much cash to retain, whether reserves are affordable and whether a smaller loan would provide more durable coverage. These are planning tests; they are not a universal underwriting formula.

3. Identify valuation, environmental and property reports

Ask the prospective lender for a written due-diligence list before ordering work. Confirm who selects each provider, who pays, the required credentials, the acceptable report age and whether the report can be assigned to a successor lender if the transaction changes.

Appraisal

Confirm the valuation date, property interest being appraised, permitted-use assumptions and required approaches (income, sales comparison and, where relevant, cost). Ask whether the lender requires an appraisal review or updated appraisal if closing is delayed. Federal Reserve standards for certain qualifying commercial real-estate loans include a written appraisal and an environmental risk assessment, but that standard does not make the same package mandatory for every commercial mortgage.

Environmental review

Determine whether a Phase I environmental site assessment is required and what happens if it identifies recognized environmental conditions. Budget for a Phase II investigation, remediation evidence, environmental indemnity or a lender-imposed reserve when applicable. Older industrial uses, dry cleaners, fuel tanks, agricultural chemicals and neighboring contamination can affect both timing and loan proceeds.

Property-condition, survey and title work

A property-condition assessment can identify deferred maintenance and near-term capital needs that reduce proceeds or create a repair escrow. A boundary or ALTA survey may be needed to confirm access, easements, encroachments and improvements. Title work should verify lien priority, legal description, taxes, recorded restrictions and the lender’s ability to obtain the required policy and endorsements. Program materials for specified multifamily products illustrate that appraisal, title insurance, Phase I environmental and property-condition reports may all be requested; other lenders and property types can require a different scope.

4. Assemble borrower, sponsor and entity records

Underwriting often examines the borrowing entity, its owners, key principals and guarantors. Ask for a checklist and a required “as of” date; sending stale documents can restart review.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.
  • Current personal and business financial statements, typically signed and dated.
  • Recent tax returns and schedules for the entity, guarantors and material owners when requested.
  • Debt schedules, contingent liabilities, litigation disclosures and explanations of material changes.
  • Organizational documents, certificates of good standing, ownership charts, resolutions and signing authority.
  • Bank or brokerage statements supporting liquidity and required reserves.
  • Property operating statements, rent rolls, lease abstracts, collections, arrears and capital-expenditure history.

Federal Reserve standards for certain qualifying CRE loans call for verification and documentation of the borrower’s current financial condition. Agency materials for specified multifamily products similarly describe review of borrower and key-party information. The exact list, reporting period and guarantor requirements remain lender- and program-specific.

5. Check collateral, leases, insurance and operating restrictions

Lien and title position

Confirm that the new lender will receive the required lien priority and that every existing lien, judgment, tax issue or UCC filing can be released, subordinated or otherwise resolved at closing. Verify the legal borrower name and property description across the loan documents, title commitment and organizational records; mismatches create avoidable closing conditions.

Insurance

Obtain the lender’s insurance specifications early. They may address property, liability, flood, wind, earthquake, business-income and builder’s-risk coverage, deductibles, policy limits and lender-loss-payee or mortgagee wording. Have the broker provide certificates and endorsements in the exact legal name required. Coverage can be repriced or restricted at renewal, so test its cost in the refinance budget.

Leases and property agreements

Review leases, management agreements, franchise or operating agreements, easements, ground leases and other contracts for consent, notice, assignment, termination, cash-management or lender-access provisions. Certain Federal Reserve qualifying-loan standards address compliance with leases and related property agreements, but the legal effect depends on the transaction and governing law. Ask counsel to identify any tenant or counterparty consent needed before closing.

6. Compare offers by total economics and structure

Build a side-by-side model using the same payoff date and operating assumptions. The relevant result is cash available after retiring the old debt, paying transaction costs and funding required escrows—not the advertised interest rate alone.

Comparison item Questions to ask Why it matters
Net proceeds What remains after payoff, prepayment premium, lender fees, third-party reports, legal costs, escrows and reserves? A lower-rate loan can still require more cash at closing or return less equity.
Rate and lock Is the rate fixed or floating? When does the lock start, expire and become expensive to extend? What is the breakage or extension cost? Market movement and a delayed appraisal can change the payment.
Maturity and amortization How long is the term, and over what period is principal amortized? Is there interest-only debt or a balloon? A longer amortization lowers current debt service but can enlarge the maturity balance.
DSCR, LTV and debt yield What NOI, value and loan amount did the lender use? Are there minimums tested at closing or throughout the term? Different assumptions can produce materially different proceeds.
Recourse and guarantees Is the loan nonrecourse, full recourse or subject to carve-outs? Which entities or individuals sign? Guarantees can expose assets and create obligations beyond the property.
Covenants and cash management Are there reporting, leasing, liquidity, reserve, lockbox or cash-sweep requirements? Operational restrictions can affect flexibility and distributions.
Escrows and reserves Which taxes, insurance, replacements, repairs or interest reserves are funded, and when can they be released? Required funding reduces usable proceeds and affects liquidity.
Prepayment, extension and assumption What is the premium schedule? Are extensions or assumptions available, and on what conditions? Future sale, recapitalization or another refinance may be costly or restricted.

Published agency term sheets demonstrate that LTV and DSCR limits, rate-lock, escrow, recourse, reporting and third-party-report provisions can vary by asset class and product. Do not convert one program’s limits into a general market benchmark.

7. Use a disciplined refinance process

  1. Set the deadline. Work backward from maturity, an extension notice date and the desired closing date, allowing time for appraisal, environmental review and title curative work.
  2. Collect the current file. Put the note, amendments, payoff request, rent roll, operating statements, leases, insurance and entity documents in one controlled data room.
  3. Request term sheets and underwriting assumptions. Require each lender to state proceeds, rate, lock mechanics, fees, reserves, recourse, covenants, amortization and prepayment language.
  4. Order diligence only after scope is clear. Confirm report reliance, provider approval, timing and payment responsibility in writing.
  5. Reconcile the closing statement. Match the final payoff, per-diem interest, premiums, lender charges, legal bills, escrows and reserves to the approved sources-and-uses schedule.
  6. Review documents with counsel. Check definitions, cash-management triggers, financial covenants, defaults, guarantees, insurance clauses and release mechanics before signing.
  7. Keep a fallback plan. If valuation, reports or timing undermine the refinance, evaluate an extension, a smaller loan, additional equity or another lender before the existing maturity.

Common failure points and fixes

  • Assuming balance equals payoff: obtain a dated written quote that itemizes premiums and per-diem interest.
  • Waiting for the appraisal to reveal a problem: ask for indicative value assumptions and sensitivity cases before paying for all reports.
  • Using stale operating data: reconcile rent rolls, collections and expenses to bank deposits and current leases.
  • Comparing rates without reserves: include every escrow, repair holdback and interest reserve in net proceeds.
  • Ignoring entity authority: verify good standing, resolutions, ownership and signing authority before closing documents are drafted.
  • Underestimating insurance or environmental work: obtain broker and consultant input early and budget for follow-up investigations.
  • Overlooking the maturity balloon: model the balance at maturity, not merely the first year’s payment.

U.S. scope and limits of the checklist

This framework uses OCC and Federal Reserve commercial-real-estate guidance and materials for specified Fannie Mae multifamily programs as reference points. It does not establish legal requirements outside the United States, current market rates, or a universal report checklist for every asset class. A lender’s commitment, the existing loan documents and applicable state and local law control the transaction. Confirm current product terms at the time of application and obtain transaction-specific legal, tax, insurance and environmental advice.

Frequently Asked Questions

How early should an owner begin a commercial mortgage refinance?

Begin far enough ahead of the maturity and any extension-notice deadline to obtain a written payoff, complete appraisal and environmental work, cure title issues and negotiate documents. The exact lead time depends on property complexity and lender process; use the contractual dates as the starting point.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Which is more important, DSCR or LTV?

Neither replaces the other. DSCR measures income capacity against debt service, while LTV measures collateral leverage. Debt yield, when used, adds an unlevered income view. A lender should explain how all applicable measures affect the proposed amount.

Can refinance proceeds pay a prepayment premium?

Some loan programs expressly permit that treatment, but it is not universal. Check the existing loan’s prepayment clause and the new lender’s permitted sources and uses.

What if the appraisal is lower than expected?

Ask the lender to identify the valuation assumptions and whether a review or updated appraisal is required. Possible responses include reducing the loan, adding equity, improving documented NOI, seeking another lender or using an extension while the issue is resolved.
