Before investing in a small-cap construction company, examine how it earns money on individual projects, whether reported backlog can convert into profitable work, how much cash it needs before customers pay, and whether it can obtain the bonds required to bid and perform contracts. Then assess customer and project concentration, financial disclosure quality, and share liquidity using the company’s latest filings and trading data. A large backlog or rising revenue alone does not establish that a contractor is generating cash or earning attractive margins.

This filing-based checklist is U.S.-focused. “Small-cap” is not synonymous with “microcap,” and neither label tells you whether a particular company has adequate disclosure, trading liquidity, or financial strength. The examples below illustrate how individual contractors describe their businesses; they are not recommendations, sector benchmarks, or evidence of any issuer’s current investment merits.

Start with the business the company actually operates

“Construction company” covers businesses with very different economics. A general contractor, a specialty infrastructure contractor, an engineering firm, a materials supplier, and a company combining several of those activities can face different project risks, cash needs, and bonding requirements. Begin with the business description and segment notes in the latest Form 10-K, then check the latest Form 10-Q for changes.

Map how revenue is earned before interpreting the financial statements. Separate project work from recurring maintenance; public-sector from private-sector customers; self-performed work from subcontracted work; and different regions or end markets. These distinctions help explain whether revenue depends on winning new bids, sustaining a base of service work, or completing a handful of large contracts. They also reveal which risks matter most: for example, a contractor reliant on public infrastructure projects may be exposed to procurement and funding schedules, while another may be more sensitive to private development cycles.

Read the company’s own descriptions rather than assuming the labels mean the same thing across issuers. Orion Group Holdings’ filings, for example, describe marine and concrete segments and discuss bidding, utilization, and bonding as operating considerations. That is an issuer-specific illustration, not a template for every contractor.

How to evaluate a construction company’s backlog

Backlog is an estimate of work a company expects to perform under its own stated criteria. It is not automatically guaranteed revenue, cash, or profit. Companies may include different categories of awards, so record the issuer’s precise definition and what it excludes before comparing backlog figures across businesses.

Separate signed work from awards that are not yet contracted

Check whether the reported figure includes only contracts that have been formally executed or also includes awarded work awaiting signatures, low bids, work under negotiation, or other prospective opportunities. Note the value of each category if disclosed, and do not add unsigned or pending work to contracted backlog without labeling it separately.

Sterling Infrastructure’s 2025 Form 10-K reported $3.01 billion of backlog at December 31, 2025, while separately reporting approximately $300.7 million of unsigned awards excluded from backlog. Those numbers illustrate that issuer’s definition at that date; they are not a sector benchmark or a current figure for every purpose.

Test the path from backlog to completed work

For each reporting period, compare the change in backlog with revenue recognized and new awards. Read about expected timing, remaining work, completion schedules, customer and project concentration, scope reductions, delays, and cancellations. Look for termination-for-convenience provisions that may allow a customer to end work, and understand whether the company says it can recover costs or lost expected revenue in that situation.

Sterling’s filing distinguishes executed backlog from unsigned awards. Orion Group Holdings’ 2023 Form 10-K warns that backlog may not become revenue or earnings and discusses cancellations and revenue that may be unrecoverable. Orion’s words are a company-specific risk disclosure: “We cannot guarantee that the revenue projected in our backlog will be realized, or if realized, will result in earnings.” Its 2023 filing reported $602.5 million of marine backlog and $159.7 million of concrete backlog as of December 31, 2023; those are historical figures, not current backlog.

There is no general backlog-conversion percentage established by these issuer examples. Use each company’s reported history and definitions rather than treating a large headline figure—or another contractor’s conversion rate—as proof of future sales.

Inspect project margins and contract accounting

Construction revenue and profit often depend on estimates made before a project is finished. In the management discussion and analysis, accounting policy notes, and risk factors, find the revenue-recognition method, how costs to complete are estimated, and how the company accounts for loss provisions, claims, and change orders. Ask whether revisions to estimates have caused material changes in reported results, and look for explanations of gross-margin swings between periods.

Contract type matters. Under a fixed-price or lump-sum contract, the contractor generally bears more of the risk that its original cost estimate proves too low; it may not be able to recover every cost overrun from the customer. Cost increases or execution problems that can squeeze margins include:

  • Labor shortages, wage increases, or lower-than-expected productivity.
  • Higher prices for materials, fuel, or other inputs.
  • Unfavorable site conditions or weather disruption.
  • Delays, including customer-caused delays, that extend project costs or disrupt schedules.
  • Subcontractor performance problems or disputes over scope.
  • Claims and change orders that remain unresolved or are not fully recoverable.

Check whether contracts permit price adjustments or escalation clauses and how the issuer describes their use. Orion’s filings discuss exposure to concrete, steel, and fuel costs, as well as customer delays, weather, environmental restrictions, subcontractors, site conditions, and labor. Those disclosures show the types of risks one contractor identified; assess the mix and protections disclosed by the company you are evaluating.

Why a construction company can report profit but have weak cash flow

Recognizing revenue or earnings does not mean the customer has already paid. A contractor may have to pay payroll, suppliers, and subcontractors before receiving progress payments. Fast growth can therefore consume cash even while reported sales and profit rise. Compare operating cash flow with earnings over several reporting periods, not just one quarter, and read the balance-sheet and cash-flow statement notes for reasons behind large changes.

Follow the cash tied up in projects

  • Receivables and aging: Check whether amounts owed by customers are increasing faster than revenue and whether overdue balances or collection issues are disclosed.
  • Retainage: Identify amounts withheld until milestones or closeout. Note their size and expected collection timing where provided.
  • Contract assets and liabilities: Review what these balances represent under the company’s accounting policies and whether they are changing materially.
  • Other working capital: Consider inventory where relevant and the timing of payments to suppliers and subcontractors.
  • Debt and liquidity: Review maturities, revolver availability, covenant disclosures, and any restrictions or borrowing conditions that could limit access to cash.

Then ask whether cash generation is keeping pace with growth and reported earnings. A single period of negative operating cash flow does not, by itself, establish a persistent problem; the explanation, duration, working-capital movements, and available liquidity matter. Also check whether letters of credit, bonding collateral, or other commitments reduce the borrowing capacity that appears available on paper.

What bonding capacity means for a contractor

Many public and private construction customers require surety bonds. Depending on the contract, a bid bond can support a bid, while performance and payment bonds can help protect against nonperformance and unpaid project obligations. Bonding is not simply an insurance policy the contractor can assume will always be available: sureties assess the company and the proposed work, and limits can constrain the size or number of contracts it can pursue.

In the latest filings, look for the types of bonds required, how much work is bonded, disclosed aggregate capacity and utilization, collateral or indemnity arrangements, and warnings that sureties may refuse coverage or reprice it. Compare remaining capacity with bonded backlog and likely new awards. A contractor may have promising bids but be unable to take on additional work if its financial resources or surety capacity are insufficient.

Sterling Infrastructure’s 2025 filing describes one company’s Transportation Solutions practices: bidders generally post bid bonds of 5%–10% of the bid amount; performance and payment bonds may be required up to 100% of construction costs; and maintenance bonds are generally around 1% for one to two years. These company-specific figures are not universal standards. Bonding decisions can vary by contract, contractor, and market conditions.

Measure concentration and external exposure

Use customer and segment disclosures to identify whether a few customers, projects, regions, contract types, or public programs account for a large share of activity. Concentration can make revenue and margins lumpy: a delayed award, lost customer, project cancellation, or funding interruption may have a larger effect when the business depends on a narrow set of opportunities. Check the filing’s customer-concentration disclosures and descriptions of project schedules rather than relying only on a company’s total revenue.

Consider the conditions that can disrupt the specific work the contractor performs:

  • Public procurement and funding: Government award schedules, budgets, and program funding can affect when projects begin or proceed.
  • Seasonality and weather: Outdoor work and regional conditions can shift activity between quarters or delay completion.
  • Labor and subcontractors: Availability, cost, performance, and financial stability can affect schedules and margins.
  • Materials and equipment: Commodity prices, supply availability, and equipment access can change project economics.
  • Insurance and site constraints: Insurance costs, environmental restrictions, and unexpected site conditions may affect execution.

Examine whether the company can pass cost increases through to customers, how escalation terms work, and whether management identifies specific exposures that remain with the contractor. Do not assume that public contracts, large customers, or a diversified-looking segment list remove execution risk.

Check disclosure, governance, and the reality of trading the shares

Before relying on financial results, review the auditor’s report, any material weaknesses in internal controls, related-party transactions, executive departures, and changes to risk factors. Consider whether the company provides timely, understandable disclosures that let you track backlog, project accounting, cash needs, and material developments.

Special offer. See more information about Outbyte and uninstall instructions. Please review EULA and Privacy policy.

Then examine the shares themselves: exchange listing, trading volume, share count, potential dilution, and insider ownership. Trading liquidity affects how readily an investor may be able to buy or sell without materially affecting the price; a small market capitalization alone does not quantify that risk. The SEC’s Investor.gov microcap guide warns that microcap stocks can involve limited public information and liquidity. Microcap and small-cap are not interchangeable labels, so treat that caution as especially relevant where an issuer’s actual size, trading activity, and disclosure profile fit it—not as a blanket description of all small-cap companies.

Use a consistent comparison when evaluating multiple contractors

If comparing companies, use the same reporting periods and the same questions for each one. A checklist is a framework for investigation, not a score or a substitute for judgment: weight each issue according to the business model, contract mix, and disclosures.

Area What to compare in filings Why it matters
Backlog Definition, signed share, conversion history, cancellation terms, and customer or project concentration Headline backlog amounts may represent different kinds of work and carry different conversion risks.
Project execution Contract mix, margin trends, estimate revisions, claims, change orders, and project losses Execution and cost-estimate changes can determine whether contracted work produces a profit.
Cash and balance sheet Operating cash flow versus earnings, receivables and retainage, working capital, debt, and credit availability Project growth can require cash before customer payments arrive.
Bonding Capacity and utilization, surety dependence, collateral or indemnity, and disclosed constraints Limited capacity may restrict bids and new contract awards.
Resilience Customer, geographic, and end-market mix; public/private exposure; weather, labor, and material sensitivity Concentration and external conditions can make results more volatile.
Disclosure and trading Filing quality, auditor and control issues, share liquidity, and dilution Investors need both reliable information and a clear view of trading risks.

Turn the checklist into a filing review

  1. Pull the latest filings. Read the most recent Form 10-K and subsequent Form 10-Qs, then check for material subsequent updates. Confirm that you are using the latest available documents for the issuer rather than relying on an older example or a historical backlog figure.
  2. Write down the business mix. Summarize segments, project types, customer mix, geography, and the balance between recurring and project-based work.
  3. Reconstruct backlog. Record the company’s definition, signed and unsigned categories, timing, concentration, cancellations, and the pattern of awards and revenue conversion.
  4. Trace project economics. Note contract types, gross-margin changes, estimated costs to complete, loss provisions, and material claims or change orders.
  5. Reconcile earnings to liquidity. Compare operating cash flow with earnings, track working-capital balances, and inspect debt, revolver conditions, and other commitments.
  6. Test bonding headroom. Identify required bonds and disclosed capacity, utilization, collateral, or surety constraints; relate them to existing work and prospective awards.
  7. Assess concentration and resilience. Identify the customers, projects, markets, regions, and external cost or schedule exposures that could disproportionately affect results.
  8. Check the investment’s information and trading profile. Review controls, auditor disclosures, dilution, ownership, listing, and actual trading activity before drawing conclusions about the shares.

These steps can establish what the filings disclose and where the business is exposed; they do not establish whether a share is fairly valued or likely to produce a particular return. That judgment also requires current share data and analysis of the specific issuer, neither of which can be inferred from a generic checklist or another contractor’s example.
